Time Warner CEO pay up slightly in '08

* Time Warner CEO paid $19.9 mln in 08 vs $19.6 mln in 07

* Ex-chair Parsons paid $10.4 mln

NEW YORK, April 8 (Reuters) - Time Warner Inc (TWX.N) Chief Executive Jeffrey Bewkes saw his total compensation rise slightly in 2008 following his appointment as CEO on Jan 1 2008, according to a company filing on Wednesday.

Time Warner's shares fell by around 40 percent through 2008 in line with a wider market downturn.

Bewkes was paid around $19.85 million in total compensation including a base salary of $1.75 million, stock awards of $2.1 million, option awards of $8.1 million and incentive compensation of $7.6 million. In 2007, while he was Time Warner president, he was paid $19.6 million in total compensation.

Bewkes took over as CEO from Richard Parsons who was paid around $10.4 million as chairman of the board last year. Parsons stepped down as chairman on Dec 31 2008 and was replaced by Bewkes on Jan 1 of this year.
