MELBOURNE (Reuters) - Lion Nathan Ltd (LNN.AX), Australia's second-largest brewer, has made a cash and scrip takeover proposal for soft drinks group Coca-Cola Amatil (CCL.AX) valuing the group at up to A$7.66 billion ($4.91 billion), Amatil said in a statement on Monday.

Coca-Cola Amatil, which is 30 percent owned by U.S.-based The Coca-Cola Company (KO.N), said there were a number of material deficiencies in Lion's proposal.
