FACTBOX - Details of RHJ's concept for GM's Opel

(Reuters) - Below are the highlights of RHJ International's (RHJI.BR) "Project Beam" concept for General Motors unit Opel, a copy of which was obtained by Reuters on Friday:

CONSIDERATION AND OWNERSHIP

- RHJ contributes 175 million euros (151.3 million pounds) at closing of the deal, plus 100 million on Dec 31, 2012, for 50.1 percent equity stake

- GM has 39.9 percent stake, no cash contribution

- Employees have 10 percent stake, contribution of 250-300 million euros savings per year

ASSUMPTIONS

- Royalty rate of 3.5 percent in years 2010-2012, thereafter 5 percent

- 3.8 billion euros in loans guaranteed by German government, to be repaid by 2014

- No exit by RHJ or dividends until government-backed loans have been repaid in full  Continued...
