Fitch Assigns First-Time 'A' to Bocom Leasing Hong Kong

(The following statement was released by the rating agency) TAIPEI, March 08 (Fitch) Fitch Ratings has today assigned Long-Term and Short-Term Issuer Default Ratings (IDRs) of 'A' and 'F1' to Bocom Leasing Development Hong Kong Company Limited (Bocom Leasing HK). The Outlook is Stable. Bocom Leasing HK is a wholly owned offshore subsidiary of Bank of Communications Financial Leasing Co., Ltd. (Bocom Leasing, A/Stable). Bocom Leasing holds the offshore subsidiary through its 100% controlled subsidiary, Bank of Communications Aviation and Shipping Financial Leasing Company, which is domiciled in China's Shanghai Free Trade Zone. Bocom Leasing HK functions as the exclusive treasury platform for the offshore leasing operations of Bocom Leasing. Bocom Leasing was established by Bank of Communications Co., Ltd. (Bocom; A/Stable) in 2007 as its wholly owned leasing subsidiary. Bocom Leasing is now the second-largest financial leasing company in China by managed assets, while Bocom is the fifth-largest state-owned commercial bank. KEY RATING DRIVERS The ratings on Bocom Leasing HK reflect our assessment of an extremely high probability of support from Bocom and Bocom Leasing to Bocom Leasing HK. Bocom Leasing HK is highly integrated into Bocom Leasing's operations, and Bocom Leasing has full managerial and operational control over the company. Fitch believes a default by Bocom Leasing HK would create significant reputational risk for Bocom Leasing and its parent, Bocom. Bocom Leasing has provided various kinds of credit enhancement to cover almost all of Bocom Leasing HK's debt, including guarantees, keepwell agreements and comfort letters. The keepwell deed commits Bocom Leasing to ensure that Bocom Leasing HK maintains sufficient levels of equity and liquidity to service its obligations to offshore bondholders at all times. There could be practical difficulties in enforcing the keepwell deed, which is not as strong as a guarantee. Nevertheless, the credit-enhancement measures provided by the parent suggest a very strong propensity for Bocom Leasing to support Bocom Leasing HK, if required. RATING SENSITIVITIES The ratings on Bocom Leasing HK are directly linked to any material change in the willingness or ability of Bocom and Bocom Leasing to support Bocom Leasing HK, if required. Likewise, any material change in the perceived willingness or ability of China's government to support Bocom and Bocom Leasing in a full and timely manner, would affect the ratings on the issuer and its notes. Any change in regulation that causes Bocom Leasing and Bocom to encounter practical difficulties in exercising measures to support Bocom Leasing HK, would indicate a weaker ability to provide support, and may therefore trigger a downgrade of the ratings.
