Biographies

Name Description

Andrzej Szlezak

Dr. Andrzej Szlezak has served as Chairman of the Supervisory Board of Agora S.A. since June 27, 2006. He is also Member of the Company's Remuneration and Human Resources Committee. He has been Partner in the Soltysinski, Kawecki & Szlezak (SK&S) law firm. He joined SK&S shortly after it was formed in 1991. In 1993, he became a partner, and in 1996 a Senior Partner of the firm. In SK&S he has been engaged in legal services for a number of privatizations and the restructuring processes of numerous sectors of Polish industry and the banking sector. He supervised numerous projects involving mergers and takeovers, took part in greenfield projects, prepared a number of transaction documents, and was the author of numerous legal opinions on civil and commercial law. He was involved in the work of the commission for reducing bureaucracy in the economy set up by the prime minister Leszek Balcerowicz. He is an arbitrator of the Arbitration Tribunal at the Polish Chamber of Commerce in Warsaw. Dr. Andrzej Szlezak is the author of numerous publications on civil and commercial law, including foreign-language publications. Currently, Dr. Szlezak is a professor at the Lazarski's University of Commerce and Law in Warsaw. Dr. Szlezak was a scholarship student at a number of foreign faculties, including the universities of Oxford and Michigan. He received his Master's degree in English from the English Philology Department and his Master's degree in Law from the School of Law Administration of Uniwersytet im. Adama Mickiewicza w Poznaniu. From 1979 to 1981 he was a trainee judge at the Voivodship Court in Poznan. As of 1979 he was a research worker at the Civil Law Institute of the A. Mickiewicz University, where he received his Doctor's degree and he wrote his post-doctorial thesis in Civil Law. He was a professor at the A. Mickiewicz University from 1994 till 1996.

Bartosz Hojka

Mr. Bartosz Wojciech Hojka has served as Chairman of the Management Board at Agora S.A. since March 12, 2014. Prior to this, he was Member of the Management Board of the Company. From 2005 to 2013 he was Member of the Management Board and Managing Director of Grupa Radiowa Agory sp. z o.o. (GRA) that consist of Radio Zlote Przeboje, Radio Roxy and Radio TOK FM. He joined the Agora Group in 1998 as Program Editor at Silesian radio Karolina. He was responsible for the launch of the brand Zlote Przeboje. Since 2010 he has been a lecturer at the Department of Radio and Television at the University of Silesia (Uniwersytet Slaski). He graduated from Uniwersytet Slaski in Journalism.

Tomasz Jagiello

Mr. Tomasz Grzegorz Jagiello has served as Member of the Management Board of Agora S.A. since June 28, 2013. He has also served as Chairman of the Management Board of Helios SA. Since October 2011 he has served as Secretary of the Polish Film Institute, formerly he was Board Member of the Association of Polish Cinema. He graduated from the Faculty of Law of Uniwersytet Lodzki and the Faculty of Law at the University of Edinburgh.

Grzegorz Kania

Mr. Grzegorz Julian Kania has served as Member of the Management Board at Agora S.A. since November 8, 2017. He started his career at PricewaterhouseCoopers. From 2003 to 2008 he was Deputy Finance Director at UPC Polska. Between 2008 and 2011 he was Head of Finance at BLStream (currently Intive). In 2012 he was appointed Chief Financial Officer of Ringier Axel Springer Polska, and in 2014 he became Chief Financial Officer of Onet-RAS Polska. He graduated from Politechnika Wroclawska and has been Member of ACCA since 2001.

Anna Krynska-Godlewska

Ms. Anna Maria Krynska-Godlewska has served as Member of the Management Board of Agora S.A. since November 8, 2017. She was Member of the Supervisory Board of the Company from June 23, 2016 until November 8, 2017. She was Member of the Audit Committee at the Company. She is Investment Director and Member of the Management Board of Media Development Investment Fund in New York. Prior to that, she served at Fidea Management, Biuro Inwestycji Kapitalowych CIECH S.A. and Bank Handlowy w Warszawie S.A. She graduated from Szkola Glowna Handlowa w Warszawie.

Agnieszka Sadowska

Ms. Agnieszka Magdalena Sadowska has served as Member of the Management Board of Agora S.A. since March 1, 2017. She graduated from Uniwersytet Ekonomiczny we Wroclawiu in Finance and Banking. In 1999 she obtained an MBA degree at Szkola Biznesu of Politechnika Warszawska. She is Member of ACCA. From 2000 to 2013 she held various positions at Agora S.A. In the years 2010 - 2013 she was Managing Director of the online platform Publio.pl. In the years 2013-2018 Ms. Sadowska managed the development of television business in the Agora Group, including cooperation with Kino Polska TV S.A. while developing the Stopklatka TV film channel. She was Chairman of the Management Board of Green Content Sp. z o.o.

Tomasz Karusewicz

Mr. Tomasz Karusewicz has been Independent Member of the Supervisory Board at Agora S.A. since June 12, 2019. He is a graduate of Uniwersytet Szczecinski, Faculty of Economics and Management - specialization in business management. He also completed postgraduate studies at Politechnika Warszawska - IT resource management at the Institute of Automation and Applied Computer Science. He is also a certified internal auditor and has the right to sit on supervisory boards of State Treasury companies. He has experience and practical knowledge of the operation of business entities, which he gained while working in the field of internal audit, institutional control, supervision and management. He was connected, among others with Grupa Ciech (2006-2008). He was the deputy director of the Corporate Supervision Bureau and later a member of the supervisory board of Ciech S.A. He was also a member of supervisory boards in Grupa Ciech companies, such as Zaklady Chemiczne Alwernia S.A. and Ciech Polfa Sp. z o.o. In the years 2007-2009 he was employed as the deputy director of the Foreign Investment Office (Business Development Office) at PZU S.A. In the period 2010-2012, he was associated with Telewizja Polska SA, first as the deputy director of the Office of the Board and Corporate Affairs, and then the director of the Audit and Internal Control Office. In addition, he sat on the supervisory board of Enea S.A., IKS Solino S.A., Zaklady Azotowe w Tarnowie - Moscicach S.A. (currently Grupa Azoty S.A.), ZWiK w Szczecinie Sp. z o.o. He also served on the supervisory board and on the board of PWPW S.A. In the years 2016-2019 he was again a member and later the chairman of the supervisory board of Grupa Azoty S.A. From 2016 to 2019, he was associated with Grupa PZU. He was appointed a member of the management board of PZU Zycie S.A. and the director of the Grupa PZU S.A., where he supervised the Information Technology Division and the Operations Division.

Mr. Dariusz Marek Formela has been Member of the Supervisory Board of Agora S.A. since June 28, 2013. He is also Member of the Company's Audit Committee, the Human Resources Committee and the Remuneration Committee. Since 2012 he has been Chairman of the Management Board at Gobarto S.A. (formerly PKM DUDA SA). Between 2009 and 2012 he was Member of the Management Board at PKM DUDA SA and Chairman of the Management Board at CM Makton. From 1998 to 2008 he worked at ORLEN Capital Group, as Member of the Management Board of PKN ORLEN SA and Mozejki Nafta. He has served at the Supervisory Boards of Avia Solutions Group SA and LW Bogdanka SA. He graduated from the Faculty of Law and Administration at Uniwersytet Gdanski and received MBA degree from the University of Bradford and Akademia Leona Kozminskiego.

Wanda Rapaczynski

Ms. Wanda Rapaczynski has served as Member of the Supervisory Board of Agora S.A. since June 24, 2014. Prior to this, she was Chairman of the Management Board of the Company from June 28, 2013 to March 12, 2014. Prior to this, she served as Member of the Supervisory Board. Additionally, on February 12, 2013 she was appointed Member of the Supervisory Board, Acting Member of the Management Board for the period of three months. She served as the Chairman of the Management Board of Agora SA from 1998 until her retirement in 2007. After this, Ms. Rapaczynska served on the Board of Agora Foundation and advised its Supervisory Board till the day of the election for the position of the Member of Agora SA's Supervisory Board. During her tenure at Agora, she represented the Company in the European Publishers Council and in the Polish Confederation of Private Employers LEWIATAN, serving on its Main Board as well as on the Supervisory Board of Polish Private Media and Advertising Employers. In 1984, she joined Citibank NA in New York where she was in charge of new product development until 1992. Before that, for two years, she led a research project at Psychology Department of Yale University and, prior to that, she was a postdoctoral fellow at Educational Testing Service in Princeton. She started her professional career teaching psychology at universities in New York and Connecticut. Since 2008, she has been a non-executive member of the Board of Adecco SA. Ms. Rapaczynski has been on the Board of Trustees of Central European University in Budapest and chairs its Audit Committee. She has been Member of the Trilateral Commission since 2002. In 1977 she received a Ph.D. degree in Psychology from City University of New York. She is also a graduate of Yale University School of Management from which she received a Master of Private & Public Management degree in 1984.

Tomasz Sielicki

Mr. Tomasz Pawel Sielicki serves as Member of the Supervisory Board of Agora S.A. He is also Member of the Company's Audit Committee. In addition to his duties at the Company, he has been Member of the Supervisory Board of, among others, Sygnity SA and Budimex SA. He has also acted as Member of the Management Board of the Polish Confederation of Private Employers LEWIATAN, of the Stock Exchange Court at Warsaw Stock Exchange, of the Council of Junior Achievement Foundation and of the Council Program Council of the Academy of Capital Market Leaders operating at the Foundation of Leslaw Paga. He has worked in Sygnity SA (former Computerland SA) since the establishment of the company in 1991. Between 1992 and 2005 he was performing the function of Chairman of the Management Board and subsequently for two years he was the President of the Sygnity Group (former Computerland Group). On June 14, 2007 he was appointed to the Supervisory Board of Sygnity SA. Mr. Sielicki is the INFO-STAR prize winner (1995). In 1999 he got the title of the Polish Business Leader granted to Sygnity SA by the Business Centre Club. The Wall Street Journal reckoned him one of Central Europe's Top 10 Executives. At the World Economic Forum in Davos in 1999 he got the prestigious award of the Global Leader for Tomorrow. In 1997 and in 2001 he received an award granted to Sygnity (former Computerland) by Parkiet, for the Best Public Company for the share value increase. In April 2006 he was awarded with prize of Polish IT sector given by Polish Chamber of IT and Telecommunications. Mr. Sielicki graduated from the Electronics Department of Politechnika Warszawska.

Maciej Wisniewski

Mr. Maciej Wisniewski has been Member of the Supervisory Board of Agora S.A. since November 9, 2017. He is Member of the Audit Committee, the Human Resources Committee and the Remuneration Committee at the Company. He founded Investors Towarzystwo Funduszy Inwestycyjnych S.A. Prior to that, he worked for BZ WBK AIB Asset Management and LG Bank. He started his career at Raiffeisen Capital and Bank Millennium. He graduated from the Faculty of Finance and Banking at Szkola Glowna Handlowa and in Finance from London Business School.
