Name Description

Fabio Cerchiai

Dr. Fabio Cerchiai serves as Executive Chairman of the Board of Atlantia S.p.A. since April 14, 2010. He holds a degree in Economics (University of Rome). He began his career in the insurance industry in Assicurazioni Generali where he held various positions until his appointment as Chief Executive Officer and Vice-President until 2002. Mr. Cerchiai has been a member of the Board of Directors of several industrial and financial companies both in Italy and abroad. Mr. Cerchiai was Chairman of INA Assitalia, Chairman of ANIA - National Association of Insurance Companies, Chairman of SIAT Società Italiana di Assicurazioni e Riassicurazioni p.a., Chairman of Autostrade per l’Italia SpA until January 2019 and Chairman of UnipolSai SpA until April 2016 where he now serves as Vice-President; he was Chairman of Cerved Group SpA until April 2019 where he currently acts as Lead Independent Director. He is Chairman of Atlantia SpA, Edizione Srl, Sintonia SpA, Arca Vita SpA and Arca Assicurazioni SpA. In addition, he has been Vice-President of Diplomatia and Director of AISCAT - Associazione Italiana Concessionarie Autostrade e Trafori since 2010. Mr. Cerchiai is a member of the General Council and of the Executive Committee of ASSONIME (the Association of Italian Joint Stock Companies), a member of the Executive Board of Censis Foundation, a member of the Executive Board of ANSPC – Associazione Nazionale per lo Sviluppo dei Problemi del Credito and an academic member of AIDEA – Italian Academy of Business Management. Since 2011, Mr. Cerchiai is Adjunct Professor at the Università Cattolica del Sacro Cuore in Milan - Faculty of Banking, Finance and Insurance.

Giovanni Castellucci

Eng. Giovanni Castellucci serves as Chief Executive Officer, General Manager and Executive Director at Atlantia S.p.A. since 2006. He graduated in mechanical engineering from the University of Florence and completed an MBA at SDA Bocconi in Milan. From 1988 to 1999 he worked for the Boston Consulting Group, initially as a consultant, Case Leader and eventually as an executive in Paris until 1991 and then Milan from 1991, where he became a partner responsible for Italian Customer Service and Pharma Practices. In January 2000 he was appointed Chief Executive Officer of the Barilla Group. He joined Atlantia in June 2001 as General Manager. Between April 2005 and 30 January 2019, he was Chief Executive Officer of Autostrade per l’Italia SpA, maintaining the position of General Manager of Atlantia. Since 2006, Mr has been Chief Executive Officer of Atlantia. Mr In addition, he is a member of the Board of Directors of Aeroporti di Roma SpA and Autostrade dell’Atlantico Srl. Member of the Conseil de Surveillance of Aéroports de la Côte d’Azur. He currently also is a member of the Board of Directors of GETLINK SE and Abertis Infraestructuras SA.

Giancarlo Guenzi

Dr. Giancarlo Guenzi serves as Chief Financial Officer and Financial Reporting Officer of Atlantia S.p.A. He has been the Manager Responsible for Financial Reporting at Atlantia and Autostrade per l'Italia pursuant to art. 154-bis of the Consolidated Finance Act since 2007. He is Chairman of Telepass, a member of the Board and Chief Financial Officer of Autostrade per l'Italia and a director of a number of Group companies.Giancarlo Guenzi was born in 1955 and he graduated in Business Administration from the University of Rome “La Sapienza”; he is a chartered accountant and auditor. He has been working for the Group since 1994 after gaining valuable experience in Italstat Group and KPMG. He was for several years head of Group Planning and Control; from 2003 to 2007 he was appointed CEO and General Manager of Pavimental, the construction and maintenance Company of the Group infrastructure and pavements.

Michelangelo Damasco

Mr. Michelangelo Damasco serves as Executive Vice President, General Counsel of Atlantia S.p.A. He graduated in Law from the University of Rome “La Sapienza” before completing an MBA at SDOA Business School. Since September 2015 he has been also appointed Head of Legal & Corporate Affairs of Aeroporti di Roma. Since 2007 he has been Head of Corporate and International Legal Affairs at Autostrade per l'Italia and in 2014 he was appointed Head of Legal Affairs – Executive Vice President of the company. Before working for the Atlantia Group he held several management positions in the Caltagirone Group, Telecom International and Telecom Italia, gaining considerable experience in the international environment. Mr. Damasco is Chairman and a director of a number of the Group’s Italian and overseas subsidiaries. He is a member of the board and Head of Regulatory and Legal Affairs at Autostrade per l'Italia.

Massimo Sonego

Mr. Massimo Sonego serves as Executive Vice President, Head of Corporate Finance and Investor Relations of Atlantia SpA. He has a degree in business economics from Milan’s Bocconi University and completed a Program in International Management at Montreal’s McGill University. He is board member in foreign Group subsidiaries. Before joining the Atlantia Group in 2002 he worked at Morgan Stanley, Citigroup and Edizione Holding.

Guglielmo Bove

Mr. Guglielmo Bove serves as Executive Vice President, Head - Group Compliance and Security of ATLANTIA S.P.A. since November 2016. He graduated in Law at Federico II University of Naples. In 1989 he started working as a corporate lawyer in a financial institution. In 1990, he joined Telecom Italia, dealing with corporate affairs for 10 years (holding various positions, including Secretary Office of the Board of Directors, Corporate Operations, and International Corporate Affairs). In this context, he oversaw important extraordinary operations: mergers, spin-off, IPO, acquisitions. Between 2000 and 2016 he worked within the legal affairs department of Telecom Italia, in roles of increasing responsibility, until being appointed head of legal affairs for the industrial and business activities of the Group. Since June 2016, he is also the General Counsel and Secretary of the Board of Directors of Aeroporti di Roma.

Francesco Delzio

Mr. Francesco Delzio serves as Executive Vice President, Head of External Relations, Institutional Affairs and Marketing of Atlantia S.p.A. He is also Chairman of Ad Moving, the advertising sales agency for the highway sector, and Director of the TV services My Way and Infomoving as well as of the Agorà magazine. He is member of the General Council of Unindustria of Rome and Lazio and of the scientific Council of Symbola. He is also Joint Director of the Masters in Corporate Relations, Lobbying and Corporate Communication at the Luiss Guido Carli University where he teaches “Corporate Communication” and “Politics, Institutions and Lobbying”. He is also Scientific Coordinator of the Executive Program on “Management of Consumer Relations”. He has written numerous texts on economic and social issues and is editor of Avvenire, Prima Comunicazione and InPiù. Born in Bari in 1974 , he holds an honours degree in Law from Luiss Guido Carli University. In 1999 he completed a master's degree at RAI, Italy’s television service, in broadcast journalism and is a professional journalist. From 2008 to 2011 he was Head of Corporate Affairs and External Relations at the Piaggio Group, Vice President of Confindustria Ancma and member of Finmeccanica’s executive. Previously, from 2001 to 2007 he was Director of the Young Entrepreneurs' division of Confindustria (the Confederation of Italian Industry). Before this he was a professional journalist in RAI and analyst at the Luiss University where he coordinated the Lab for Modernisation. He sat on the Board of the Luiss Guido Carli University, of that of EICMA SpA and of the Piaggio Foundation.

Roberto Mengucci

Mr. Roberto Mengucci is Executive Vice President, Head of Higway Business Coordination of the Company. He holds a degree in Mechanical Engineering from Rome’s "La Sapienza" University and has worked for the Atlantia Group since 2008, holding the position of Head of International Business Development at Autostrade per l'Italia until 2017, when he was appointed General Manager at the holding company that manages the Group’s overseas motorway investments. He gained experience in international business development as Head of M&A at the Finmeccanica group until 2008, Country Manager International Operations and Head of M&A at the Telecom Italia group until 2004 and as International Development Project Manager at Enel until 2001. He is the chairman and a director of a number of the Atlantia Group’s overseas subsidiaries and General Manager of the holding company, Autostrade dell’Atlantico.

Gennarino Tozzi

Mr. Gennarino Tozzi serves as Executive Vice President, Head of Group Infrastructure Development of Atlantia S.p.A. He holds a Civil Engineering degree from the University of Rome and has a broad experience in the field of infrastructures. He has served as General Manager, CEO and Chairman of several construction companies, as Gambogi, Società Condotte d'Acqua e Todini Costruzioni Generali. He joined Autostrade per l'Italia as Head of New Projects in 2003 then he was appointed as Operations Director Infrastructure Development and Joint Chief Operating Infrastructure Development. Since December 2013, He is director in some Group subsidiaries. He holds the position of Head of Infrastructures of the holding company Atlantia.

Marco Troncone

Mr. Marco Troncone is Executive Vice President, Head of Airport Business Coordination of the Company. He obtained a degree in Chemical Engineering from Federico II University in Naples, before completing a Master in Business Administration at SDA Bocconi. He previously worked for Aeroporti di Roma, first as Head of Strategic Planning and Board Relations from 2011 and then as Chief Financial Officer between 2013 and 2018. Prior to this, he worked in Italy and overseas with Sintonia SA, A.T. Kearney and Technip Italy, gaining extensive experience in strategy, corporate finance and infrastructure, with a particular focus on airports. He is a director of a number of Group companies.q

Umberto Vallarino

Mr. Umberto Vallarino is Executive Vice President, Head of Finance and Insurance of the Company. He is graduated with a degree in economics from the University of Pisa in 1987. Before joining ASPI in 2005, he worked former at Fiat Auto S.p.A. and Fininvest S.p.A. and most recently in Indesit Company as Finance Manager. Since August 2014 he has served as Head of Finance and Insurance of Atlantia and Head of Finance of ASPI. He is also director in certain Group subsidiaries.

Marco Pace

Mr. Marco Pace serves as Chief Group Control & Risk Management Officer of Atlantia S.p.A. He graduated in Business Administration from the University of Rome “La Sapienza” and is a chartered accountant and auditor. He is board member in some Group subsidiaries. Until January 2015 he was Chief Strategic Planning & Control Officer of the OTB Group. Before that, he held several management positions, gaining international experience in the fields of planning and controlling in various multinational groups: EDS, Siemens, Omnitel/Vodafone. From 2005 to 2008 he was Head of Planning and Controlling of Autostrade per l'Italia.

Monica Cacciapuoti

Ms. Monica Cacciapuoti serves as Chief Human Resources Officer at Atlantia S.p.A. She is Chief Human Resources Officer and Secretary of the Human Resources and Remuneration Committee of Atlantia. Since September 2015 she has also been appointed Head of Human Resources and Organization of Aeroporti di Roma. Born in 1968, holds a degree in Philosophy. She began her career within the Burgo Group, then she worked for Techint and Spencer Stuart, taking up a variety of increasingly senior management positions in Human Resources and Organization, before moving in 2006 to Autostrade per l’Italia as Head of HR Development and where she has been Head of Human Resources at Autostrade per l’Italia since 2008. She is board member in some Group subsidiaries and Chairman of Remunerations Committee of Grandi Stazioni.

Concetta Testa

Eng. Concetta Testa serves as Chief Audit Officer, of the Company. She is Chief Audit Officer since January 2015 and member of Supervisory Board (in compliance with Legislative Decree 231/01) of Atlantia and Autostrade per l’Italia. She graduated in Chemical Engineering. In 2001 she started her career in Autostrade per l’Italia in Planning and Controlling department after gaining experiences at IMI and Mediocredito Centrale. She was Head of Organization in Autostrade per l’Italia and held the position of Group Controller of Atlantia. She was board member of Group subsidiaries.

Elisabetta De Bernardi di Valserra

Ms. Elisabetta De Bernardi di Valserra is Director of the Company. He graduate in Electronic Engineering from the University of Pavia, Ms De Bernardi di Valserra began her career in Morgan Stanley, where she served in various positions. In 2013 she joined Space Holding. She has worked at Edizione Srl since 2015, in subsidiary management and investment transactions. She is currently also the Chief Executive Officer of ConnecT SpA and Director at Cellnex Telecom SA; Getlink SE and Sintonia SpA.

Valentina Martinelli

Ms. Valentina Martinelli serves as Director at Atlantia S.p.A. since April 30, 2013. Ms Martinelli graduated in business studies from the Ca’Foscari University of Venice. She is currently in charge of the preparation of Group consolidated financial statements and corporate affairs at Edizione Srl. She commenced her career at Arthur Andersen SpA and is a registered auditor.

Marco Patuano

Mr. Marco Patuano is Director of the Company. Mr Patuano graduated in Business Management – Finance from Università Bocconi, Milan, and attended several post-graduate courses in Europe and in the United States. Starting from 1990 and until 2006, he worked with Telecom Italia Group, until he was appointed Chief Executive Officer in 2011. Until 2016, he was also a member of the Board of Directors of Telecom Italia Foundation, Bocconi Foundation, European Institute of Oncology and cooperated with various universities in Italy and in the United States. Since 18 January 2017, Chief Executive Officer of Edizione Srl. He holds the office of Chairman of Cellnex Telecon SA and Chief Executive Officer of Schematrentatre SpA.

Carla Angela

Ms. Carla Angela is Independent Director of the Company. She holds a degree in Actuarial Sciences awarded by the La Sapienza University of Rome. She is the Chairwoman of the Italian Institute of Actuaries and was a professor of financial mathematics in the Economics Faculty of the La Sapienza University of Rome and was also the Head of the Mathematics Department for Finance and Insurance, Chairwoman of the Finance and Insurance Degree Programme and Coordinator of the European PHD in Social Statistical and Economical Studies. She is a member of the International Actuarial Association Council and the Board and Treasurer of the Actuarial Approach for Financial Risk Section. She has also worked in the Actuarial Association of Europe and was recently appointed Honorary Chair. She is Chairwoman of the National Institute of Actuaries.

Bernardo Bertoldi

Mr. Bernardo Bertoldi is Independent Director of the Company. Mr. Bertoldi holds a degree in Economics from the University of Turin and currently lectures in the Department of Management at the University of Turin and at the ESCP Europe London and Turin Campus. Lucy Marcus

Ms. Lucy P. Marcus serves as Independent Director of Atlantia S.p.A. since April 30, 2013. Ms Marcus graduated in History and Political Science from Wellesley College, Massachusetts, USA in 1993.
