Biographies

Name Description

Andrzej Olechowski

Dr. Andrzej Olechowski has served as Chairman of the Supervisory Board of Bank Handlowy w Warszawie S.A. since July 23, 2012. Prior to this, he acted as Member of its Supervisory Board, between June 25, 2003 and June 22, 2006 and subsequently as Vice Chairman of the Supervisory Board. He is Chairman of the Company’s Compensation Committee, Member of Risk and Capital Committee and Member of Strategy and Management Committee. He has served as Member of Supervisory Boards or Advisory Committees in: Euronet, Layetana Developments Polska, MCI Management SA, ACE, Citigroup Europe, Macquarie European Infrastructure Fund. Previously, he was the Minister of Finance and the Minister of Foreign Affairs of the Republic of Poland. He was also a candidate for the President of the Republic of Poland. He is a member of a number of non-governmental organizations. He has been, among others, the European Vice Chairman of the Trilateral Commission. Dr. Olechowski is an author of numerous publications on international trade and foreign policy. He was Department Head at the Foreign Trade Research Institute (1978-1982) and a lecturer at Akademii Teologii Katolickiej, Collegium Civitas and Uniwersytet Jagiellonski. He obtained Doctorate in Philosophy in Economics from Szkola Glowna Handlowa in 1979.

Slawomir Sikora

Mr. Slawomir S. Sikora has served as Chairman of the Management Board of Bank Handlowy w Warszawie S.A. since July 2, 2003. Since March 2005, he has also been Chief Executive Officer and Country Officer of Citigroup. Since December 2005, he has been Member of the Citigroup Management Committee. Between 2001 and 2003, he acted as Chairman of the American Bank in Poland. Between 1994 and 2001, he acted as Vice Chairman of the Management Board of Powszechny Bank Kredytowy SA. From 1989 till 1994, he held various positions at the Ministry of Finance. Ha is also Member of the Management Board of the Polish Banks Association and Vice Chairman of the Polish Confederation of Private Employers Lewiatan. Mr. Sikora graduated in Economics from Szkola Glowna Handlow w Warszawie.

Frank Mannion

Mr. Frank Mannion serves as Vice Chairman of the Supervisory Board of Bank Handlowy w Warszawie S.A. He joined the Company's Supervisory Board as Member on June 28, 2010. He is Chairman of Company’s Risk and Capital Committee, Member of the Strategy and Management Committee and Vice Chairman of the Audit Committee. Mr. Mannion has been the Citi Chief Financial Officer for Europe, the Middle East and Africa, since January 2011. He began his career in Ireland before moving in 1987 to join PricewaterhouseCoopers in London. Mr. Mannion joined Citi in the UK in 1989 in the Planning and Analysis team. He has held various Finance roles, including Technology Finance Manager and Head of CMB EMEA Product Control. In September 2006, he was appointed CMB EMEA Regional Controller, responsible for Product Control, Controllers and Regulatory Reporting and subsequently in March 2008 he was appointed the Citi Regional Franchise Controller for EMEA. Mr. Frank Mannion graduated from National University of Ireland in Galway, receiving a degree in Commerce. He also holds Chartered Accountant title.

Natalia Bozek

Maciej Kropidlowski

Mr. Maciej Kropidlowski has served as Vice Chairman of the Management Board at Bank Handlowy w Warszawie S.A. since March 19, 2014. In February 2014 he was appointed Member of the Supervisory Board at Dom Maklerski Banku Handlowego SA. He began his career in 1995 with Citibank (Poland) SA. In 1999 he joined Citibank NA in Switzerland, and in 2001 he was appointed Head of Sales at Treasury Vertical at Bank Handlowy w Warszawie SA. He graduated from the Faculty of Management at Uniwersytet Lodzki.

David Mouille

Mr. David Mouille has been Vice Chairman of the Management Board of Bank Handlowy w Warszawie S.A. since July 1, 2015. Since January 2014 he has served at Citi at Asia Pacific Consumer Bank. Prior to that he was Head of Detail Banking at Citi Australia Consumer Bank. In 2008 he became Finance Director at Citi Australia Consumer Bank. Barbara Sobala

Ms. Barbara Sobala has served as Vice Chairman of the Management Board at Bank Handlowy w Warszawie S.A. since October 15, 2013. She has experience in banking, particularly in the area of risk management. She joined the Company in 2005 and since 2012 she manages the Corporate Risk Division is also a member of the Committee for Risk and Capital Management Committee and Vice Chairman of Capital Investment in the Company. Between 2005 and 2012 she was Director of Restructuring at the Company. Prior to this, she worked at Bank BPH, as Restructuring Department Director and earlier, from 1991 to 1992, she worked at Proxy Ltd. Katarzyna Majewska

Ms. Katarzyna Majewska has been Member of the Management Board of Bank Handlowy w Warszawie S.A. since January 11, 2016. She has served at Bank Handlowy w Warszawie since 1999. Since 2008 she has been responsible for Administration, Real Estate and Purchasing at PZU Group. She is a graduate of Szkola Glowna Handlowa w Warszawie. She also completed MBA Program at RSM Erasmus University and General Management Program at Harvard Business School.

Shirish Apte

Mr. Shirish Moreshwar Apte has been Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. since 2016. He was Vice Chairman of the Supervisory Board of the Company from June 22, 2006. He acted as its Member from June 25, 2003. He is Member of the Company’s Audit Committee and Member of Company’s Strategy and Management Committee. He was Co-Chairman of Citi Asia Pacific Banking until recently. From 2009-2011, he was Chief Executive Officer of Citi Asia Pacific, with responsibility for South Asia, including Australia, New Zealand, India and ASEAN countries. He was a member of Citigroup's Executive and Operating Committees. Mr. Apte has more than 32 years experience with Citi, including as Chief Executive Officer of Central & Eastern Europe, Middle East & Africa (CEEMEA), and before that as Country Manager and Deputy President of Bank Handlowy w Warszawie S.A., Poland. Mr. Apte moved to London from India in 1993 as senior Risk Manager for CEEMEA before becoming Corporate Finance and Investment Bank Head for CEEMEA, including India. Mr. Apte is a Chartered Accountant from the Institute of Chartered Accountants in England and Wales, and holds a Bachelor of Commerce degree. He also has an MBA from the London Business School.

Marek Belka

Prof. Marek Belka has been Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. since June 22, 2017. He is Chairman of the Strategy and Management Committee and Member of the Risk and Capital Committee at the Company. He was Deputy Prime Minister, and from May 2004 to October 2005 he was Prime Minister of the Government of the Republic of Poland. On June 10, 2010 he was appointed President of the National Bank of Poland and Chairman of the Monetary Policy Council and he held this positions until 2016. From November 2011 to October 2015 he was Chairman of the Development Committee of the World Bank and the International Monetary Fund. Grzegorz Bielicki

Mr. Grzegorz Bielicki has been Member of the Supervisory Board at Bank Handlowy w Warszawie S.A. since December 6, 2017. Igor Chalupec

Mr. Igor Adam Chalupec has served as Member of the Supervisory Board at Bank Handlowy w Warszawie S.A. since June 18, 2009. He serves as Member of the Company's Strategy and Management Committee and Audit Committees as well as Vice Chairman of the Risk and Capital Committee at the Company. During his professional career, he was appointed Chairman of the Management Board and Executive Partner at Icentis Sp. z o.o., Corporate Solutions S. K-A and Icentis Capital Sp. z o.o. From 1991 to 1995 he was Director of Centralne Biuro Maklerskie Banku Pekao SA (currently CDM Pekao SA). From 1995 to 2000 he served as Member and then Vice Chairman of the Management Board at Bank Pekao SA. Between 2003 and 2004 he worked as Under-Secretary of State in the Ministry of Finance. From 2004 to 2007 he was Chairman of the Management Board and General Manager of Polski Koncern Naftowy Orlen SA. He was also Member of the Supervisory Board at the Warsaw Stock Exchange (1995-2003), Unipetrol as (2005-2007). He has also served as Member of the Management Board at PZU Zycie SA and Budimex SA. Mr. Chalupec graduated in Foreign Trade from Szkola Glowna Handlowa and in Law and Administration from Uniwersytet Warszawski.

Jenny Grey

Ms. Jenny Grey has been Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. since June 21, 2016. She is Member of the Strategy and Management Committee and Vice Chairman of the Compensation Committee at the Company. She was appointed EMEA Human Resources Head in February 2016. Prior to her current role, from October 2012, Ms. Grey was the EMEA Public Affairs Head responsible for protecting and enhancing Citi’s reputation in EMEA. Her role encompassed media relations, internal and external communications, brand and community development. Ms. Grey Jenny has 24 years’ experience in communications. She joined Citi in October 2012 after four years in the UK government, latterly in the UK Prime Minister’s Office and the Cabinet Office as Executive Director for Government Communication. She was Head of Profession for 5,000 communications staff across the public sector. In previous years she worked in the public sector, where she held several Director of Communication and Social Marketing posts, including in the NHS and at the Audit Commission. She was also Director of Corporate and External Affairs for Cancer Research UK, where she set up the UK’s largest charity’s first public policy and advocacy unit. Ms. Jenny Grey started her professional career in advertising before moving into public relations consultancy, where she specialized in reputation and issues management for a range of multinational clients including McDonald’s, Toyota, BP and Allied Domecq. Ms. Grey has an Master of Science in Social Psychology from the London School of Economics and a First Class degree in English Language and Literature from Durham University.

Marek Kapuscinski

Mr. Marek Kapuscinski has been Member of the Supervisory Board at Bank Handlowy w Warszawie S.A. since September 29, 2016. He is Member of the Strategy and Management Committee, the Risk and Capital Committee and of the Audit Committee at the Company. Until September 2016 he worked at Procter & Gamble for 25 years. He was General Director and Vice President for Central Europe at P&G from July 2011 and from 2007 for Poland and the Baltics. Since July 2011 General Manager and Vice-President for key to P&G 9 markets of Central Europe and since January 2007 for Poland and the Baltic States. He has been Co-creator of the strategy and leading market position of such brands as Always, Vizir, Ariel, Lenor, Fairy, Pampers, Gillette, Head&Shoulders, Pantene, Blend-A-Med, Old Spice. In recognition of his contribution to building brands and standards and practices of the Polish advertising industry awarded by Media Marketing Poland the title of the “Marketer of the 20 years of the Polish Advertising Industry”. Currently non-executive member of Boards of Directors of companies and not-for-profit organizations and advisor to their Executive Boards. He holds Masters degree from Szkola Glowna Handlowa w Warszawie. He completed also post-graduate studies at Stern School of Business, New York University.

Marc Luet

Mr. Marc Raoul Maria Luet has been Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. since June 22, 2017. He is Member of the Strategy and Management Committee, the Risk and Capital Committee and the Compensation Committee at the Company. He served as Member of the Supervisory Board in Bank Handlowy w Warszawie SA from June 1, 2011 to June 24, 2014. He was Member of the Company’s Audit Committee and Member of the Company’s Strategy and Management Committee. He began his banking career in HSBC (former Midland Bank) in 1988. Between 1990 and 2002 he worked for Citibank as Consumer Business Manager for Hungary and Belgium. From 2001 to 2002, he was Acting Chief Executive Officer in Citibank SA/NV. Subsequently, in 2002, he was appointed as Chairman of the Management Board and Chief executive Officer in Egg Banking PLC. Between 2005 and 2008 he served at Fortis Group as Chief Executive Offices Finance & Retail International. Between 2008 and 2010 he served as President of CEMEA at VISA. He has also acted as Member of Fortis Business Executive Committee and since June 2010 he has served as Chief Executive Officer for EMEA region. He has been Chairman of the Board of Directors of AO Citibank. Mr. Luet graduated in Economics from University of Pantheon Sorbonne with a Bachelor of Science degree and Institut d'Etudes Politiques de Paris. He also completed Master of Business Administration at Tuck School of Management at Dartmouth College.

Anand Selvakesari

Mr. Anand Selvakesari has been Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. since June 21, 2016. He is Member of the Strategy and Management Committee at the Company. He joined Citi in 1991. Since July 2015 he has been Head of Citi’s Consumer Banking for Asia Pacific. In his current role Mr. Selvakesari is responsible for the consumer and commercial banking businesses across Asia. Prior to assuming the current role, from December 2013, Mr. Anand Selvakesari was Head of Consumer Banking for ASEAN & India responsible for the consumer banking businesses in the ASEAN cluster, including Singapore, Malaysia, Indonesia, Philippines, Thailand and Vietnam as well as India. Previously, in the years 2011-2013, Mr. Selvakesari was Consumer Banking Head in Citi India running the Retail Banking, Cards, Unsecured Lending, Secured Lending, NRI banking and Commercial Banking businesses in the country. Under the leadership of Mr. Anand Selvakesari the franchise achieved a leadership position, enjoying record-high brand preference and continuing to pioneer and innovate with several market firsts. Prior to his role in India, Mr. Anand Selvakesari was Head of Consumer Banking, Citi China from 2008 to 2011. Under his leadership, the franchise grew multi-fold to become an industry leader in innovation with many first-to-market products. He served as the Retail Banking Head in Taiwan from 2004 to 2006 and eight years in regional roles in Singapore, where he held various positions in Investments, Wealth Management and Retail Banking from 1996 to 2004. Mr. Anand Selvakesari has a Master of Business Administration (Finance and Marketing) and a Bachelor of Engineering (Mechanical Engineering) from India.

Stanislaw Soltysinski

Prof. Stanislaw Soltysinski has served as Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. since June 21, 2012. Prior to this, he served as Chairman of the Supervisory Board of the Company from June 30, 2000 and as Member from March 26, 1997. He serves as Vice Chairman of the Company's Strategy and Management Committee as well as Member of Compensation Committee of the Company. He is a Professor of Law at Uniwersytet im. Adama Mickiewicza w Poznaniu where he also held the position of Dean of the Faculty of Law and Administration and a recurring visiting professor at the Pennsylvania University, the College of Europe in Brugge, the Max Planck Institute in Munich and the International Law Academy in the Hague. He is a member of many associations and scientific organizations. Among others, he is a corresponding member of the Polish Academy of Arts and Sciences and a member of the Board of Directors of UNIDROIT. He is a co-author of the Commercial Companies Code. Prof. Soltysinski is also in private law practice as a partner in the limited partnership company Soltysinski, Kawecki i Szlezak Legal Advisors. He obtained Master’s degree in Law from Uniwersytet im. Adama Mickiewicza w Poznaniu.

Stephen Volk

Mr. Stephen R. Volk has served as Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. since November 20, 2009. He acts as Member of the Company's Strategy and Management as well as Risk and Capital Committees. He has served as Vice Chairman of Citigroup Inc. and he has been responsible for Citigroup Senior Management matters as well as Investment Banking. He has also been Member of the Citigroup Executive Committee. Before joining Citigroup in September 2004, Mr. Volk held a function of Chairman of Credit Suisse First Boston. His professional experience with Credit Suisse First Boston began in August 2001 and before that he worked for Shearman & Sterling, a New York-based law firm, where he had been Senior Partner since 1991. During his career in Shearman & Sterling, Mr. Volk acted as legal counsel to a number of corporations including Citicorp. Mr. Volk is a Director of Continental Grain Company and a former Director of Consolidated Edison. Inc as well as Trizec Hahn Properties. He is also Member of the Council on Foreign Relations, the Dean's Advisory Board of Harvard Law School and a fellow of the American Bar Foundation. Mr. Stephen Volk graduated from Dartmouth College and Harvard Law School in 1960.
