Name Description

Gianandrea De Bernardis

Mr. Gianandrea De Bernardis serves as Executive Chairman of the Board of Cerved Group S.p.A. Mr. De Bernardis has served as our Chief Executive Officer since 2009. Mr. De Bernardis holds an honors degree in electrical engineering from the Politecnico di Milano and a master’s degree in business administration from the Università Commerciale Luigi Bocconi in Milan. Mr. De Bernardis has extensive experience in a number of prestigious Italian and multinational companies. He began his professional career in the United States as a software engineer in telecommunications at AT&T Bell Laboratories and Wang Laboratories Inc. From 1991 to 1993, he served as head of performance and production control of Saras S.p.A., a refining oil company. Subsequently, from 1995 to 1999, Mr. De Bernardis worked for The Boston Consulting Group, as head of industry and consumer-related projects. In 1999 he became general manager of AMPS S.p.A., the provider of local public services in Parma, and worked on major development and restructuring projects including the acquisition of the networks ENEL, diversification into telecommunications (Albacom.AMPS S.p.A.), the spatial extension and the re-engineering of processes and the transfer of a significant participation to the consortium company Edizione Holding / San Paolo IMI. Prior to joining us, Mr. Bernardis served as the Chief Executive Officer of TeamSystem S.p.A. from 2001 to 2009.

Andrea Mignanelli

Mr. Andrea Mignanelli serves as Chief Executive Officer, Executive Director of Cerved Group S.p.A. He is the founder and CEO of Cerved Credit Management Group. The company specializes in the management of a wide range of non-performing loans and assets. Under his leadership, the company became part of the Cerved Group S.p.A. in 2011, strengthening its offer in the credit risk management sector. Before founding Cerved Credit Management Group in 2005, Mignanelli was a partner at McKinsey & Co., where he was responsible for Credit Risk Management Practice in Europe. From 1994 to 1997 he worked as a financial analyst at General Electric’s offices in London, New York and Rio de Janeiro. A graduate in Business and Economics from Milan’s Luigi Bocconi University in 1993, Mignanelli completed his education by earning a Master’s in Business Administration from INSEAD, France, in 1998.

Giovanni Sartor

Mr. Giovanni Sartor serves as Chief Financial Officer of Cerved Group S.p.A. He gained a degree in Statistics from the University of Padua then an MBA from ENI University. He is currently Head of Administration and Audit at Cerved Group S.p.A.. He has over 30 years of professional experience obtained with a number of well-known companies in Italy, Europe and the USA. His most significant roles included his work at Nylstar SpA from 1994 to 1999, where he initially acted as Chief Financial Officer, then IT Director, and finally VP Supply Chain and IT Director. In 1999 he moved to the USA and worked for CEO Nylstar Inc. until 2002. Returning to Italy, he acted as Chief Financial Officer and Head of IT Systems for the Seves Group, based in Florence. In 2009 he joined the Cerved Information Solutions as Head of the Finance, Administration and Audit division.

Sabrina Delle Curti

Adv. Sabrina Delle Curti has served as General Counsel, Executive Director, Secretary of the Board of Directors of the Company. Soon after graduating in law magna cum laude from Università degli Studi di Parma in 2001, she started her professional career at Bonelli Erede Pappalardo, a leading Italian law firm, where she mainly dealt with M&A operations in various industrial sectors and, as well as, she developed a specific expertise in the field of capital markets. In 2005 she was admitted to the bar at the Court of Appeals of Venice. In 2008 she decided to carry on her professional career accepting a role as "in house" with Sopaf S.p.A., where she has been able to consolidate her capabilities and skills in the field of M&A, both domestic and cross-border, and of IPOs. In 2011 she was appointed as General Counsel of Green Hunter S.p.A., a company operating in the business of renewable energies, where she has also held the position of Secretary of the Green Hunter S.p.A.'s Board of Directors and of its numerous subsidiaries. In July 2015 she was appointed as General Counsel of Cerved Group and responsible for legal and company affairs and, in August 2016, responsible for the Institutional Affairs of the Group. In September 2015 she was also appointed as member of the Board of Director of Cerved Information Solutions S.p.A. - now Cerved Group S.p.A., where she furthermore holds the position of Secretary of the Board of Directors. For many years she collaborated with the Department of Private Law, Faculty of Economics - University of Milan Bicocca under Prof. Franceschelli's supervision.

Simone Martina

Mr. Simone Martina is Human Resources Director of the Company. He has over 19 years of experience in the HR field, 9 of which in the financial industry managing global projects. International background, hands-on approach, reliable, curious, with a real passion for innovation and its impact on people working life, after a degree in Economics, he started his career in Watson Wyatt in London. During his 7 year experience as a consultant, he had the chance to work on multi – industry international HR projects which allowed him to develop a strong expertise on Executive Compensation, Long and Short Incentive design, implementation of HR IT platform, Grading & Expat Management. He then continued his career working for multinational companies like Uncredit Group (Pioneer Global Asset Management and Investment Banking), Edmond de Rothshild where he combined his strong technical background with people centred projects. He joined Cerved in 2017 as Senior HR Business Partner and Head of Reward contributing to the innovation of the HR function and worked on different projects aimed at creating high performing teams as well as supporting the business in designing change management and organizational strategies.

Pietro Masera

Mr. Pietro Masera has served as Corporate Development & Investor Relations Director of Cerved Group S.p.A. He began his professional career in 1994 in the Corporate Banking division of Union Bank of Switzerland in Zurich, and then moved on to UBS’s Mergers & Acquisitions division in London. In 1998, Mr Masera moved to BT Wolfensohn, which was subsequently merged into Deutsche Bank, where he continued his career in M&A. In 2001, he returned to his native city, entering the private equity sector at the Milan office of CVC Capital Partners. He has a degree in Economics and Trade from the University of Bergamo.

Roberto D'Ascanio

Mr. Roberto D'Ascanio serves as Financial Institutions Director of Cerved Group S.p.A. He gained a degree in Political Science with Law from the University of Milan. His first professional role was as an Account Executive at Addressvit Srl in 1986. In 1989 he moved to Cerved S.p.A., initially as a commercial operative, progressing to roles of increasing responsibility in the Commercial department, until he became Sales Director in 2001, coordinating the activity of 3 divisional heads, 32 direct reports and around 60 agents. Following the formation of Cerved Group S.p.A. in September 2009, he became Head of the Banks business unit, moving to the role of Head of Financial Institutions in July 2013.

Alessandro Geraldi

Mr. Alessandro Geraldi has acted as New Business & Advisory Director of Cerved Group S.p.A. He joined the company in 2017. He previously worked for 10 years as a partner of Bain & Company. He was in charge of strategy, restructuring, M&A, performance improvement and digital innovation for the main Italian and foreign companies operating in the financial sector. From 2002 to 2007 he worked at Banca di Roma (now Unicredit) with a focus on retail innovation. Beforehand, he worked as strategic consultant at Accenture and BGP management consulting. Alessandro has an Economics degree, earned with honors at Bocconi University in Milan.

Roberto Mancini

Mr. Roberto Mancini has served as Chief Commercial Officer of Cerved Group S.p.A. He holds a degree in Economics and Commerce from the Federico II University of Naples. After starting his career as a management consultant, in 1998 he joined Value Partners as manager in charge of organisation, strategy and finance projects. In 2001 he became Assistant to the General Manager of Wind Telecomunicazioni, and later took on the position of Area Director for the Central Region with the same company. In this role, he was responsible for all sales channels and for the technological network. Subsequently appointed Outbound Manager (Outbound Consumer Channel), he developed a number of successful projects, contributing to a growth of over 20% of the Central Region's sales area and a 30% increase in sales closed by the telemarketing channel, in just three months. In April 2004 he joined BT Italia, where he stayed 6 years, ultimately as Enterprise Director: in this position, he coordinated and managed commercial networks aimed at consumer and business clients. He subsequently took on responsibility for all sales channels and was appointed Managing Director of the company I Net acquired by BT Italia. During his career he has also been involved with marketing and customer services. In October 2010 he co-founded Ener20, the Italian photovoltaic company with the highest number of installations. From September 2015, he has been the Sales General Manager of Cerved Group S.p.A.

Valerio Momoni

Mr. Valerio Momoni serves as Marketing, Product & Business Development Director of Cerved Group S.p.A. He obtained a degree in Business Administration from LUISS Guido Carli University in Rome, then an MBA from Columbia Business School in New York. Before entering the Cerved Group, he worked as a manager at the McKinsey group in 2003, overseeing strategic projects for leading companies in various sectors and geographical areas. From 2001 to 2003 he worked as a Senior Analyst for Deloitte Consulting with a focus on hedge funds, gaining significant experience in the asset management sector. In September 2011 he took on the role of Head of Corporate Development at Cerved Group, and he has been the Head of Marketing & Product Development since July 2013.

Fabio Cerchiai

Dr. Fabio Cerchiai is Lead Independent Director of Cerved Group S.p.A. Mr. Cerchiai holds an economics and commerce degree from the University of Rome. He began his career in the insurance industry in Assicurazioni Generali where he held various positions until his appointment as chief executive officer and vice chairman until 2002. Mr. Cerchiai has been a member of the boards of directors of several companies in the economic and financial sectors in Italy and abroad. Mr. Cerchiai was the President of INA Assitalia, the President of ANIA - National Association of Insurance Companies, the President of SIAT Società Italiana di Assicurazioni e Riassicurazioni p.a., the President of Autostrade per l’Italia SpA until January 2019 and President of UnipolSai SpA until April 2016 where he now serves as Vice President; he was President of Cerved Group SpA until April 2019 where he currently acts as Lead Independent Director. He is President of Atlantia SpA, Edizione Srl, Sintonia SpA, Arca Vita SpA and Arca Assicurazioni SpA. In addition, he has been vice president of Diplomatia, Director of AISCAT - Associazione Italiana Concessionarie Autostrade e Trafori since 2010. Mr. Cerchiai is member of the general council and the executive committee of ASSONIME - the Association of Italian Joint Stock Companies, member of the executive board of Censis Foundation, member of the executive board of ANSPC – Ass.ne Naz.le per lo Sviluppo dei Problemi del Credito and academic member of AIDEA – Italian Academy of “Economia Aziendale”. Since 2011, Mr. Cerchiai is adjunct professor at the Catholic University of the Sacred Heart of Milan - Faculty of Banking, Finance and Insurance.

Umberto Nicodano

Mr. Umberto Carlo Maria Nicodano is Director of the Company. Graduated in 1974 at the University of Milan, Mr. Umberto Carlo Maria Nicodano is member of the Italian BAR and is graduated in 1974 at the University of Milan. Mr. Umberto Carlo Maria Nicodano is Chairman at Green Hunter SpA and Green Hunter Group S.p.A., Vice Chairman at Valentino S.p.A., Director at Vicuna Holding SpA and Levriero Holding SpA and Director and member of the Remuneration and Nomination Committee at Brembo S.p.A.

Andrea Casalini

Dr. Andrea Casalini is Independent Director of the Company. He is a shareholder and the Chief Executive Officer of Eataly Net. Eataly Net is the e-commerce arm of Eataly, a fast growing retailer of Italian high quality food and beverage. Since 2014, in his role, Andrea is developing Eataly’s omnichannel proposition. From 2000 to 2013 Andrea was the CEO of Buongiorno SpA, a worldwide leading company in digital entertainment content for mobile devices. He has led the company from being a start up to being the largest global company in its segment and to be a listed company on the Milan Stock Exchange. In July 2012 Buongiorno was acquired by NTT DOCOMO, a large multinational telecommunication group, through a friendly Public Tender. Previously, he was with EDS, Electronic Data Systems, as the Managing Director for the Italian operations and, later, for the E-solutions line of business at EMEA level. From 1989 to 1996 he was a management consultant with McKinsey & Company (Milan and Chicago) and, at the beginning of his career, with Accenture. Since 2016. he serves as an independent director on the Board of Amplifon s.p.a., the global leader in hearing aids retailing, listed on the Milan Stock Exchange. In Amplifon Andrea also chairs the Committeee for contracts between related parties of the Company and is part of the Compensation Committee. He is also a director of Assist s.p.a. a customer care service and digital CRM specialist and of Engagigo s.r.l., a start-up running an online community of endurance sports fan, Endu.net. From 2008 to 2017, he was an independent director on the Board of Gruppo Mutui on Line, a mortgage brokering and business process outsourcing company, listed in Milan, where he has also chaired the Compensation committee. He is an investor in several digital start ups, including Shopfully and Talent Garden. He invests also through Borealis Tech Ventures, an early stage investment vehicle which he has created together with some entrepreneurs from Parma.

Mara Caverni

Ms. Mara Anna Rita Caverni has served Independent Director at Cerved Group S.p.A. Ms. Caverni holds a degree in economics and finance from the Università Commerciale Luigi Bocconi in Milan. She started her professional career in Paris at PricewaterhouseCoopers in 1993, after which she transferred to London in 1998 where she worked for PricewaterhouseCoopers Transaction Services. Between 1994 and 1996, she served as chief financial officer at a company controlled by a multi-national company. In 1999, she became partner at PricewaterhouseCoopers, a position she held until 2011, having served as the head of the European Private Equity Transactions division from 2003 until 2005, and subsequently, as the head of the Italian Private Equity division from 2005 until 2011. In 2012, she founded New Deal Advisors S.p.A. of which she is the managing partner. She has held and currently holds several positions as director in a number of companies. Until 2010, she was a visiting professor at the master’s program in Merchant Banking at the Università Carlo Cattaneo – LIUC di Castellanza (VA) and since 2011, she has been a member of the executive committee of Master (FINBANK) at the Catholic University of the Sacred Heart of Milan. She is the co-author of various publications on the topics of M&A, private equity and due diligence. She is admitted to the roll of Chartered Accountants and Chartered Auditors.

Valentina Montanari

Ms. Valentina Montanari has served as Independent Director at Cerved Group S.p.A. since April 29, 2016. She has been appointed as Head of Finance and Control of Gruppo 24 ORE since 1st October 2013. She covered the role of CFO in Gefran, leading company in the field of industrial automation and listed in the STAR segment of Borsa Italiana, from July 2012 to 2013. She also worked as Head of the Administration and Tax department in Gruppo RCS from 2003 to 2012, with the last two years spent as CFO of Dada (Gruppo RCS). Valentina Montanari holds a degree in Economics and Commerce from the Università Statale of Pavia, and earned a Master in Business Administration from SDA Bocconi.

Mario Pitto

Mr. Mario Francesco Pitto is Independent Director of the Company. Mr Pitto graduated in Law at University of Urbino on October 30, 1978, presenting a thesis in Economic Law entitled “Observation on Maritime Charters”. Have been enrolled on the Register of Chartered Accountants and Accounting Experts in Vicenza since 1992 and on the List of Auditors since 1995. Since 1990, took part in notary tenders organised by the Ministry of Justice in Rome, and meanwhile assisted various notary firms in Genoa and in Bassano del Grappa. During this time, chiefly advised about contracts in the areas of Civil, Inheritance and Corporate Law and associated tax matters. Since 1992, providing accountant activity in his office in Bassano del Grappa with focus on consultancy services to medium and large-sized companies on corporate matters and tax affairs including in the international context, as well as advice on company restructuring. Have been a supporter of the “Universitatis Bassanensis Schola De Negotiis Gerendis - Ethics and Economics” Foundation which develops activities aimed at exchanging business skills between different parts of the world. Held the position of Judge for the Provincial Tax Commission of Vicenza, acting as special deputy no. 2 for the Official Record: from 4 September 1996 to 23 October 2001.Held the position of Honorary Judge at the Civil and Penal Court of Bassano del Grappa, from 1998 to 2007. Aurelio Regina

Mr. Aurelio Regina serves as Independent Director at Cerved Group S.p.A. Mr. Regina holds an honors degree in Political Science from the University of Social Science of Rome. He has been an assistant at the Methods for International Conflicts Resolutions department, as well as an assistant at the Global Strategy at the Military School. In 1986, he won the Palazzo di Vetro award in New York for his work on Middle East conflicts. In 1988, he became the head of communications and public and legal relations at Procter & Gamble in Italy. In 1991, he became director of corporate affairs for the Philip Morris Group in Italy and, subsequently, managing director of Philip Morris Corporate Services Inc. and Philip Morris S.r.l. Between 2008 and 2012, he was president of Unindustria-Union of Industrialists and Companies of Rome, Frosinone, Rieti and Viterbo (formerly Union of Industrialists and Business in Rome) and President of Confindustria Lazio where he became vice president with responsibility for economic development in 2012. He has held and currently holds several positions as director and chairman of the board of directors of various companies. He is also vice president of the Center for American Studies and is a member of the board of directors of the Aspen Institute Italia.

Alessandra Stabilini

Ms. Alessandra Stabilini is Independent Director of the Company. A Law graduate of the University of Milan. Gained a Master of Laws (LL.M) at the Law School of the University of Chicago, Chicago (USA). She has a PhD in Commercial Law from the Bocconi University Business School. Research fellow in commercial law at the Law School of the University of Milan, appointed to the role in 2004 and confirmed in 2007. From 2011 to 2017, she has been an Adjunct Professor and in charge of the course on International Corporate Governance (until the academic year 2015/2016), then for the course of Corporate Interest, Corporate Social Responsibility and Financial Reporting (from the academic year 2016/2017). Admitted to the Milan Bar in 2001. Equity Partner of Nctm Studio Legale Associato, Milan since 2015. Previously Associate, Of Counsel (2011-2015). She specializes in company law, with specific regard to listed companies, in securities law and financial markets, including banking for regulatory and crisis profiles. She has acted and acts as legal counsel to Italian issuers in connection with: IPOs, rights issues, tender offers, corporate governance issues (legal issues in management and control, corporate regulations and procedures, shareholders’ meetings, investor relations), market disclosure and price sensitive information, relations with Securities Authorities, administrative proceedings before Regulatory Authorities.
