Name Description

Sebastian Kulczyk

Mr. Sebastian Kulczyk has served as Chairman of the Supervisory Board of CIECH S.A. since October 8, 2015. He was Member of the Supervisory Board of the Company from August 26, 2015. Since 2010 he has been involved in Kulczyk Investments Group. In December 2013, he became the Chief Executive Officer of Kulczyk Investments. From 2009 to 2010, he worked at an investment bank, Lazard, in London. Experienced manager of companies from the e-business sector. He also worked in the department for digital media at SonyBMG, New York. For many years, he has invested in and developed new-tech ventures. He graduated from Uniwersytet im. Adama Mickiewicza w Poznaniu in 2005, majoring in management and marketing and in 2002 he studied project management and HR at the London School of Economics.

Dawid Jakubowicz

Mr. Dawid Jakubowicz has been Acting Chairman of the Management Board, Member of the Supervisory Board at CIECH S.A. since September 10, 2018. He has been Member of the Supervisory Board of Ciech S.A. since June 22, 2018. Since 2013 he has served at KI One S.A.(formerly Kulczyk Holding SA), currently as Director of the Portfolio Management Department. Between 2011 and 2013 he served at Magro International Capital Group as Manager of Controlling. From 2010 to 2011 he was KPI Retail Group Controller at KPI Business Services Sp. z o. o. Between 2005 and 2010 in KPMG Audyt he was involved in studies of standalone and consolidated financial statements of companies from various industries. Mr. Jakubowicz graduated from Uniwersytet Ekonomiczny w Poznaniu. He also has a MBA title from the Uniwersytet Ekonomiczny w Poznaniu and Georgia State University.

Tomasz Mikolajczak

Mr. Tomasz Mikolajczak has been Vice Chairman of the Supervisory Board of CIECH S.A. since July 10, 2014. He was Member of the Supervisory Board at the Company from July 4, 2014. He is Chairman of the Remuneration Committee at the Company. Since 1980, he has been a private investor operating mainly through the holding company Towarzystwo Inwestycji Kapitalowych S.A. Through this company, he completes short- and medium-term private equity investments. He invests mainly in property, teleinformatics, construction and industry automation industries and companies that specialize in the design and building of infrastructure. Since the beginning of his activities, he has completed several privatization processes. As a strategic investor, he also participated in the acquisition of many businesses and their restructuring processes. He is a mentor and promoter of several young entrepreneurs that operate successfully in many areas of the Polish business. He is also Chairman of the Audit Committee of the Polish Business Roundtable. He has been Member of Supervisory Boards of Kulczyk Investments S.A., Kulczyk Holding S.A., Polish Energy Partners S.A., Polenergia Holding S.a.r.l.

Artur Osuchowski

Mr. Artur Janusz Osuchowski has been Member of the Management Board of Ciech S.A. since April 2, 2008. From 2003 to 2008 he served as a manager in the Economic Advisory Department of KPMG Advisory. During that period, he was responsible for the development of services in the field of strategic projects, enterprise operations restructuring, as well as projects related to operation financing and direct investment support. From 1998 to 2003, he was a senior consultant in the Corporate Finance Department of Ernst & Young, where he participated in merger and acquisition projects on the capital and strategic market, as well as in projects related to enterprise operations restructuring and reorganization. From 1996 to 1997, he was involved with Raiffeisen Bank Polska, where he worked as an analyst in the management accounting department. Mr. Osuchowski graduated from Faculty of Economics of Prywatna Wyzsza Szkola Biznesu i Administracji w Warszawie in Finance and Banking. He also completed professional training in business value management, capital market company appraisal and enterprise operations restructuring. Furthermore, he received scholarships from the weekly Die Zeit, the American Council on Germany, and the Dreager Foundation.

Miroslaw Skowron

Mr. Miroslaw Stanislaw Skowron has been Member of the Management Board of CIECH S.A. since September 10, 2018. He is responsible for production, energy and maintenance. He was Chairman of the Management Board of Przedsiebiorstwo Budowy Kopaln S.A., Grupa KGHM, Polimex-Energetyka Sp. z o.o., Energa Elektrownie Ostroleka S.A., Energa Invest S.A., PGE Elektrownia Opole S.A. He graduated from Politechnika Wroclawska, holds an MBA degree from Akademia Ekonomiczna we Wroclawiu (currently Uniwersytet Ekonomiczny we Wroclawiu).

Krzysztof Szlaga

Mr. Krzysztof Szlaga has been Member of the Management Board of Ciech S.A. since March 12, 2018. Mr. Szlaga worked for Lubelski Wegiel BOGDANKA S.A. from 2013 to 2018, as President of the Management Board (from 2016) and formerly - Deputy President of the Management Board, Purchases and Investment. Formerly he worked for RUCH S.A. as Supply Chain Management Director, CTL Logistics S.A. as Member of the Management Board and Supply Chain Management Director, Roland Berger Strategy Consultants as Project Manager, Ernst & Young Audit as Audit Senior and KPMG Deutsche Treuhand-Gesellschaft (Munich) as Audit Senior. He gained a degree in Banking from the Faculty of Finance and Banking of Akademia Ekonomiczna w Krakowie (currently Uniwersytet Ekonomiczny w Krakowie) in 2001. In 2001, he gained diploma Betriebswirt at University of Applied Sciences in Kiel.

Mariusz Nowak

Mr. Mariusz Nowak has been Member of the Supervisory Board of CIECH S.A. since July 7, 2014 and he has been Secretary of the Supervisory Board since July 24, 2018. He is Member of the Company's Remuneration Committee and of the Audit Committee. He is a graduate from Uniwersytet Szczecinski, the Faculty of Economy and the Faculty of Cybernetics and Computer Science. He also holds the title of MBA of Ecole Nationale des Ponts et Chaussees in Paris. He specializes in the field of finance, accountancy and business administration. In 2012, he was hired by Kulczyk Investments and Kulczyk Holding. Previously, from March 2010, he served as Financial Director of Kulczyk Pon Investments and President of the Management Board of Magro International. In 1991-2010, he worked in a variety of positions for Wavin Group, in which he was appointed Managing Director of Wavin Ekoplastik in 2007. Mr. Nowak is Member of several Supervisory Boards — PEKAES S.A., PEP S.A., Autostrada Wielkopolska S.A., Autostrada Wielkopolska II S.A., Autostrada Eksploatacja SA and AWSA Holland II BV.

Piotr Augustyniak

Mr. Piotr Augustyniak has been Independent Member of the Supervisory Board of CIECH S.A. since July 7, 2014. He is Chairman of the Audit Committee at the Company. He is a graduate of Uniwersytet Warszawski, Faculty of English Philology and the Faculty of Business Administration. He is an independent financial advisor. In 1994-2011, he worked for Enterprise Investors (EI) as an analyst, investment director and vice-president. In 2006-2011, he co-operated with EI as partner. In that period, he was responsible for the monitoring and participated in 40 transactions related to EI companies — sale of control blocks of stocks in the private market (Bauma, Agros Nova, Opoczno), entrance of companies to the WSE (at present: Asseco Poland, PEP, Opoczno, Teta, Sfinks, AB, Magellan). Mr. Augustyniak also performed financial restructuring of the Slovak logistics company STD Donivo (he was responsible for the preparation of and supervision over the restructuring plan involving negotiation with a group of banks financing the company). In June-December 2001, he served as President of the Management Board of Energoaparatura S.A. In 1993-1994, he was project manager and then head of a privatization team in the Ministry of Privatization. In 1992-1993, he was employed as a financial officer's assistant in a privatization foundation connected with the Ministry of Privatization. In 1991-1992, he worked as a translator for the New York Times (Warsaw). Mr. Augustyniak is also Member of the Supervisory Board of: Asseco Poland S.A., PZ Cormay S.A.

Artur Olech

Mr. Artur Olech has been Independent Member of the Supervisory Board of CIECH S.A. since July 7, 2014. He is Member of the Audit Committee at the Company. From November 1998 to February 2014, Mr. Olech served in the Management Board of the Generali Group. In 2003-2008, he was Member of the Management Board, then Vice-President of the Management Board responsible for life and pension insurances. In 2010, he was appointed President of the Management Board, and he held this position until 2014. In 1997-1998, he served as Director of Volkswagen Bank Polska/Volkswagen Leasing Polska-Warszawa. From 1996 to 1997, he worked as analyst in the Polish Institute of Management (PIM Sp. z o.o.). Previously, he worked for three years as project manager in Fundacja CASE Consulting (Fundacja Centrum Analiz Spoleczno-Ekonomicznych) in Warsaw. He is a graduate from the Faculty of Law at the Uniwersytet Warszawski and from the Faculty of Finance and Banking at the Szkola Glowna Handlowa w Warszawie. He completed numerous training courses for senior management, e.g. at the Harvard Business School, Kellogg School of Management and Chicago GSB.
