Name Description

Rodolfo De Benedetti

Dr. Rodolfo De Benedetti has served as Chairman of the Board of CIR S.p.A. - Compagnie Industriali Riunite since April 29, 2013. He is also Chairman of Cofide, Sogefi and Director of Gruppo Editoriale L’Espresso. He previously served as Chief Executive Officer, Executive Director and General Manager of the CIR Group. He was appointed Chief Executive Officer of the Company in 1993. Previously, he held the position of General Manager at CIR from 1990 to 1993 and at COFIDE, from 1989 to1995. He joined COFIDE in 1988, as Director of International Business, remaining in this position for a year. Dr. De Benedetti worked for Lombard Odier (Geneva) from September 1985 to December 1986 as Assistant to Chief Executive Officer, and from January 1987 to January 1988 for Shearson Lehman Brothers (New York) as Associate in the Merchant Banking Group. Since May 2006 he is a member of the European Advisory Board of the Harvard Business School, while since November of the same year he is a member of the European Round Table of Industrialists. He is a Director of Banque Syz. Dr. De Benedetti holds two University degrees, both from Universite de Geneve, where he graduated in Political Economy in 1982 and in Law in 1985.

Carlo De Benedetti

Eng. Carlo De Benedetti has served as Honorary Chairman and Director of CIR S.p.A. - Compagnie Industriali Riunite SpA since April 30, 2009. He was Honorary Chairman an Director at the firm. He is the Founder of the Company and till April 30, 2009 served as Chairman of the Board of the Company. Since April 2006 he has been Chairman of Gruppo Editoriale L'Espresso and Finegil Editoriale. On April 19, 2005, he was appointed Honorary Chairman of Sogefi. In March 2000 he founded CDB Web Tech , in which he serves as Executive Chairman. He is also a Board Member of Valeo, Pirelli and Banca Intermobiliare. He has been a founding member in 1983 of the European Round Table of Industrialists (Brussels) of which he has been Vice Chairman until 2004. He has been also Member of the European Advisory Committee of the NYSE from 1985 until June 2005. He is currently Member of the International Council of the CSIS-Center for Strategic & International Studies (Washington); the Royal Swedish Academy of Engineering Science (IVA), (Stockholm), The Italian Council of INSEAD - The European Institute of Business Administration (Fontainebleau). In December 1998 he established the Rodolfo De Benedetti Foundation which he chairs. He is Chairman of the Foundation Together to Go – TOG which he founded in 2011 for the rehabilitation of children who have suffered neurological problems. His entrepreneurial career started in 1959 in the family business company Compagnia Italiana Tubi Me tallici Flessibili, which was transformed into Gilardini of which he was Chairman and CEO from 1972 to 1976. From 1978 to 1983 He was Vice Chairman and CEO of Olivetti, Chairman and CEO of the Company from 1983 to 1996, Honorary Chairman from 1996 to June 1999. He was awarded the title of Cavaliere del Lavoro in 1983 and received the French Legion d'Honneur in 1987. In 1986 he received an honorary degree in law from the Wesleyan University, Middletown, the United States. He obtained a degree in Electrical Engineering at Politecnico di Torino graduating in 1958.

Monica Mondardini

Dr. Monica Mondardini has served as Chief Executive Officer, General Manager and Executive Director of CIR S.p.A. - Compagnie Industriali Riunite since April 29, 2013. She has served as Chief Executive of Gruppo Editoriale L'Espresso since January 2009. Within the CIR group she is also a director of the subsidiaries Sorgenia, Sogefi and KOS. She graduated in Statistical and Economic Sciences from the Universita degli Studi di Bologna. Her professional activity has been in the publishing and finance sectors and she has had experience abroad. She started her career in 1985 in the Fabbri publishing group, taking part in an international development project which in 1989 took her to Spain. In 1990 she joined Hachette, the French publisher belonging to the Lagardere group; first she managed the Spanish branch of Hachette Livre and then, in 1993, was appointed Director of the international branch, with headquarters in Paris, and member of the Executive Committee of Hachette Livre. In 1998 she joined the Generali group as Managing Director of Europ Assistance with headquarters in Paris. In 2000 she became head of the Planning and Control department of the Generali group, with headquarters in Trieste, and in 2001 was appointed as Chief Executive of Generali Spain, with headquarters in Madrid, where she stayed until 2008. She is also an independent director of Credit Agricole S.A., Atlantia S.p.A. and Trevi Finaziaria Industriale S.p.A.

Michele Cavigioli

Mr. Michele Cavigioli has served as Finance Director of CIR S.p.A. - Compagnie Industriali Riunite since September 1, 2010. He is also responsible for relations with Financial Analysts and Institutional Investors within the Company. From 2005 until 2010, he was Director within the Company’s Investments group, where he managed investment projects mainly in Finance, Healthcare and Transportation. He is Member of the Board of Directors of Jupiter Finance, Euvis, KTP Global Finance, Ktesios and other related subsidiaries. From 1996 to 2005, he worked at McKinsey & Company in Milan, as Associate Principal since 2004, mainly in the Telecommunication, High Tech, Finance and Retail sectors. Prior to that, he worked for Deutsche Bank (Milan) and Magnemag AG. Mr. Michele Cavigioli graduated in Electronics Engineering at Politecnico di Milano in 1994 and was awarded an M.B.A. at INSEAD or Institut Europeen d'Administration des Affaires, France, in 1998.

Giuseppe Gianoglio

Mr. Giuseppe Gianoglio has served as Chief Administrative Officer and Corporate Governance of CIR S.p.A. - Compagnie Industriali Riunite since March, 2013. He served as Director of Administration since January 1, 2006 and as Financial Reporting Officer since January 28, 2013. He also served as Director of Internal Auditing from June 2004 to March 2013. He also serves as Member of the Supervisory Body of the Company. Prior to his appointment he served as Director of Internal Auditing of the Company from June 2004 to January 1, 2006. From 1992 to 2004, he was Group Controller and Administrative Director of the Costa Crociere Group in Genova. Previously, he was Director of Administration and Control for Alpitour Italia in Cuneo and Head of Consolidated Accounting and Reporting for the GFT Group in Turin. He began his professional career in 1981 with the firm of auditors PricewaterhouseCoopers in Turin, leaving in 1985. He graduated in Economic and Banking Sciences from the Universita Cattolica del Sacro Cuore in Milan in 1986.

Dr. Massimo Segre has served as Secretary to the Boardof CIR S.p.A. - Compagnie Industriali Riunite since April 29, 2011. Prior to his appointment he served as Non-Executive Director of the Company. He has been on the Register of Business Accountants since January 1984 and on the Register of Official Auditors since January 9, 1985. He has been Technical Specialist with both the Turin Law Court and the Ivrea Law Court since April 8, 1991. He has been on the Register of Journalists (List of Contributors) since June 4, 1992 and has been on the Register of Business Consultants since November 15, 1993. He has been on the Register of Auditors since April 21, 1995 and has been on the List of Experts for mandates of inspection with Fiduciary Companies since October 19, 1993. Since June 19, 1996 he has been registered as a Technical Specialist for the Interbank Guarantee Fund and since November 10, 1999 he has been on the Register of Technical Experts of the Turin Law Court. Dr. Segre is Joint Owner of Studio Segre and he sits on various Boards of Directors and numerous Boards of Statutory Auditors. He is Director of AEDES SpA, BANCA INTERMOBILIARE SpA, CDB WEB TECH SpA, COFIDE SpA, IPI SpA and Borsa Italiana SpA. He is Auditor of the Committee for Promoting the Transpadana Rail Route (formerly the Committee for Promoting High Speed Rail) and Member of the General Board of Compagnia di San Paolo. Guido Tabellini

Prof. Guido Tabellini has served as Non-Executive Lead Independent Director of CIR S.p.A. - Compagnie Industriali Riunite since April 29, 2008. He has also acted as Member of the Appointments and Remuneration Committee of the Company. He is Professor of Political Economics at Universita Bocconi, where he is Chairman of Innocenzo Gasparini Institute for Economic Research (IGIER) and Member of the Privatization Committee. Previously, he was Full Professor at Stanford University, U.C.L.A. and at Universities of Cagliari and Brescia. He has been Researcher for various international institutions and universities, such as Federal Bank of the United States, Institute of International Economic Studies of Stockholm and Carnegie-Mellon University. He has been Member of the Board of Economic Experts for the Prime Minister’s Office and a Consultant for International Monetary Fund. Prof. Guido Tabellini is Member of various domestic and international research centers, including CESifo (Munich) and Centre for Economic Policy Research (London), and of numerous scientific and editorial committees. He is Fellow of the Econometric Society, Winner of the Y. Jahnsson Award, conferred by the European Society of Economists, Honorary Foreign Member of American Academy of Arts and Sciences, Chairman of the European Society of Economists since 2005, Author of numerous scientific publications on macroeconomics and macroeconomic policy, international and public economics. He is also Editorial writer for il Sole 24 Ore. He graduated in Economics from Universita degli Studi di Torino. He obtained a Ph.D. degree in Economics from California State University, Los Angeles (U.C.L.A) in 1984.

Edoardo De Benedetti

Mr. Edoardo De Benedetti has served as Non-Executive Director of CIR S.P.A. - COMPAGNIE INDUSTRIALI RIUNITE SIGLABILE CIR S.P.A. since June 30, 2014. He is a doctor specializing in internal medicine and cardiology and works in the cardiac catheterization department at the Hôpital de La Tour in Meyrin (Switzerland). Since 2003, in addition to being co-responsible for interventional cardiology, he practices his profession as a cardiologist in a private practice. After his university studies at the Faculty of Medicine of the University of Geneva, where he graduated in 1990, he obtained in 1995 the Swiss specialty in internal medicine and then in cardiology in 1998 at the University Hospital of Geneva. From 1999 to 2003 he was primary at the CHUV in Lausanne where he specialized in interventional cardiology. In 2000, thanks to a research grant, he worked as a researcher at the National Institute of Health and Medical Research (INSERM) in Paris, also lending his activity as an interventional cardiologist at the Bichat-Claude Bernard hospital. He has been involved in various humanitarian missions at the hospitals of Sarajevo (Bosnia), Tbilissi (Georgia) and Djakove (Kosovo) and is the author of numerous articles published in various specialized magazines, in the field of cardiovascular medicine. Edoardo De Benedetti is on the Boards of Directors of CIR and COFIDE. He is also on the scientific committee of the Together to Go - TOG Foundation which deals with the rehabilitation of children affected by neurological disorders.

Franco De Benedetti

Mr. Franco De Benedetti has served as Non-Executive Director at CIR S.p.A. - Compagnie Industriali Riunite. In 1959 he joined Compagnia Italiana Tubi Metallici Flessibili, where he became Head of Production and Development. From 1976 to 1978, he was Manager of the Components Sector of Fiat and in 1978 he became Chief Executive Officer of Olivetti. Mr. Franco Debenedetti founded Tecnost and Teknecomp and in 1989 he created OiS – the information services group. In 1986 he was appointed Chairman and Chief Executive Officer of Sasib, positions which he left when he became a candidate for the Senate of the Republic. From 2000 to 2004, he chaired the Interaction Design Institute Association of Ivrea, where he was Founding Member. In 1994 he was elected Senator of the Republic for the constituency of Turin. He has contributed numerous articles to the main Italian newspapers and magazines (La Stampa, Corriere della Sera, Sole 24 Ore, Panorama, Il Riformista). In June 1996 he received Ezio Tarantelli award from the Economics Club for the idea of the year 1995 in Economics and Finance for his draft bill on privatization of Bank Foundations. He is Director of the Rodolfo Debenedetti Foundation. He graduated in 1956 in Electrical Engineering from Politecnico di Torino. In 1957 he specialized in Nuclear Engineering.

Marco De Benedetti

Mr. Marco De Benedetti has served as Non-Executive Director of CIR S.P.A. - COMPAGNIE INDUSTRIALI RIUNITE SIGLABILE CIR S.P.A. since June 30, 2014. He is Managing Director of Carlyle since November 2005. He is President of GEDI Gruppo Editoriale S.p.A. from 2017 and Fratelli De Benedetti S.p.A. since 2013, he is a director of CIR S.p.A. since 2014 and of Cofide S.p.A. since 1994. He is Chairman of Marelli Motori S.p.A., Comdata S.p.A. and Twin-Set Simona Barbieri S.r.l. and is a director of Moncler SpA, NBTY, Inc. and Logoplaste S.A. He held the position of Chief Executive Officer of TIM from July 1999 to July 2005 and of Chief Executive Officer of Telecom Italia (July 2005 - October 2005). Marco De Benedetti graduated in History and Economics at Wesleyan University in 1984. In 1987 he received a Masters of Business Administration from the Wharton School of Business at the University of Pennsylvania.

Philippe Bertherat

Mr. Philippe Bertherat has acted as Non-Executive Independent Director of CIR S.P.A. since April 28, 2017. He has acted as Member of the Appointments and Compensation Committee since April 28, 2018. Mr. Philippe Bertherat graduated in Law at the University of Geneva. He began his professional career in Kleinwort Benson in London before entering in 1984 in Pictet financial group. He has been currently a Limited Partner of the Pictet group, a member of the Advisory Council of Sotheby's e advisor of Athena Art Finance. He has served as Chairman of the Board of Directors of the Mamco (Museum of Modern and Contemporary Art) of Geneva and director of Geneva Call.

Maristella Botticini

Dr. Maristella Botticini has served as Non-Executive Independent Director of CIR S.p.A. - Compagnie Industriali Riunite since April 29, 2011. She also serves as Member of the Audit Committee of the Company. She is Professor of Economics (since 2009) and Director of the Innocenzo Gasparini Institute of Economic Research (since 2011) at the Bocconi University in Milan. She is a Director of the European Economic Association and a fellow of the Centre for Economic Policy Research (CEPR) in London. Previously she was Professor of Economics at the University of Turin and Associate Professor at the Department of Economics of Boston University. During her academic career in the United States she received recognition such as the Alfred P. Sloan Research Fellowship and a CAREER grant from the National Science Foundation. She carries out research on economic history, microeconomics and the economics of institutions. She is the author of various articles published in international journals and of two books soon to be published by the Princeton University Press. She graduated in Political Economy from the Universita Commerciale Luigi Bocconi in 1990 and obtained a Ph.D. in Economics from the Northwestern University in 1997.

Silvia Giannini

Ms. Silvia Giannini has served as Non-Executive Independent Director of CIR S.p.A. - Compagnie Industriali Riunite since April 29, 2011. She has also served as Member of the Audit Committee of the Company. She has been full Professor of Financial Science at the University of Bologna since 1993, where since November 2008 she has been Director of the Department of Economic Sciences. She is also a contract Professor of Financial Science at the Faculty of Law of the Luiss Guido Carli University of Rome. Previously she was temporary Professor at the University of Cagliari and a regular professor of Financial Science at the Higher School of Public Administration. She has taken part in various research groups and working commissions with the Ministry of the Economy and Finance. She has been a Member of the Executive Committee and of the Management Committee of the Inland Revenue Department. She is the author of numerous Italian and international publications on the subject of taxation. She is also Member of the Editorial Management of Political Economics and is on the Editorial Committee of the magazine Il Mulino. She graduated in Political Science with a political and economic focus from the Universita degli Studi di Bologna in 1976.

Maria Grieco

Ms. Maria Patrizia Grieco has served as Non-Executive Independent Director of CIR S.P.A. - COMPAGNIE INDUSTRIALI RIUNITE SIGLABILE CIR S.P.A. She also served ad a Member of the Appointments and Compensation Committee. She has acted as Chairman of the Board of Directors of Enel since May 2014. She graduated in law at the Universita degli Studi di Milano, she began her career in Italtel in 1977, taking on the role of head of the legal and general affairs department in 1994. Again in Italtel in 1999 she was appointed general manager with the task of reorganizing and re-positioning the company of which she will become CEO in 2002. She later became CEO of Siemens Informatica, partner of Value Partners and CEO of the Value Team (today NTT Data). From 2008 to 2013 she was Chief Executive Officer of Olivetti, of which she also took over the Presidency in 2011. She has also been a director of Fiat Industrial and is currently a board member of Anima Holding, Ferrari, Amplifon, Bocconi University and the MAXXI Foundation - National Museum of the XXI Century Arts. She is also a member of Assonime's board of directors.

Claudio Recchi

Dr. Claudio Recchi has served as Non-Executive Independent Director at CIR S.p.A. - Compagnie Industriali Riunite. He has also served as Member of the Appointments and Remuneration Committee and the Internal Control and Risks Committee of the Company. He has been Chairman of Recchi Group, which operates in the sector of infrastructure building and engineering both in Italy and worldwide. He has been Chairman of the National Committee of General Enterprises and Vice Chairman of the National Association of Building Constructors (ANCE). He has held the position of Director in a number of companies, including Olivetti, Mondadori, Buitoni, Tecnost, Acquedotto De Ferrari Galliera and Banca Cuneese Lamberti e Meinardi.
