Yasar Begumhan Dogan Faralyali

Ms. Yasar Begumhan (Begum) Dogan Faralyali has served as Non-Executive Chairwoman of the Board of Directors of Dogan Group of Companies Inc. since January 1, 2012. Begum received her bachelor’s degree in Economics and Philosophy from London School of Economics of University of London (UK) 1998 and earned her MBA degree from Stanford University (USA) 2004. She started her professional career as a consultant at Arthur Andersen NY office and moved to London Office of Monitor Group, where she worked as a consultant for restructuring European media and technology companies. From 2004, she hold different positions at Dogan Media Group. Starting from 2007, she led the startup process of Kanal D Romania a national entertainment channel in Romanian that is one of the top 3 channels in Romania. She became the CEO of Star TV in 2009 and became the President of Dogan TV Holding that contained two national entertainment channels, a news channel, radios and a production company. Begum became the Chairwoman of Dogan Holding on January 2012 which is a publicly traded company with a group of companies in energy, retail, tourism, real estate development, media and industry. She is the President of Dogan Burda Magazine Group and Dogan Egmont Publishing Group and Kanal D Romania. She is on the Advisory Board of Graduate School of Business (GSB) at Stanford University. She is the founder and active spokesperson of the “Common Values Movement” in Turkey and a voluntary ambassador for a “Values Driven Society”. She is also a board member of the trustees of World Wild Fund (WWF), the dream partner of Young Guru Academy (YGA), a non-profit organization working with young social entrepreneurs and a member of the advisory board of UNDP Istanbul International Center for Private Sector in Development.

Caglar Gogus

Mr. Caglar Gogus has served as Chief Executive Officer, Executive Member of the Board of Directors, Member of the Executive Committee of Dogan Group of Companies Inc. since January 15, 2019. Caglar Gogus has earned his B.Sc. degree in Business Administration at Bilkent University in Turkey 1995, and his MBA degree at University of Florida, and he began his professional career in 1996 as a Senior Analyst at Coopers & Lybrand (current PwC). Following his duties as Senior Analyst and consultant at Arthur Andersen and AT Kearney, in 2000, he joined the Peppers & Rogers Group. Attaining international partnership of the Peppers & Rogers later on, and assuming his duties as the General Manager in charge of all regions for after sales services, he played an important role in Peppers&Rogers’ growth in EMEA region as well as other regions. He has gained expertise particularly in strategic growth and transformation through his consultancy efforts for over fifty major companies and regulatory authorities across a wide geography. He attained vast experience in the new economy world as well as in classic economy. He joined the Dogan Group in 2015 as an Independent Board Member at Hurriyet Gazetecilik. After having assumed this duty for one year, he served as the Chief Executive Officer of Hurriyet Gazetecilik for over two years. During his term, he carried out important projects including digital transformation, efficiency, profitability, redefining business processes, and Hurriyet Emlak (Hürriyet Real Estate and Properties) attaining a corporate character.

Hanzade Dogan Boyner

Mrs. Hanzade Vasfiye Dogan Boyner has served as Non-Executive Vice Chairwoman of the Board of Directors of Dogan Group of Companies Inc. since January 1, 2012. She is one of the leading names in business world, a key figure in digitalization of Turkey’s retail & online world as well as a leading philanthropist. As a pioneer of e-commerce & technology businesses in Turkey, she founded Dogan Online Group and has led the group company Hepsiburada to become one of the largest multi category e-commerce platform with subsidiary businesses in the region (EEMEA). As the Chairwoman of the Group, She continues to lead the digital transformation of Turkey through its Group companies. Beyond her entrepreneurial accomplishments, She has had vast experience in leading established Turkish companies across industries as Vice Chairwoman of Dogan Holding and Chairwoman of Dogan Media Group. She currently also serves as the Chairwoman of Aydin Dogan Foundation, which oversees Group’s philanthropic activities. She is actively involved in various non-profit, business and trade organizations. She is the founding member and Vice Chairwoman of Global Relations Forum, serves as the Vice President of World Association of Newspapers and is a member of the Brookings Institute Board of Trustees. As a philanthropist, she has established and continues to lead the award-winning and government backed “Dad Send Me To School” campaign that aims to eliminate economic and cultural barriers in young female education across Turkey. In the framework of the project, which aims to eliminate obstacles of education impacting young girls, 50,000 girls were provided with scholarships and 33 girls' dorms were built. She is recognized many times as the “Business Woman of the Year” by prominent universities, institutions in Turkey, and is a graduate of London School of Economics (BSc Economics 1995) and has received her MBA in Finance from Columbia University in 1999, where she is a member and serves as Board of Overseers at the Columbia Business School.

Mr. Bora Yalinay has served as Chief Financial Officer, Executive Member of the Board of Directors, Member of the Executive Committee of Dogan Group of Companies Inc. since July 29, 2019. He has more than 20 experience in international and public local and international companies. He graduated from Bilkent University, Department of Economics in 1997. He was General Manager of Yildiz Holding Group Financial Control. He served as Ulker Biskuvi CFO between 2010 and 2016. During 2010's financial restructuring process, he carried out many acquisitions, mergers and acquisitions projects. He served as Vice President for Financial Affairs of Lebanon and Pakistan operations. In this role, he led a team of more than 2015 financial experts in six different geographies. In his role at Ulker, he managed the financial operations of Yildiz Holding's central purchasing company. His areas of expertise include financial restructuring, investor and analyst relations, financing, public offering, cost optimization, financial planning and analysis. The Group carried out its first foreign financing and growth projects abroad. Yalinay holds a CPA certificate.

After working for 3 years for Turkiye Emlak Bankasi as a lawyer and manager, he started to work for Hurriyet again in 1993. Imre Barmanbek

Ms. Imre Barmanbek serves as Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. She graduated from Ankara Universitesi, School of Political Sciences with a BSc degree in Economics and Finance. Her career began as an Assistant Accountancy Specialist in the Board of Accountancy Specialists of Finance Ministry, then followed by a promotion to Accountancy Specialist. Between 1969 and 1972, she worked at the State Planning Organization as a State Planning Specialist and then, she returned to Finance Ministry. Between 1975-1977, she became a member of the Tax Appeals Commission of Finance Ministry. In the aftermath of her successful career at the Ministry of Finance, she resigned and started her private sector career. she assumed the position of Finance Manager, for the joint venture company between Koc & Dogan Group’s, Dogus Aku. She soon became General Manager of the company. Following this success, she assumed the position of Financial Coordinator for Dogan Holding and became CFO in 1998. Between 1999 and 2003, she respectively worked as CEO and Executive Director of Board of Directors. Due to her dynamic management style and her focus on value added enhancements to Dogan Holding, she was acclaimed with the “Best Woman Manager of the Year” award in Turkey by Dunya Gazette in 2001. The international edition of prestigious Fortune Magazine recognized her “33rd Most Powerful Women of Business” in 2001 and “22nd Most Powerful Women” in 2002. In this period, FORBES listed her amongst “Most Influential 100 Business Women”. She has served as the Vice President of Dogan Holding Board of Directors since the beginning of 2003, and Board Member since August 2012. She is Member of the Corporate Governance Committee of the Company.

Vuslat Dogan Sabanci

Ms. Vuslat Dogan Sabanci has served as Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. since June 2017. She graduated from Bilkent University, BA Department of Economics and received her Master’s degree from Columbia University in New York, in the field of International Media and Communications. She was the Chairwoman of the Executive Board between 2004 and 2010 and Chairwoman of the Board between 2010 and 2017. She ensured Hurriyet’s position as a major player within the emerging media in Turkey through investing in digital publishing and services. Investing in human rights and particularly in gender equality matters in Hurriyet, she became the strong voice in this field in Turkey. As a result of “No! to Domestic Violence” campaign initiated by her, a law was enacted in this field after eight years. With “The Rightful Women Platform” that she established before 2011 General Elections, assembling all non-governmental organizations - carrying out activities concerning women matters in Turkey-under the same roof, she created a pressure platform to ensure that more women could be elected for the parliament. After 2011 elections, the number of female deputies increased from 48 to 78. Apart from these, she carries out several activities in the name of giving women their rightful place in both social life and economy. The microloan project for women, along with similar efforts, constitute examples of such projects. (Social Responsibility Projects). She joined Hurriyet in 1996 as a Vice President in charge of advertisements and promoted to the position of Vice President of Marketing Operations Group. Her responsibilities in Hurriyet included marketing, sales, human resources and information technologies (IT). Before joining Hurriyet, she worked at the Editorial Department of The New York Times and later at The Wall Street Journal, where she was instrumental in the formation of the Asian Business World News Channel and the paper’s Latin America edition.

Arzuhan Dogan Yalcindag

Ms. Arzuhan Dogan Yalcindag serves as Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. Since the beginning of her professional life, she has been involved in initiating new projects. In 1990 while working with Milpa she brought the German mail order company, Quelle, to Turkey and headed the company until 1993. In 1994, she took part in the establishment of Alternatifbank and served as a board member. A year later, she became the CFO of Milliyet Magazine Group. She joined Kanal D in 1996 and was in charge of various departments. One of her major accomplishments was the launching of CNN Turk in 2000, which was the result of the negotiations she initiated in 1999 with Time Warner Group. In 2005, she became the CEO of Dogan TV Holding, the parent company of Kanal D, CNN Turk, DMC, D Productions, D-Smart satellite platform and radio concerns. In 2007, she was elected as the first female President of the country’s leading business organization, TUSIAD - Turkish Industry and Business Association, in the organization’s 40 year-history. She held this post until 2010, and then moved to become a member of the Council of Presidents of the Association’. She has been also serving as the Vice President of High Advisory Council. After leaving post at TUSIAD, she took over the chair of Dogan Holding from her father, the founder of the company, started as the first member in the second generation of the family to lead the organization. She is one of the founding board members of Aydin Dogan Foundation, established in 1996 and served as the Chairperson between 2010 and 2011. The then Foreign Minister, former President Abdullah Gul, appointed her as an honorary ambassador of Turkey to EU; with this capacity she launched “Women’s Initiative for Turkey in the EU”. She holds a degree in Sociology from Bogazici Universitesi and a degree in Management from American University of London.

Mehmet Karabag

Mr. Mehmet Can Karabag serves as Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. He is a graduate of TED Ankara College, and Department of Business Administration, Faculty of Economic and Administrative Sciences, Bachelors, Bilkent University. Having started his career in 1994 as an expert auditor with Arthur Andersen, Karabag completed his MBA in Business Administrations at University of California, Los Angeles. After starting to work as the Strategic Planning and Business Development Director with Kiraca Holding in 1998, Mehmet Can Karabag served as the General Manager and the Board Member at Karsan Otomotiv Sanayi ve Ticaret A.S. between 2000 and 2008. Having also served as the Board Member at Kiraca Holding and its various affiliates during the same term, Karabag was the founding partner and the Vice Chairman of Sirena Marine, the manufacturer and the Turkish distributor of Azimut motor yachts between 2006 and 2008. Since 2008 Mehmet Can Karabag works as an investor, entrepreneur, consultant, and mediator in various fields including real estate development, retail, food, automotive, and industries in his own companies. Serving as a consultant with the Dogan Holding Board of Directors since 2015, and having led the successful strategic and financial transformation of D&R, Celik Halat and Ditas, Mehmet Can Karabag continues to function as Member of the Board with Dogan Sirketler Grubu Holding A.S., in addition to his role as the Chairman of industry, tourism, and real estate companies under Dogan Holding, and the Vice Chairman of Kanal D Romania.

Ahmet Toksoy

Mr. Ahmet Toksoy has served as Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. since July 29, 2019. He served as Chief Financial Officer, Executive Member of the Board of Directors, Member of the Executive Committee of the Company until July 29, 2019. Ahmet Toksoy received his BA from the Department of Finance, Faculty of Management, of Istanbul Universitesi in 1981. He assigned as a Tax Inspector at the Ministry of Finance, with the highest degree of his term in 1987. After working as an auditor at the Ministry of Finance between 1984 and 1989, he joined Hurriyet Holding as a member of the Supervisory Board. He was appointed Assistant Finance Manager of Hürriyet Newspaper between 1990 and 1991 and as Finance Manager between 1991 and 1995. Toksoy worked as Certified Public Accountant at Aktif Denetim Yeminli Mali Musavirlik for the following three years. After serving as Chief Financial Officer (CFO) for 11 years at Hurriyet newspaper, was began in 1998, he was appointed as the President of Audit and Risk Management at Dogan Holding at 2010. He served as Chairman of Hurriyet Gazetecilik ve Matbaacilik A.S. and Board Member of Dogan TV Holding A.S. and Dogan Gazetecilik A.S. He is currently the Chairman of Dogan Enerji Yatirimlar Sanayi ve Ticaret A.S., Suzuki Motorlu Araclar Pazarlama A.S. and D Gayrimenkul Yatirimlari ve Ticaret A.S. He serves as Chief Financial Officer (CFO) and member of the Executive Committee of Dogan Sirketler Grubu Holding A.S. since September 2011.

Huseyin Acikalin

Mr. Huseyin Faik Acikalin has served as Independent Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. since March 20, 2019. After earning a BS degree in Business Administration from Middle East Technical University 1987, he began his banking career in 1987 as a Management Trainee at Interbank. He subsequently worked in various positions including Internal Auditor, Relationship Manager, Branch Manager and Marketing Manager at Interbank, Marmarabank, Kentbank, Finansbank and Demirbank. In May 1998, he joined Disbank as Executive Vice President. Later that year, he was appointed Chief Operating Officer (COO) responsible for the coordination and communication between the Board of Directors and business units. He also assumed the position as a Member of the Credit Committee. In June 1999, he was appointed as Deputy CEO and member of the Board of Directors. In December 2000, he became CEO of Disbank. Following the acquisition of the majority shares of Disbank by Fortis in July 2005, he continued to serve as CEO of the bank when it was renamed Fortisbank and was appointed member of the Fortis Global Management Committee and Fortis Global Retail Management Team. In October 2007, he resigned from his duties at Fortisbank and became CEO at Turkey’s largest newsprint media holding company, Dogan Gazetecilik. In April 2009, he was appointed as Executive Director of Yapi Kredi’s Board of Directors and was also appointed as Chairman of the Executive Committee. Serving as Yapi Kredi’s CEO since May 2009, in addition to his current role, in 2010 Açikalin was also appointed as CEO of Koc Financial Services. Also as of August 2011, he became the President of Koc Holding’s Banking and Insurance Group. He serves as Chairman of Yapi Kredi Malta, Yapi Kredi Invest, Yapi Kredi Leasing, Yapi Kredi Factoring, Yapi Kredi Bank Nederland. He is Member of the Audit Committee, and Chairman of the Early Detection of Risk Committee of the Company.

Ahmet Akisik

Dr. Ahmet Vural Akisik has served as Independent Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. since March 20, 2019. Upon completing his high school education at the Robert College of Istanbul, he finished his undergraduate study at the Department of Economics (Bachelors) at the Middle East Technical University, before completing his MSc degree in mathematics at the same university. He completed his doctorate in mathematical statistics at the University of California, Berkeley. He worked as an academician at the Middle East Technical University, and the University of California, Berkeley. After starting his professional career at Pamukbank, he was appointed as the CEO of Interbank in 1984. In 1988, he was among the founding shareholders of the Turkish Merchant Bank, the first investment bank in Turkey, and he served as the Chairman and the CEO of the bank. In 1997, he was appointed as the CEO of Disbank. In 2001, he was invited to serve as the chairman of the Public Banks Joint Board of Directors on a special mission to restructure the state banks. During the course of this task, he successfully completed the organizational and financial restructuring efforts, and returned to Disbank to continue with his position as the Chairman. He also served as the Chairman of Petrol Ofisi, Executive Board Member and Vice Persident of Dogan Holding. As of 28.02.2009, he left his duty as the Vice Chairman of Dogan Sirketler Grubu Holding A.S., and furthermore in the past he has served as the Chairman of the Turkish-American Business Council; Member of the High Advisory Board of TUSIAD; Board Member at Turkish Economic and Social Studies Foundation (TESEV); Member of the Board of Trustees of the Malatya Education Foundation, and the Founding Member of Istanbul Education Foundation.

Haci Kilicoglu

Mr. Haci Ahmet Kilicoglu has served as Independent Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. since March 20, 2019. He received his undergraduate degree in economy in 1977, and his graduate degree (Masters) in 1978 at the University of Essex, the UK. He began his career in 1979 with the Ministry of Industry and Technology. Continuing his career with the Turkiye Is Bankasi and the United Nations Development Program, Kilicoglu served as the General Manager of Turk Eximbank between 1998 and 2010. Kilicoglu, who has also served as the Head of the Berne Union, and the Advisor to the Chairman of the Islamic Development Bank, is currently serving as the member of the board of directors at some private sector entities. He is Member of the Audit Committee, and Chairman of the Corporate Governance Committee of the Company.

Agah Ugur

Mr. Agah Ugur has served as Independent Non-Executive Member of the Board of Directors of Dogan Group of Companies Inc. since March 20, 2019. Studied industrial engineering at the University of Birmingham, UK then qualified as a chartered accountant in England in 1985. He worked in accountancy, consulting and banking firms in England and Turkey before joining Borusan Group in 1989 as its CFO. He worked as a Group CEO between 2001-2019 and still he is the advisor to the Chairman and board member of the Board of Borusan Holding. Agah held numerous board and advisory board positions in NGO’s. Currently he is a member of TUSIAD’s High Advisory Council, board member of Dogan Holding AS & Turkish American Business Council, member of the board of Trustees of Sabanci University, member of the advisory council of Bahcesehir University and member of the advisory board of Columbia University Istanbul Global Center. He is an investor in tech start-ups.
