Name Description

Edoardo Garrone

Mr. Edoardo Garrone serves as Executive Chairman of the Board at ERG S.p.A. since April 29, 2003. He has been Member of the Board of Directors of Pininfarina SpA, S.E.M. Srl, of the Civita Association, the Magna Carta Foundation, as well as Member of the IEFE Management Committee and Assonime (Association of Italian Listed Companies) Council Member. He has served as Chairman of the Board of Directors of Aedificatio SpA, Chairman of Consorzio Rete Industria and Chairman of the Supervisory Committee of San Quirico SpA. From 1986 to 1987, he worked for Marsud, a company specializing in petroleum product transportation. He joined ERG in 1988 in the Planning and Strategy Department. From 1989 to 1991 he was a manager with the ERG Group Strategic Planning Division. He was Vice Chairman of the Industrial Association of Genova from 1994 to 1997, and Chairman of Young Member of Industry in Genova from 1997 to 1998. In 1999 he became Member of the Board of Confindustria and Member of the Council of the Industrial Association of Genova. From April 2000 to April 2002, he was Chairman of Young Businessmen of Confindustria and Vice Chairman of Confindustria. He has been an advisor to Fondazione Schiavetti, ALCE (the Foreign Business Association of Liguria), SOGEA - the Genova Business School, and has been Administrative Secretary of Sampdoria F.C. since 2002. He graduated in Political Science from Alfieri Institute of the Universita degli Studi di Firenze. He subsequently took Economics and Finance courses in London and the United States and a Business and Administration for young managers course at INSEAD, Fontainebleu.

Alessandro Garrone

Dr. Alessandro Garrone has served as Executive Vice Chairman of the Board of ERG S.p.A. since April 20, 2012. From April 2012 to April 2016 Chairman of the Board of Directors of ERG Renew SpA. From December 2002 to April 2012 Chief Executive Officer of ERG SpA. From August 2002 to December 2002 he held the post of Central Finance and Control Manager. From January 1999 to December 2001 he was responsible for Refining Management Control, within the Management Control department. From January 1997 to December 1998, at ERG Petroli SpA in Genoa, he took on assignments regarding the company restructuring, in connection with the company's quotation on the Stock Exchange. From August 1994 to December 1996, at ERG Petroli SpA in Genoa, he had duties within the Supply and Sales Management department, dealing with ship freighting and crude oil purchasing. From August 1992 to July 1994, at ISAB SpA in Rome, we was responsible for company Management Control. From September 1991 to July 1992 at ISAB SpA in Genoa and Syracuse he held the post of operative programming of the ERG Group refineries, via the use of linear programming models. From January 1988 to April 1989 at ERG Petroleum USA (New York) he managed ERG Group international relations. Paolo Merli

Mr. Paolo Luigi Merli serves as Chief Financial Officer, Secretary of ERG S.p.A. He is Member of the Strategic Committee of the Company. After doing his national service at the Italian Red Cross, in the year 1997/1998 he was awarded an MBA in Finance from the Eni "Scuola Superiore Enrico Mattei". He joined ERG Group in September 2006 where he is currently Chief Financial Officer: reporting directly to the CEO, he is in charge of the Group Administration, Finance, Merger&Acquisition, Procurement, Planning, Control & Reporting, Group Risk Management & Corporate Finance, Investor Relations. At present he's member of the Board of Directors of ERG Power Generation S.p.A. beside being member of the Strategic Committee and member of other internal committees such as Management Committee, Investment Committee, Risk Committee and Human Capital Committee. As from 2014 he is the Manager Responsible for preparing the Company's financial reports. Other positions held in the past: He previously worked for around 7 years as a financial analyst responsible for the European Energy sector at Intermonte, a leading brokerage firm owned by the Monte dei Paschi Banking Group. At Intermonte he was also a "specialist" in ERG stock when ERG joined the STAR segment. From 1998 to 2000 he worked in the sales department at Snam S.p.A. (current Gas & Power division of Eni Group). In 1996 he carried out an internship at Eneco Consulting, an engineering company specialized in the energy sector. Pietro Tittoni

Mr. Pietro Tittoni is Chief Operating Officer of ERG S.P.A. and Chief Executive Officer of ERG Power Generation, Chairman of the Board of Directors of ERG Power. A graduate in mechanical engineering, he began his professional career working on the CNR "Energetica 2" project for the development of laser Doppler anemometry systems at Università degli Studi de L'Aquila. He joined ENEL in 1985 and gained a qualification to manage Nuclear Reactors from Milan Polytechnic. He then moved to Toronto where he was involved in the running of the Bruce-Ontario Hydro nuclear power station (8000 MW) at the Canadian Atomic Agency. Between 1989 and 2000 he worked in ENEL's thermoelectric division with roles of increasing responsibility in the Production and Transmission Division in Rome and later at the thermoelectric plant of Fiume Santo 1000 MW (Sassari). Following the deregulation of the electricity market in Italy, from 2001 he was appointed to the following positions: Head of Energy Management at ENDESA Italia for the management of a generation fleet of 6500 MW; Director of Endesa Italia Power & Fuel srl; Member of the Board of ERGON Energia srl; Head of Energy Management, EOn Produzione Spa. In 2008 he spent time in Ireland as Generation Executive Manager for the start-up Endesa Ireland Ltd. In 2009 he moved to ERG Power & Gas in Genoa where he held the role of General Manager of ISAB ENERGY Srl and in 2011 he was appointed Head of the Power & Gas Business Unit at ERG Spa.

Sergio Chiericoni

Eng. Sergio Chiericoni is Chief Business Development Officer of ERG S.P.A. since July 2017. From early 2014 up to June 2017 he has been CEO of Falck Renewables Wind Ltd, in London, responsible for the subsidy Company management and administration. At Group Level, for the Parent Company, he first covered the positions of Head of Business Development and Construction and then the position of Area Manager North Europe. He obtained his MSc in Engineering at University of Rome "La Sapienza". He worked in the consumers goods sector at Bolton Group as Electrical Department Manager –Engineering & Maintenance- at the Manufacturing Plant. Through more than 12 years in Technip Group he covered several and fast growing management roles in the areas of Estimating, Proposals, Engineering, and Construction for the Oil & Gas, Petrochemical, Power and other industries. The highest position covered from 2007 to 2009 was VP Engineering for all the On-Shore Facilities of the Group. Between Apr 2009 and Oct 2010 he joined the ICQ Holding where he started his carrier in the Renewables. He was working as Director of Process and Engineering in key business development programs. Between Oct 2010 and Feb 2014 he joined SunPower Corporation as Managing Director for both 3rd Party EPC and Captive Projects covering EMEA and APAC regions and leading the lines of business for Ground-Mounted Solar Power Plants as well as for Industrial and Commercial Roof Top Plants.

Mr. Marco Costaguta has served as Non-Executive Director of ERG S.p.A. Massimo Belcredi

Mr. Massimo Belcredi has served as Non-Executive Independent Director at ERG S.p.A. since April 29, 2003. He is also Member of Audit Committee of the Company. He served at IRS Istituto per la Ricerca Sociale from 1987 to 1991. He was Assistant Professor from 1991 to 1998, Associate Professor from 1998 to 2000 and he has been Full Professor of Corporate Finance within Universita Cattolica of Milan. Mara Caverni

Ms. Mara Anna Rita Caverni is Non-Executive Independent Director of ERG S.P.A. since April 24, 2015. She graduated from Universita Commerciale Luigi Bocconi, Milan – Degree in Economics and Finance. She has been Visiting Professor – Master in Merchant Banking at LIUC University till 2010, member of the committee of Master (FINBANK) at Università Cattolica in Milan from 2011 and co-author of a number of publications covering M&A Private Equity and Due Diligence subjects. Chartered accountant ("Dottore Commercialista") and chartered auditor ("Revisore legale dei Conti"). She has been Member of the Board of Eight International and Managing partner and founder of New Deal Advisors SpA. From 2003 to 2005 she was Head of PricewaterhouseCoopers European Private Equity Transactions.

Barbara Cominelli

Ms. Barbara Cominelli is Non-Executive Independent Director of ERG S.P.A. since April 24, 2015. Barbara Cominelli has 25 years' of management experience in the ICT, Telco and Energy sectors in Italy and internationally. Her expertise covers General Management and P&L management, Strategy and M&As, Planning, Marketing, Large Operations and Corporate Governance, with a strong focus on innovation and digital transformation. She's currently Marketing and Operations Director in Microsoft Italy, in charge of developing the business and the market strategies of the company and accelerating the Italian digital transformation, leveraging on new technologies such as cloud, artificial intelligence and big data. Previously she spent 7 years with Vodafone, where she was Director of Commercial Operations and Digital, with responsibility for the digital and traditional channels, the Digital Transformation and the Wholesale business unit, with a team of 3000 people in multiple sites. In 2017 she's also been included in the Top 15 women in Digital in Italy by Digitalic and among the top 10 managers in technology by CorrieredellaSera. From 2003 to 2010 she served as Strategy, Marketing and Planning Director for Tenaris Dalmine (TEN.MI. From 1996 to 2000 she was Manager in the Management Consulting firm A.T. Kearney in the London and Milan offices. She started her career as Researcher and Assistant Professor at Universita Commerciale Luigi Bocconi, teaching Marketing and Industry analysis. She holds a degree 110/110 Summa cum Laude in Business Administration from Universita Commerciale Luigi Bocconi and the Master CEMS-MIM in International Management from Bocconi and ESADE (Barcelona); she also studied at the Rotterdam School of Management, Stanford and SDA Bocconi.

Mr. Paolo Francesco Lanzoni has served as Non-Executive Independent Director at ERG S.p.A. since April 29, 2003. From 1973 to 1975, he served at Smith Barney Harris Upham New York, Investment Bank. He has also been Director of Effusia Investimenti SGR SpA since September 2005, Director of Finservice Srl since May 2007 and Director of Dolphin Tanker since June 2007. He graduated from London School of Business in 1978. From 1972 to 1974 he studied at New York Institute of Finance.

Silvia Merlo

Ms. Silvia Merlo is Non-Executive Independent Director of ERG S.P.A. since April 24, 2015. She holds a degree in Business Economics from LIUC of Castellanza (VA), Italy and a Bachelor Degree in Business Economics from SAA of Cuneo (CN), Italy. She worked at Merlo SpA as Chief Executive Officer, at Tecnoindustrie Merlo SpA as Chief Executive Officer. She was Member of the Boards of smaller companies of the Merlo Group (Treemme Tecnology S.r.l., Ibis S.p.A., Co.imm.i S.r.l., Ergos S.r.l., Movimatica S.r.l. and Centro Formazione e Ricerca Merlo S.r.l.), member of the board of Banca Cassa di Risparmio di Savigliano S.p.A and Member of the board of Leonardo S.p.A. Elisabetta Olivieri

Ms. Elisabetta Olivieri is Non-Executive Independent Director of ERG S.P.A.. She graduated with honors in Electronic Engineering at the Universita degli Studi di Genova in 1987. She then developed her career in Marconi S.p.A., a company in telecommunications technologies, gradually acquiring roles of increasing responsibility and becoming Senior Vice President Strategies of Marconi Mobile S.p.A. In 2001 she joined Sirti Group, a company in the engineering of elecommunications networks, initially holding the position of Director of Strategies and Business Development. Then she was appointed General Manager of the Group and finally Chief Executive Officer. Since 2012 she has been the CEO of Gruppo Fabbri Vignola SpA, a company in the food packaging sector. Since 2010 she has served as non-executive Director of important Italian and foreign companies. From 2011 to 2014 she was Independent Director of ATM - Milan Transport Company, also holding the position of Chairman of the Supervisory Body. From 2012 to 2016 she was non-executive Director of Eutelsat S.A. and member of the Audit Committee. From 2010 to date, she is an independent director of SNAM.Since 2012 she has also been an independent Director of Gruppo Editoriale L'Espresso. Since 2014 she has been an independent Director of Banca Farmafactoring Group.
