Name Description

Michel David-Weill

Mr. Michel David-Weill serves as Chairman of the Supervisory Board of Eurazeo S.E. He was nominated on the Company’s Supervisory Board on May 15, 2002. He was until May 2005 Chairman of Lazard LLC and also served as Chairman and Managing Director of Lazard Freres Banque, and Chairman and Associate Manager of Maison Lazard SAS. He is Honorary Vice Chairman of Groupe Danone and a Director of Gruppo Banca Leonardo Spa. In addition, he is a Member of the Board of the Metropolitan Museum of Art and the New York Hospital, Member of the Academie des Beaux-Arts and Chairman of the Art Committee of National Museums. He graduated from Lycee Francais in New York and the Institut d'Etudes Politiques de Paris. He is Chairman of the Finance Committee of the Company.

Virginie Morgon

Ms. Virginie Sarah Sandrine Morgon has served as Chairman of the Executive Board, Chief Executive Officer of Eurazeo S.E. since March 19, 2018. She served as Deputy Chief Executive Officer, Member of the Executive Board of the Company between December 5, 2013 and March 19, 2018. She was appointed as a Member of the Management Board of the Company on January 22, 2008. She has a degree from Institut d’Etudes Politiques de Paris (Economics and Finance section) 1990, and holds a Master in Economics and Management (MIEM) from Universita Bocconi (Milan, Italy). After working as an investment banker in New York and London, she became a Senior Partner at Lazard Freres et Cie in Paris in 2000 and was also responsible for the European Food, Retail and Consumer goods sector. During her 15 years at Lazard, she advised French and international groups such as Air Liquide, Danone, Publicis, Kingfisher/Castorama and Kesa/Darty. Ms. Morgon holds other mandates, including Chairwoman of the Supervisory Board of Eurazeo PME and APCOA Parking AG, Chairwoman of the Advisory Board of APCOA Parkings Holding GmbH, Vice Chairwoman of the Board of Moncler Srl, Director of Accor and Manager of Intercos SpA. She is also a Member of the Board of Directors of the Women Forum for Economic & Society (WEFCOS) and Member of the Support Committee of Human Rights Watch.

Jean-Charles Decaux

Mr. Jean-Charles Decaux has served as Vice Chairman of the Supervisory Board of Eurazeo S.E. since June 26, 2017. Jean-Charles Decaux joined the family business in 1989 to create and develop the outdoor advertising business in Southern Europe. In 2000, JCDecaux became a public limited company with an Executive Board and a Supervisory Board. Jean-Charles Decaux is Co-CEO with Jean-Francois Decaux. In 2001, they listed JCDecaux SA and played an active role in the sector’s consolidation, raising JCDecaux to world no. 1 in February 2011. In 2004, he established JCDecaux in China and in high-growth countries, which now account for 36% of Group revenue. As Co-CEO, Jean-Charles Decaux is responsible for operations in France, Southern Europe, Latin America, Asia and the Middle East. Working with top designers and architects, he drives the strategy to develop new service products and concepts for cities, transport companies and airports. In association with the R&D teams, he promotes the creation of innovative facilities such as self-service bicycles (including Velib), digital furniture and smart street furniture. He is Vice Chairman of the Finance Committee of the Company.

Olivier Merveilleux du Vignaux

Mr. Olivier Merveilleux du Vignaux serves as Vice Chairman of the Supervisory Board of Eurazeo S.E. He has been a Member of the Supervisory Board of the Company since May 5, 2004. He founded MVM in 1993, a recruitment consultancy firm, and has served as its Manager since. He was a Director of SAFAA until 1993, created and developed a recruitment firm from 1984 to 1992 and worked for Korn Ferry between 1980 and 1984. Mr. Merveilleux du Vignaux is also Manager of MVM Search Belgium. He is a business school graduate. Marc Frappier

Mr. Marc Frappier serves as Managing Partner - Head of Eurazeo Capital, Member of the Executive Board within Eurazeo S.E. Marc Frappier joined the Eurazeo investment team in 2006. At Eurazeo, he has participated in the investment or in the oversight of Accor/Edenred, Elis, Fintrax, Foncia, IMSquare and Rexel investments. He began his career in 1996 as a financial auditor with Deloitte & Touche in Paris and New York. From 1999 to 2006, he worked for The Boston Consulting Group (BCG) in Paris and Singapore, where he participated in numerous strategy and operational effectiveness assignments in the industrial goods and services sector, energy, as well as the media and telecommunication sector. EDUCATION Civil Engineering degree from Ecole des Mines de Paris.

Renaud Haberkorn

Mr. Renaud Haberkorn serves as Managing Partner - Head of Eurazeo Patrimoine, Member of the Executive Board within Eurazeo S.E. PROFESSIONAL EXPERIENCE: Renaud has over 20 years of experience in the real estate industry. He has covered in Europe a range of underlying investment products such as direct real estate, structured finance, and operating companies. He started in London at the Real Estate Principal Investment Area of Goldman Sachs International. His initial assignment included a number of NPL investments in France, real estate investments in Spain and hospitality across Europe. Renaud became a Partner at Soros Real Estate and then a Founding Partner of Grove International Partners, a general partnership which grew to approximately $5bn of AUM. Finally, and prior to joining Eurazeo, Renaud was appointed CEO of Societe de la Tour Eiffel a French REIT listed on the NYSE Euronext with close to $1Bn of assets, which he transformed and engineered a change of ownership favored by the investors and management. EDUCATION: ESSEC Business School - Masters in Finance, Ecole Speciale des Travaux Publics, du Batiment et de l'Industrie (ESTP) - Engineering degree.

Frans Tieleman

Mr. Frans Tieleman serves as Managing Partner - Head of Eurazeo Development, Member of the Executive Board within Eurazeo S.E. Frans Tieleman is Executive Committee member of Eurazeo since 2008. He leads deals and coordinates deal flow across the three private equity teams of Eurazeo and manages Eurazeo’s fund team. Philippe Audouin

Mr. Philippe Audouin has served as Chief Financial Officer, Member of the Executive Board of Eurazeo S.E. since 2014. He joined the Company in 2002. Within the Company, he was Director of Finance and Administration between 2002 and March 21, 2006, and Member of the Management Board, Director of Finance and Administration between March 21, 2006 and 2014. He graduated from Ecole des Hautes Etudes Commerciales and began his career by starting his own company, and then became the Financial Director and Deputy Managing Director in Germany of the first joint venture of France Telecom and Deutsche Telekom. From 1996 to 2000, he was in charge of finance, human resources and administration at France Telecom’s multimedia division, and was also a Member of the Supervisory Board of Pages Jaunes. From April 2000 to February 2002, he was the Financial Director of Europ@Web (part of Groupe Arnault). He taught for five years at Hautes Etudes Commerciales, including a position as Senior Lecturer for third-year students in the Entrepreneurs program. Mr. Audouin holds several other mandates, including Member of the Board of Directors of Holdelis and Europcar Group, Vice Chairman of the Supervisory Board of APCOA Parking AG, President of Ray France Investment, Managing Director of Perpetuum MEP Verwaltung GmbH and Member of the Supervisory Board of ANF Immobilier, among others.

Caroline Hadrbolec

Ms. Caroline Hadrbolec serves as Chief Human Resources Officer, Member of the Executive Board of Eurazeo S.E. PROFESSIONAL EXPERIENCE: Caroline is Chief Human Resources Officer and member of the Executive Committee. She is in charge of Human Resources activities for Eurazeo (SA, PME, North America, Brands, Luxembourg) as well as supporting Investment Teams in all HR aspects of portfolio companies including top management selection and retention. She has extensive experience both in human resources and strategy in France and internationally. Before joining Eurazeo, she spent 6 years at Bureau Veritas, a publicly-listed company of 75,000 employees globally. She successively held operational responsibilities, such as growing the Retail and Food markets in Europe as well as global HR responsibilities such as driving the People Strategy and Implementing Organizational Transformation. Before that, she spent 9 years with McKinsey & Company, first as a consultant in France then as Director of Human Resources and Professional Development in Asia, based in Shanghai. Earlier in her career, Caroline worked in Mexico at Carbone Lorraine (now Mersen) as business site general controller. EDUCATION: Caroline holds a Master of Business Administration from Paris Graduate School of Business (ESCP) and a Master of Public Administration (MPA) from Harvard University.

Nicolas Huet

Mr. Nicolas Huet serves as General Secretary, Member of the Executive Board of Eurazeo S.E. Nicolas Huet is General Secretary and member of the Executive Board. He coordinates the company’s corporate functions and their role in investment transactions. Nicolas Huet has spent the majority of his career as a corporate lawyer. He joined Moquet Borde & Associes in 1994 before becoming the legal director of the Genoyer Group, which specializes in oil and gas equipment, between September 2000 and 2002. Before joining Eurazeo in February 2011, Nicolas was a partner with the law firm, White & Case LLP, where he was responsible for mergers and acquisitions. Nicolas Huet has a law degree (1992) and a post-graduate diploma in International Law (1993) from Universite Pantheon-Assas (Paris II).

Olivier Millet

Mr. Olivier Millet serves as Chairman of the Executive Board of Eurazeo PME, Member of the Executive Board within Eurazeo S.E. Chairman of the Eurazeo PME Executive Board since 2005, Olivier Millet has also been Chairman of France Invest (the French Private Equity Association) since May 2016. Olivier is member of the Executive Board of Eurazeo. In this role, he notably oversees the activities of the Idinvest teams within Eurazeo Group and also be responsible for Eurazeo’s corporate communications. He was also Vice-Chairman of AFIC (2014-2016) and Chairman of AFIC’s ESG Commission from 2009 to 2015. Olivier Millet began his career as an entrepreneur in 1986 by creating Capital Finance. He then joined 3i (from 1990 to 1994), before moving to Barclays Private Equity France, where he contributed to the development and success of this pan- European fund for 11 years. In 2005, Olivier Millet became Chairman of the Executive Board of OFI Private Equity, an investment company floated on the stock market in 2007. In 2011, OFI Private Equity became Eurazeo PME and it is now a Eurazeo group subsidiary. EDUCATION: Ecole Superieure de Commerce et de Management.

Victoire de Margerie

Ms. Victoire de Margerie has served as Independent Member of the Supervisory Board of Eurazeo S.E. since May 11, 2012. She has been the main shareholder and Managing Director of Rondol Technology, a British micro-mechanical company, since 2009. She is also Director of Eco-Emballages, Norsk Hydro and Arkema, and chairs the Materials Committee of Eco-Emballages. She previously held operational positions in Germany, France and the United States at Arkema, Carnaud MetalBox and Pechiney. Between 2002 and 2011, she also taught Strategy and Technology Management at the Grenoble Management School. She has held Directorships on listed companies with Baccarat (1999-2006), Groupe du Louvre (2002-2005), Ipsos (2004-2006), Bourbon (2004-2007) and Outokumpu (2007-2011), Ciments Francais (2006-2012) and Groupe Flo (2011-2012). Ms. de Margerie is a graduate of Hautes etudes commerciales (HEC) business school in Paris (1983) and Institut d'Etudes Politiques de Paris (1986). She holds a postgraduate degree in Private Law from Universite Paris I Pantheon Sorbonne (1988) and a PhD in Management Science from Universite Paris II Pantheon-Assas (2007). She is Member of the Finance Committee of the Company.

Anne Dias

Ms. Anne Dias has served as Independent Member of the Supervisory Board of Eurazeo S.E. since May 11, 2017. After graduating from Georgetown University School of Foreign Service in 1992, Anne Dias worked as a financial in 1997, she joined Soros Fund Management as a financial analyst before managing a portfolio of financial analyst in the Investment Banking Department of Goldman Sachs in London and New York. After obtaining her MBA services stock. She then joined Viking Global Investors, still working as an analyst but focusing this time on global media and internet stock. In 2001, Anne Dias started her own fund, Aragon Global Management, LLC in New York City and Chicago, specializing in media, technology, and telecommunications companies. In 2011, Aragon Global Management became an investment company, Aragon Global Holdings. She is Chairwoman of the Audit Committee, and Member of the Compensation and Appointment Committee of the Company.

Anne Lalou

Ms. Anne Lalou has served as Independent Member of the Supervisory Board of Eurazeo S.E. since May 7, 2010. She is the Chief Executive Officer of WebSchoolFactory, and began her career as Signing Officer then Deputy Director within the Mergers and Acquisitions Department of Lazard in London and then Paris before becoming Director of Forecasting and Development at Havas. She was Chairwoman and Managing Director of Havas Edition Electronique before joining Rothschild & Cie as Manager. She joined Nexity in 2002, where she held the offices of corporate secretary and Director of Development before taking over the General Management of Nexity-Franchises in 2006 and then until 2011 she was Deputy Managing Director of the Distribution Division of Nexity. She is a graduate of ESSEC Business School. She also serves as Member of the Supervisory Committee of Foncia Holding, Member of the Supervisory Board of Foncia Groupe and Managing Director of SAS Nexity Solutions. She is Member of the Finance Committee, and Chairwoman of the CSR Committee of the Company.

Francoise Mercadal-Delasalles

Ms. Francoise Mercadal-Delasalles has served as Independent Member of the Supervisory Board of Eurazeo S.E. since May 6, 2015. She serves as Member of the Executive Committee and Group Head of Corporate Resources and Innovation at Societe Generale group, Director of Rosbank (Russia), Compagnie Generale de Location d’Equipement (CGL), Societe Generale Cameroun, SG Global Solutions Center (India), SG European Business Services (Romania) and Transactis (joint subsidiary of Societe Generale and La Banque Postale) and Director of Sopra Steria Group, among others. She graduated from Institut d'Etudes Politiques de Paris in1985, and from Ecole Nationale d'Administration in 1988. She is Member of the Compensation and Appointment Committee, and Member of the Finance Committee of the Company.

Amelie Oudea-Castera

Ms. Amelie Oudea-Castera has served as Independent Member of the Supervisory Board of Eurazeo S.E. since April 25, 2018. Chairwoman and Co-Founder of the Rénovons le Sport Francais association. She graduated from Institut d'Etudes Politiques de Paris 1999, Ecole Superieure des Sciences Economiques et Commerciales 2001, and Ecole Nationale d'Administration 2004. Offices and positions currently held outside the Eurazeo group: Member of the Board of Directors of Plastic Omnium. Other offices and positions held over the past five years: Member of the Board of Directors of Axa SEed Factory and Lagardere. Member of the Supervisory Board of Kamet. Member of the Strategic Committee of Axa Strategic Ventures. Member of the French Tennis Federation Management Committee. She joined the French Court of Accounts in 2004 as auditor and then senior public auditor. In 2008, she joined AXA and was appointed head of the strategic planning team in 2010. In 2011, she became Marking and Digital Director at AXA France, the group’s main operating subsidiary. Her duties were extended the following year to include the management of partnerships. In 2014, she added the duties of Deputy Chief Executive Officer for the individual and professional market and joined AXA France’s Executive Committee. At the beginning of 2016, as a member of the company’s top 40 (the “Partners”), she became head of marketing and digital for the entire AXA group. She held this position until the end of 2017. In recent years, she has developed specific expertise in digital, data, the client experience, brands and media and partnership management. She contributed to the launch of the insurer’s Corporate venture business in the digital sector. At the beginning of 2018, she became Chairwoman of the association Renovons le Sport Francais. Since 2014, she is an independent member of the Board of Directors of Plastic Omnium.

Stephane Pallez

Ms. Stephane Pallez has served as Independent Member of the Supervisory Board of Eurazeo S.E. since May 7, 2013. She previously worked within the Ministry of Finance and served as a Technical Advisor in charge of industrial affairs and business financing and was then in charge of part of the State’s shareholdings portfolio. She also held roles in the field of financial, banking and insurance regulation, and international financial negotiations. In addition to that, she was Deputy Financial Director of France Telecom. Since April 2011, she has served as the Chairman and Chief Executive Officer of CCR, a reinsurance company. She is also a Director of CNP Assurances, Credit Agricole CIB and GDF-Suez. She graduated from Ecole Nationale d'Administration, and from Institut d’Etudes Politiques de Paris. She is Member of the Audit Committee, and Member of the CSR Committee of the Company.

Georges Pauget

Mr. Georges Pauget has served as Independent Member of the Supervisory Board of Eurazeo S.E. since March 15, 2012. He served as Member of the Supervisory Board of the Company between May 7, 2010 and March 15, 2012. He has spent most of his career with the Credit Agricole group. He held positions of responsibility within Credit Agricole SA and its subsidiaries before joining the senior management of several Credit Agricole regional offices, and then, in 2003, Credit Lyonnais. From September 2005 to February 2010, he was Chief Executive Officer of the Credit Agricole SA group, Chairman of LCL (Credit Lyonnais) and Credit Agricole CIB (May 2007-February 2010). Mr. Pauget is currently Chairman of SAS Economie, Finance et Strategie, and Chairman of the Europlace-Finance-Innovation competitiveness cluster and Institut d'Education Financiere pour le public (IEFP). He holds a Ph.D. in Economics from Universite de Bordeaux (1975) and a Masters degree in Economic Sciences from Universite de Lyon. He teaches courses at Paris-Dauphine University, at the Institut d'Etudes Politiques in Paris and at Beijing University as associate professor. He is Director of the Management Research Chair at Paris-Dauphine University. He also holds other mandates, including Director of Cub Med and Valeo. He is Member of the Audit Committee of the Company. He has served as Member of the Compensation and Appointment Committee of the Company since August 30, 2010.

Robert Agostinelli

Mr. Robert Frank Agostinelli has served as Non-Voting Member of the Supervisory Board of Eurazeo S.E. since April 25, 2018. He is Co-Founder and Managing Director of Rhone Group. He received an MBA from Columbia Business School in 1981, and a Bachelor of Arts degree from St. John Fisher College. Chief Executive Officer of Magnesita Refratarios S.A. Manager of Rhone Capital L.L.C, Rhone Group Advisors LLC, Rhone Group L.L.C and Rhone Holdings (UK) Limited. Member of the Board of the American-Italian Cancer Foundation, American Veterans Center, Radio America and The Council for the United States and Italy. Founding member of Friends of Israel Initiative. Other offices and positions held over the past five years: Director of Italian Electronics s.r.l. and Venice Holdings s.r.l. MANAGEMENT EXPERIENCE AND EXPERTISE: Co-founder of the investment company, Rhone Group, in 1996, he has been actively involved in all aspects of Rhone Group’s strategy and development since its creation, while maintaining and developing relations with both private families, institutional investors and sovereign funds. He also manages Rhone’s investor relations activities. He started his career with Rothschild Bank financial services. He then joined Goldman Sachs, where he worked for five years and contributed to the creation of the international mergers and acquisitions business line. He then moved to Lazard Freres Bank as Senior Managing Director in charge of international banking affairs. He is a Director and advisor for many European and American philanthropic and civic institutions and notably in the National Review Institute and the Reagan Ranch Board of Governors and as a member of the Marine Corps Scholarship Foundation – American Patriot Campaign Cabinet.

Christophe Aubut

Mr. Christophe Aubut has served as Member of the Supervisory Board, Employee representative of Eurazeo S.E. since December 15, 2015. He serves as Director responsible for the day-to-day management of Eurazeo Services Lux, Manager of Eurazeo Real Estate Lux Sarl, ECIP Italia Sarl, APCOA Finance Lux Sarl, EREL C Sarl , EREL 1 SARL, EREL 2 Sarl and Investco 5 Bingen, among others. He is Permanent Guest of the Compensation and Appointment Committee of the Company. Christophe Aubut is an accounting graduate and holds the Diplome Preparatoire aux Etudes Comptables et Financieres. In April 1988, Christophe Aubut was recruited by Lazard Freres et Cie to manage the accounts of the Lazard group’s various entities. In June 1992, he joined Eurazeo as an accounting and tax manager and was the Accounting and Tax Director between January 2004 and December 2010. Christophe Aubut is currently Tax Structuring Director.

Roland du Luart de Montsaulnin

Mr. Roland du Luart de Montsaulnin has served as Member of the Supervisory Board of Eurazeo S.E. since May 5, 2004. He is Senator for the Sarthe department and a member of the UMP party, Vice-President of the Senate Finance, Budget and National Accounts Commission, Special Reporter for the "External Action of the State" Mission, Member of the Advisory Committee on the State's property holdings, Member of the Financial Sector Advisory Committee and Member of the Public Finance Advisory Committee. He is also President of the Parliamentary Group of French-American Friendship and Deputy Mayor of Luart. He was the Mayor of Luart (1965-2001), President of the Sarthe General Council (1998-March 2011), General Councilor for the Canton of Tuffe (1979-March 2011), Chairman of the Sarthe Hunting Federation (1976-1998), Chairman of the Association of Mayors of the Sarthe department (1983-2008) and Chairman of the Pays de l'Huisne Sarthoise municipalities association (1996-March 2006). He is Chairman of the Compensation and Appointment Committee (as of 2014), and Member of the CSR Committee of the Company.

Jean-Pierre Richardson

Mr. Jean-Pierre Richardson has served as Non-Voting Member of the Supervisory Board of Eurazeo S.E. since April 25, 2018. In the past, he was Member of the Supervisory Board of the Company as of May 14, 2008. He is Chairman and Managing Director of SA Joliette Materiel, a holding company that controls SAS Richardson. He joined the company in 1962, and he served as its Operational Manager between 1969 and 2003, which was later acquired by Eurazeo. He was also a Judge at the Commerce Tribunal of Marseille from 1971 to 1979 and graduated from Ecole Polytechnique in 1958. He is Member of the Supervisory Board of ANF. He is Member of the Audit Committee of the Company.

Emmanuel Russel

Mr. Emmanuel Russel has served as Member of the Supervisory Board of Eurazeo S.E. since June 26, 2017. He serves as Representative of JCDecaux Holding SAS. Emmanuel Russel is Deputy Chief Executive Officer of JCDecaux Holding. A graduate in Accounting and Finance (DESCF) from the HEC business school, Emmanuel Russel began his career as an auditor at Arthur Andersen in 1987. In 1990, he joined the Pernod Ricard group, first as Chief Financial Officer of the Spanish subsidiary, then Group Budget Plan and Financial Communications Director and finally Finance and Administration Director of Pernod Ricard Europe. In 2000, he joined JCDecaux SA as Vice-President of Mergers – Acquisitions, Treasury/Financing, Taxation, Internal Audit and Sustainable Development. In 2006, Emmanuel Russel was appointed CEO of the Africa Middle East, Central Asia and Eastern Europe zone, in charge of development. Since 2013, he had been Chief Executive Officer of Compagnie LEBON. He is Member of the Audit Committee, Member of the Compensation and Appointment Committee, and Member of the CSR Committee of the Company.

Patrick Sayer

Mr. Patrick G. Sayer has served as Member of the Supervisory Board of Eurazeo S.E. since April 25, 2018. He served as Chairman of the Management Board, Chief Executive Officer of the Company between May 2002 and March 18, 2018. He was Member of the Executive Board of the Company between February 15, 2002 and May 2002. He graduated from Centre de Formation des Analystes Financiers, part of Societe Francaises des Analystes Financiers, Ecole Polytechnique (1980) and Ecole des Mines de Paris (1982). He worked as Associated Manager of Lazard Freres et Cie and as Managing Director of Lazard Freres & Co. in New York. He participated in the creation of Fonds Partenaires between 1989 and 1993. He then moved to Gaz et Eaux, which became Eurazeo. In addition to his duties within Eurazeo, he holds various other mandates, including Vice Chairman of the Supervisory Board of ANF and Rexel, Member of the Advisory Board of APCOA Parking Holdings GmbH, Director of Accor, Tech Data Corporation, Europcar Groupe, Gruppo Banca Leonardo, Sportswear Industries Srl and Moncler. In addition to that, he is the former Chairman (2006-2007) of the French Private Equity Association (AFIC) and teaches finance at Universite Paris Dauphine.
