Name Description

Bernard Carayon

Mr. Bernard Carayon is an Independent Chairman of the Board of the Company. He is Member of company's Strategic and Investment Committee. He has a PhD in Economics from Sorbonne University in Paris. With his extensive audit and risk management experience as well as serving on the Boards of public corporations in the past, Bernard Carayon's appointment brings banking, CSR and asset management skills to the Board. Until March 2017, Bernard Carayon was Director and Chief Executive Officer of Amundi AM, Head of Steering & Internal Control at Amundi, and advisor on SRI issues to Amundi's Executive Leadership Team. Since March 2008, Bernard Carayon has served as Director and member of the Executive Management Committee, and Head of Risk Management, Compliance and Regulatory Relations for the Credit Agricole Asset Management group (CAAM group). From 1999 to 2008, he was Head of Risk Management and Control at Crédit Agricole Indosuez and then at Calyon. Before joining Calyon, Mr. Carayon was Head of Central Risk Control at the CNCA (Caisse Nationale du Credit Agricole) from 1991 to 1999. Between 1984 and 1989, he worked as an Inspector and Project Manager for the General Inspection & Audit Service. As an Economics graduate, Bernard Carayon began his career in 1978 at the CNCA in the Commitments Department, where he spent six years.

Meka Brunel

Ms. Meka Brunel serves as Chief Executive Officer and Director of Gecina S.A. She is Member of company's Strategic and Investment Committee. She is a business leader in the real estate industry. She is an ETP engineer, and holder of Executive MBA from HEC. As of 1996 she held a range of management positions at Simco, which later merged with Gecina. In 2006, she became Chief Executive Officer of Eurosic, before joining Ivanhoe Cambridge in 2009 as Executive President of its European real estate activities. She has been a Director at Gecina since 2014 and was appointed as its Chief Executive Officer in January 2017. Fully involved in corporate life and professional bodies (Director of Credit Foncier de France, honorary Chair of the HQE Association - France GBC, Director of FSIF and EPRA), Ms. Brunel was appointed in October 2017 to chair the Metropole du Grand Paris (Greater Paris metropolitan authority) development board.

Nicolas Dutreuil

Mr. Nicolas Dutreuil is Deputy Chief Executive Officer, Chief Financial Officer of Gecina S.A . He has been appointed as Deputy Chief Executive Officer in charge of Finance. He previously served as Deputy CFO of the company. He is graduate of Universite Paris Dauphine and Universite Paris I Pantheon Sorbonne. He holds DESS in Banking and Finance and DESCF. Nicolas Dutreuil began his career at KPMG Audit before joining the Investment Banking Department at Calyon, where he stayed from 1999 to 2006. From 2006 to 2009 he held various positions as Chief Operating Officer and Chief Financial Officer at Dolmes Real Estate and Investment Banking Director at Credit Suisse. From 2009 to 2013, Nicolas Dutreuil was Deputy CFO of Icade in charge of mergers & acquisitions, financing, treasury, and investor relations. Nicolas Dutreuil joined Gecina in 2013 as Executive Director, Finance.

Frederic Vern

Mr. Frederic Vern has been General Counsel of the Company and Secretary as of March 1, 2019. He is a graduate of Universite de Rouen (private law), Universite Catholique de Louvain (European commercial law) and Sciences-Po Paris. He is qualified attorney and an associate professor at Sciences-Po Paris. Following several years as a lawyer with Freshfields Bruckhaus Deringer (2002-2007) and Mayer Brown (2007-2010), he joined Ivanhoe Cambridge Europe in May 2010, serving as Vice President Legal Affairs Europe. In 2017, Mr. Vern joined Gecina to head up all corporate and real estate legal functions, as well as the Board’s secretary’s office.

Thibault Ancely

Mr. Thibault Ancely is Executive Director, Investment & Development of the Company. He graduate of ESSEC, Thibault Ancely boasts more than 15 years' experience in the finance and real estate sectors. In 2001, he joined Capital One Bank where he held various positions in Paris, London and Milan, before joining Unibail-Rodamco in 2005 as Investment Director for its Office division. In 2007, he joined Horizon Investment Management as Country Head – Director for the French market, to which he still has ties. After the sale of Horizon Investment Management to multi-class asset manager Henderson Global Investors in 2012, and the takeover of its real estate business by US pension fund TIAA-CREF in 2014, he became Chairman of TH Real Estate for France. Thibault Ancely joined Gecina in 2016 as Executive Director, Investment and Development.

Valerie Britay

Ms. Valerie Britay is Executive Director, Office Division of the Company. She has an MBA and a DESS in marketing from Paris-Dauphine University, and more than 30 years' experience in corporate real estate. Since 2005 at Unibail-Rodamco, she has held positions as Sales Director, then as Deputy Managing Director of the Office division, before being appointed Managing Director Retail France. She joined Gecina in July 2017 as Executive Director of its Office division.

Sabine Desnault

Ms. Sabine Desnault has been Executive Director R&D, Innovation and CSR of Gecina SA since September 2018. She holder of a DEA in energy economics from Institut Français du Petrole (IFP School), followed by a Masters in Real Estate Management Immobilier from ESSEC, Sabine Desnault began her career at Renault in 1996 as Project Manager in the Real Estate Division until 2008. She then joined Nexity Group as Director of Sustainable Development and innovation coordinator before moving to Stimergy in 2015 as Deputy Managing Director in charge of development and marketing. In 2016, she founded Innawak, a business development consultancy for regional and local sustainable innovation.

Christine Harne

Ms. Christine Harne has been Executive Director, Human Resources of Gecina since March 2019. She holds of a DESS in Human Resources Management from the Universite de Bourgogne (Dijon) and a DEA in Economics and Human Resources from the Paris University I, she has 24 years' experience in the field of human resources at major French groups. She worked at Suez Environnement and Italcementi Group, before joining Technip in 2008 where she was successively Head of Human Resources Development and then Director of Human Resources. In 2014, she joined the French Development Agency (Agence Française de Développement / AFD) as Executive Director in charge of Human Resources. She then moved to Gecina.

Julien Landfried

Mr. Julien Landfried has been Executive Director, Corporate Communications and Public Affairs of Gecina since 2019. He is graduate of HEC Paris, Julien Landfried began his career as Marketing Director at the CFPJ school of journalism (Centre de formation et de perfectionnement des journalistes). He then worked at Ineum Consulting from 2004 to 2006, and then for the weekly publication Marianne where he ran its Internet operations. Between 2009 and 2012, as Executive Director of the Paris Tech Review, he developed an online publication backed by some of the biggest schools in Paris Tech. In 2013, he joined the Influencing division of Publicis Consultants as a Partner, where he advised many companies on their communication, particularly in the real estate sector. Julien Landfried joined Gecina in December 2017 as Chief of Staff and Director of Public Affairs.

Franck Lirzin

Mr. Franck Lirzin is Executive Director, Residential of Gecina S.A. He is graduate of Ecole Polytechnique with a Mining Engineering degree. Franck Lirzin held various positions at the Ministry of the Economy and Finance, particularly within the budgeting department. Since 2016, his career has taken him from RATP to the Cabinet Office of the Minister of the Economy, Emmanuel Macron, via Societe Generale Asset Management. He served also as Deputy Chief of Staff of the Secretary of State in charge of industry, technology and innovation. He joined Gecina as Executive Director, Residential, in 2017.

Cyril Mescheriakoff

Mr. Cyril Mescheriakoff has been Executive Director, Risks and Internal Audit of Gecina since January 2, 2019. He is an engineering graduate of HEI. He began his career in 1996 at IBM, which he joined as Digital Innovations Projects Manager. At the same time, he completed his education at IAE, graduating with an MBA, and then joined PricewaterhouseCoopers from 1999 to 2005 where he was promoted to Head of Operational Strategy for the financial sector. In 2006, he joined the investment banking side of Societe Generale where he held various sales and management positions before taking over the Group's Internal Audit Department for Market Activities and Asset Management in March 2014.

Jean-Jacques Duchamp

Mr. Jean-Jacques Duchamp is Director, Permanent Representative of Predica within Gecina S.A. since May 10, 2010. He is Member of the Strategic and Investment Committee as well as of the Audit and Risk Committee of the company. He is graduate of AGRO-INAPG and ENGREF. After a career abroad (India, Morocco, Colombia, etc.) in public works and hydraulics, then in infrastructure financing with the World Bank, Jean-Jacques Duchamp joined Credit Agricole Group. He held various roles at General Inspectorate and Audit positions at Credit Agricole Regional Banks, then abroad and in capital markets, before joining the Credit Agricole SA Group Finance Department. In 2001, he moved to the Personal Insurance business line at Predica as Executive Director of Corporate Financing. In 2011, he was appointed Deputy CEO of Credit Agricole Assurances and a member of its Executive Committee. He is also a member of the economic and financial committee of the French Insurance Federation.

Sylvain Fortier

Mr. Sylvain Fortier is Director, Permanent representative of Ivanhoe Cambridge Inc., within Gecina S.A. since April 21, 2016. He is Member of company's Investment and Strategy Committee. He is Chief Innovation Officer, having previously held the position of President, Residential, Hotels and Real Estate Investment Funds and Strategic Adviser to the CEO of Ivanhoe Cambridge, a real estate subsidiary of the Caisse de depot et placement du Quebec , one of the largest institutional fund managers in Canada. He was responsible for a residential portfolio worth CAD$ 12 billion and a hotel portfolio currently comprising some 4,000 rooms in Canada and the United States, as well as the Company's real estate fund investments. They represent more than CAD$ 5 billion capital invested worldwide. Sylvain Fortier is also a Director of Otera Capital, a mortgage provider with a CAD$ 11 billion portfolio. Sylvain Fortier has some 30 years' experience of real estate investment and financing all around the world. He began his career at London Life, before moving to Standard Life. He then joined Caisse de depot et placement du Québec and its real estate divisions, holding a number of senior management positions in Canada and the United States. In 2010, he was appointed Vice President Advisor for real estate strategy, then moved on to various strategic roles in that field leading to the position of President, Residential, Hotels and real estate investment funds at Ivanhoé Cambridge, before landing his present role. Sylvain Fortier graduated with bachelor's degree in Commerce from McGill University (Montreal, Canada). He is a member of PREA and the National Multifamily Housing Council (NMHC) and a Director of Theatre du Nouveau Monde, Montreal.

Claude Gendron

Mr. Claude Gendron has been Director of the Company since April 23, 2014. He is a lawyer by training. He is Member of company's Audit and Risks Committee as well as of Nominatin, Remuneration and Governance Committee. He is Special Advisor to the Senior Management of Ivanhoe Cambridge, a real estate subsidiary of Caisse de depot et placement du Quebec, one of the largest institutional fund managers in Canada. Claude Gendron was, until 2017, Executive Vice President, Legal Affairs, Head of Litigation at Ivanhoe Cambridge and a member of the Management Board. He holds an MBA from the University of Ottawa, Canada and a Bachelor and a Master’s Degree in Business Law from the University of Montreal, Canada. Specializing in financial and real estate transactions for more than 30 years, he began his career as a legal advisor to the National Bank of Canada, one of Canada's major banks (1975-1980). Claude Gendron then continued his career at legal firms, joining Fasken Martineau DuMoulin as International Head of Business Law where he was senior partner (1998-2013) before moving to Ivanhoe Cambridge.

Laurence Danon-Arnaud

Ms. Laurence M. Danon-Arnaud is Independent Director of Gecina S.A. since April 26, 2017. She is Member of company's Governance, Appointment and Compensation Committee and the Audit and Risk Committee. She enrolled into the Ecole normale supérieure de Paris in 1977. She graduated in Physics in 1980. After two years of research at CNRS labs, she was accepted into Ecole nationale superieure des mines in 1981 and graduated in engineering in 1984. After five years at the Ministry of Industry and the Hydrocarbons Department, she joined ELF Group in 1989. From 1989 to 2001 she held various positions in the Chemistry division at Total FINA ELF, including a period between 1996 and 2001 as CEO of Bostik, the world's second-largest adhesives company. In 2001, she was appointed Chair & Chief Executive Officer of Printemps and a member of the Executive Board of PPR (KERING). After the repositioning of Printemps and its sale in 2007, she joined the world of finance. From 2007 to 2013 she was Chair of the Management Board of Edmond de Rothschild Corporate Finance, then from 2013 the Chair of the investment bank Leonardo & Co (subsidiary of the Italian group Banca Leonardo). Following the sale of Leonardo & Co to Natixis in 2015, she devoted herself to Family Office Primerose. She has been a Director of Amundi since 2015 and chairs its Strategy Committee. She has also served on the Board of Directors of TF1 since 2010 and chairs its Audit Committee. In addition, she served on the Boards of Directors of other PlasticOmnium (2003-2010), Experian Plc (2007-2010), Rhodia (2008-2011), and on the Supervisory Board of BPCE (2009-2013), among others. Ms. Danon-Arnaud was Commissions President of the French employer federation MEDEF from 2005 to 2013. From 2000 to 2003, she was Chair of the Board of Directors of Ecole des mines de Nantes, and from 2004 to 2006 the President of the Ecole normale superieure (Paris) Foundation.

Dominique Dudan

Ms. Dominique Dudan has been Independent Director of Gecina S.A since April 24, 2015. She is Member of company's Audit and Risk Committee. After completing her science studies, she joined the world of real estate. She was accepted as a Member of the Royal Institution of Chartered Surveyors (MRICS), and became its Fellow. From 1996 to 2005, Ms. Dudan held the position of Development Director at AccorHotels & Resorts Group. She then moved to HSBC Reim as Chief Operating Officer and member of its Management Board, then to BNP Paribas Reim as Deputy CEO and Director of Regulated Real Estate Funds. In 2009, Dominique Dudan set up her own firm, Artio Conseil, and in 2010 was appointed Chief Executive Officer of Arcole Asset Management. From 2011 to 2015, she was President of Union Investment Real Estate France SAS, and then Chief Executive of Warburg-HIH France. Now Senior Adviser at LBO France and a corporate director, Dominique Dudan is also a member of the Observatoire Regional de l’Immobilier d’Ile-de-France (ORIE) which monitors real estate activity in the Paris Region, a member of the Commission fiscale du Groupement des Professions de Services du MEDEF (MEDEF service provider-members taxation commission), a member of the Cercle des Femmes de l’Immobilier (Women in Real Estate Roundtable), the Club de l’Immobilier d’Ile-de-France (Paris Region real estate club), and a member of the Breizh Immo Association. She is a Knight of the French National Order of Merit.

Gabrielle Gauthey

Ms. Gabrielle Gauthey has been Independent Director of Gecina since April 18, 2018. She is Chairwoman of company's Audit and Risks Committee. She is an alumnus of Ecole Polytechnique and graduated from Telecom Paris Tech and Ecole des mines de Paris with an engineering degree. She holds a DEA (M. Phil) in economic analysis. From February 2015 to March 2018, she was Director of Investment and Local Development and a member of the Management Committee Board of the Caisse des Depots Group, a French public institution.

Jacques-Yves Nicol

Mr. Jacques-Yves Nicol is Independent Director of Gecina S.A. since May 10, 2010. He graduated from of ESSEC with a postgraduate degree in Economic Sciences. He was Chief Executive Officer of the ESSEC Alumnus Association after being Managing Director for France at Aberdeen Property Investors and Tishman Speyer Properties. He has also held positions of responsibility at Bank of America in France and internationally, notably at Bouygues as Chief Financial Officer and Managing Director for Spain, then at AXA Group as Chief Executive Officer of AXA Immobilier, then successively overseeing the Group's life insurance business in Asia Pacific and the Southern Europe/Middle East regions. He is a member of the Audit Committee Chairmen’s' Club at the French Institute of Directors.

Ines Reinmann Toper

Ms. Ines Reinmann Toper has been Independent Director of Gecina S.A. since April 17, 2012. She is Member of company's Audit and Risks Committee as well as of Governancie, Appointment and Compensation Committee. After completing her Legal studies (DESS / Master’s Degree in Real Estate Law), she worked at Dumez SAE and Bouygues before continuing her career at Coprim (a Societe Generale Group company), initially as Head of Development, then as Operations Director, and finally as Corporate Real Estate Sales Director. From 2000 to 2004, she was Chief Executive Officer at Tertial, then from 2004 to 2007 Tertiary Markets Director at Icade, President of EMGP, President of Tertial, and Director at Icade Fonciere des Pimonts. From 2007 to 2010 she was Managing Director Continental Europe at Segro Plc. She was also a Board member of that company. From 2010 to 2014 she was the Acxior Corporate Finance partner in charge of its real estate division. She is Associate Director, Real Estate, at Edmond de Rothschild Corporate Finance, and an Independent Director at Cofinimmo. In addition, she is also a Fellow of the Royal Institution of Chartered Surveyors. She is also a member of the Club de l’Immobilier Île-de-France and of the Cercle des Femmes de l’Immobilier.
