Name Description

Gisele Marchand

Ms. Gisele Marchand has been Chairman of the Board of Directors of Gjensidige Forsikring ASA since April 5, 2018. She has been Director of the Company since 2010. She is Chairman of the Audit Committee at the Company. She is Chief Executive Officer in the law firm Haavind AS, board member and chair of the audit committee of Norgesgruppen AS and Selvaag Bolig ASA and board member of Eiendomsspar AS, Scatec Solar ASA, Boligbygg Oslo KF and Victoria Eiendom AS. She has previous experienced from several boards, such as Norske Skog ASA and Oslo Boors AS. She has previously been Chief Executive Officer of Eksportfinans AS, the Norwegian Public Service Pension Fund, the Bates Group and Executive Vice President with Den norske Bank. She is a graduate of Copenhagen Business School.

Helge Baastad

Mr. Helge Leiro Baastad has been Chief Executive Officer of Gjensidige Forsikring ASA since 2003. He is s member of the board of Finance Norway, (the Norwegian federation for banks, insurance companies and other financial institutions, Ungt Entreprenorskap (Junior Achievement young enterprise Norway), Nykredit Holding A/S, Nykredit Realkredit A/S, and member of the electoral committee in SpareBank 1 SR-Bank ASA. He joined the company in 1998 as manager of the retail segment and in 2000 was appointed executive vice president responsible for group marketing and support functions. He has previously held various senior management positions with Jordan AS and Denofa Lilleborg Fabrikker. Baastad holds a degree from the Norwegian School of Economics based on a four year program in economics and business administration consisting of three years at bachelor/undergraduate level and one year at master/graduate Level.

Jostein Amdal

Mr. Jostein Amdal has been Chief Financial Officer and Executive Vice President at Gjensidige Forsikring ASA since October 1, 2016. He joined Gjensidige as Finance Director in 2002 and has since served as Chief Risk Officer and Head of Capital Management and M&A. His previous work experience includes management positions with If, Storebrand and Kvaerner. He holds a degree from the Norwegian School of Economics and Business Administration (NHH) based on a four year program in economics and business administration consisting of three years at bachelor/undergraduate level and one year at master/graduate level, as well as a "higher degree" based on two years of graduate studies in finance and economics, also at NHH.

Kaare Ostgaard

Mr. Kaare S. Ostgaard has been Executive Vice President, Technology and Development at Gjensidige Forsikring ASA since January 1, 2015. Before that, he served as Executive Vice President of Claims and IT of Gjensidige Forsikring ASA from June 20, 2011. He joined Gjensidige in 2004 and has been member of the Senior Group Management since 2011. He came from a position as Head of IT in Gjensidige. In addition, he was Head of the Integration of Nykredit Forsikring in Denmark, following the acquisition in 2010. His previous experience includes the position as Deputy Managing Director of ErgoGroup from 1999 to 2004. He holds a Master of General Business from the Norwegian Business School (Handelshoyskolen BI). He is Chairman of the Board in FDC AS and Gjensidige Baltic.

Jorgen Ringdal

Mr. Jorgen Inge Ringdal has been appointed Executive Vice President, Organization, Human Resources and Group Security at Gjensidige Forsikring ASA effective as of March 1, 2018. He no longer serves as Executive Vice President, Group Staff and General Services of Gjensidige Forsikring ASA effective as of March 1, 2018. He has held the position since 2006. He has worked for the Company since 1996 and has been member of the group management since 1996. He has held various executive positions within the group, including Corporate President of Economics/Finance. Before joining the Company, he served in a number of managerial positions, such as Assistant Chief Auditor with Norges Bank from 1989 to 1993 and as Manager with KPMG from 1993 to 1996. He holds a Master of Business Administration degree from Norges Handelshoyskole, Bergen - NHH and is State Authorized Public Accountant.

Sigurd Austin

Mr. Sigurd Austin has been Executive Vice President, Claims and Sweden at Gjensidige Forsikring ASA since November 1, 2017. He has previously been Executive Voce President, Claims since January 1, 2015. He was Executive Vice President of Commercial of Gjensidige Forsikring ASA from June 20, 2011 until January 1, 2015. He joined the Company in 2003 and has held various executive positions in the Group, most recently as Head of small and medium-sized businesses and the agricultural sector. He previously held various managing positions in the Norwegian Armed Forces. He is Member of the Board of SOS International. Mats Gottschalk

Mr. Mats C. Gottschalk has served as Executive Vice President, Commercial at Gjensidige Forsikring ASA since January 1, 2015. He was Executive Vice President Strategy and Mergers and Acquisitions at the Company from December 19, 2011 until January 1, 2015. Mr. Gottschalk came from Goldman Sachs International in London where he worked as an Executive Director in the Investment Banking Division, focusing on strategic advisory and M&A within the financial institutions sector in Europe. Prior to joining Goldman Sachs he worked as an associate in the investment banking division at J.P. Morgan in London. Mr. Gottschalk holds a Master of Science degree in industrial economics and technology management from the Norwegian University of Science and Technology and the University of St. Gallen.

Catharina Hellerud

Ms. Catharina E. Hellerud has been Executive Vice President, Analytics, Product and Price at Gjensidige Forsikring ASA since October 1, 2016. She no longer serves as Chief Financial Officer (CFO) of the Company, effective as of October 1, 2016. She has held that position since December 19, 2011. Prior to this, she was Acting CFO of the Company since May 16, 2011, and before that, she held the position of Group Controller. She was also Head of Investor Relations at the Company in 2007. Ms. Hellerud previously worked for Oslo Stock Exchange, and she was Accountant at Ernst & Young. She holds a degree in Business Economics from Handelshoyskolen BI and is Certified Public Accountant from Norges Handelshoyskole (NHH).

Hege Melhus Ask

Ms. Hege Yli Melhus Ask has been Executive Vice President, Private of Gjensidige Forsikring ASA since January 3, 2011. She was on maternity leave from October 1, 2016 till July 31, 2017 and earlier from August 3, 2014 until December 31, 2014. She had previously been Chief Executive Officer of Agito Nordic AS and before that had been Executive Vice President Markets (Private and Corporate) in Hafslund ASA. She also worked as Investment Analyst with Kistefos Venture Capital AS. She also worked as Research Assistant at INSEAD in France. Kim Rud-Petersen

Mr. Kim Rud-Petersen has been Executive Vice President, Nordic at Gjensidige Forsikring ASA since 2010. He joined KommuneForsikring in 2005 as Sales Manager. The company was later acquired by Gjensidige and he has held various positions in the company, latest as Head of Commercial in the Danish business. He has previously held various positions among others in Aon and Codan. He holds an EMBA from University of Monaco and IRM from Insurance Institute of America. He is Board Member in Compass Human Resources Group A/S and Sundhedsdoktor A/S.

Per Bjorge

Mr. Per Arne Bjorge has been Member of the Board of Directors of Gjensidige Forsikring ASA since June 1, 2011. He is also Member of the Audit and Risk Committees at the Company. He is Chair of the Board and general manager of PAB Consulting AS. He also serves as Chair of the Board of Borgund Invest AS, Havskjer AS and Havskaar AS. He is Board Member of the Gjensidige Foundation and of 3D Perception AS and of Tafjord Kraft AS. Among other things, he has previously been a bank director with Kreditkassen (Nordea) and worked as an auditor. He has a bachelor in economics and is a qualified auditor.

Eivind Elnan

Mr. Eivind Elnan has been Director of GJENSIDIGE FORSIKRING ASA since April 6, 2017. He is also Member of the Remuneration Committee. He has during the past ten years founded and built up two technology companies, Securo AS/Scuti AS and Hypoxic Technologies AS, both of which focus on fire protection solutions. He is now general manager of Hypoxic Technologies AS, which in 2017 became part of the German group Wagner Group GmbH. He has a Master of Science in Industrial Economics and Technology Management from the Norwegian University of Science and Technology (NTNU). Elnan has been a board member of the Gjensidige Foundation since 2016, and was previously a deputy member of the board. Elnan has previous work experience from Securo AS, Innherred Vekst AS and Accenture and other firms. In addition to being a member of the board of Gjensidige Foundation, he is Chair of the board of Scuti AS, Industrivegen 10 Verdal AS, Braxi AS and Ax Innovasjon AS. He is also a member of the board of Securo AS.

John Giverholt

Mr. John Giverholt has been Member of the Board of Directors of Gjensidige Forsikring ASA since April 7, 2016. He is also Member of the Risk Committee. He was formerly Managing Director of Ferd AS. He was previously Chief Financial Officer of the same company, Executive Vice President at DNB and Deputy Finance Director at Norsk Hydro. He is Chairman in Elopak AS, Lillevold og Partners AS and Ortomedic AS. He is also Board Member in Aars AS, CEK Holding AS, Fredensborg Eiendom AS, GammelNok AS and A Wilhelmsen AS. Lotte Kronholm Sjoberg

Ms. Lotte Kronholm Sjoberg has been Employee Representative on the Board of Directors of Gjensidige Forsikring ASA since May 28, 2015. She is also Member of the Risk Committee. She is chair of the staff union in Gjensidige Forsikring Denmark. Among other things, she has previously held position as a consultant in the change and ownership- department in Nykredit Forsikring. Among other things, she has studied at Copenhagen Business School and has a Master Degree in mediation and conflict resolution from Faculty of Law, Copenhagen University.

Gunnar Mjatvedt

Mr. Gunnar Mjatvedt has been Employee Representative on the Board of Directors of Gjensidige Forsikring ASA since 2007. He is Member of the Audit Committee and the Remuneration Committee at the Company. He is also Gjensidige’s senior employee representative. He has previously held positions as sales consultant and senior consultant, and he has nearly 30 years of experience of the insurance sector. He studied mathematics and science subjects at upper secondary school, and is authorized insurance adviser within health and pension.

Hilde Nafstad

Ms. Hilde Merete Nafstad has been Director of GJENSIDIGE FORSIKRING ASA since April 6, 2017. She is also Member of the Audit Committee. She is Vice President Finance and Control in Statoil, and is a Master of General Business from BI (sivilokonom). She is a deputy member of the general assembly of Gjensidige Foundation. Nafstad has had several leading positions in Statoil, Norsk Hydro, Saga Petroleum and the Ministry of Petroleum and Energy. She is a director of the board of SN Power AS, and holds directorships-/chairman positions in a number of Boards of Statoil’s international companies.

Anne Nyhammer

Ms. Anne Marie Nyhammer has been Member of the Board of Directors, Employee Representative at Gjensidige Forsikring ASA since September 1, 2016. She is technical manager in Gjensidige. She has previously been employed in DnB and in Norsk Hydro/ Leirvik Sveis.

Mitra Hagen Negard

Ms. Mitra Hagen Negard has been Head of Investor Relations at GJENSIDIGE FORSIKRING ASA since May 2, 2018. She has over 20 years' experience from the capital markets, including sell side equity research, investor relations and asset management. Since 2015, Mitra has worked as senior advisor at First House, with particular focus on investor relations. She holds an MA in International Economics and Management from SDA Bocconi in Milan, Italy.
