Name Description

Frederic Thomas

Mr. Frederic Thomas has been appointed to serve as Chairman of the Board at Icade SA since April 24, 2019. He previously served as Non-Executive Independent Director of Icade S.A. between May 23, 2016 and December 19, 2017. He was Member of the Audit, Risk and Sustainable Development Committee, as well as Member of the Appointments and Remuneration Committee until December 19, 2017. He began his career with the Pas-de-Calais regional bank in 1982, where he held various positions, including Head of Financing from 1993 to 1996, and later Head of Networks from 1996 to 2000. In 2000, He was appointed Deputy CEO of the Charente-Maritime Deux-Sevres regional bank. In 2007, he became CEO of the Credit Agricole Normandie-Seine regional bank and Chairman of Credit Agricole Technologies. He has been a member of the Board of Adicam since 2010. Since 2015, he has been CEO of Crédit Agricole Assurances and CEO of Predica. He is a member of the Executive Committee of Credit Agricole SA. He graduated in agronomic engineering from ENSA Rennes of Universite de Rennes and holds a “DESS” postgraduate degree in business administration.

Olivier Wigniolle

Mr. Olivier Wigniolle has served as Chief Executive Officer, Member of the Executive Committee of Icade S.A. since April 29, 2015. Olivier Wigniolle is a graduate of HEC business school (1985). He began his career at Arthur Andersen as an accounting and financial auditor. He then held various positions in real estate groups: Deputy Head of the Key Accounts Department at Auguste-Thouard, Deputy CEO of SARI Conseil, Associate Director at DTZ Jean Thouard and Sales Director at Bouygues Immobilier Conseil. From 1998 to 2005, Olivier Wigniolle was Deputy CEO of Societe Fonciere Lyonnaise. From 2006 to 2009, he was CEO of Credit Agricole Immobilier. From 2009 to March 2015, he was CEO of Allianz Real Estate France and a member of Allianz Real Estate’s Executive Committee. On March 19, 2015, Olivier Wigniolle was appointed CEO of Icade by a unanimous decision of the Board of Directors. He was also appointed member of the Management Committee of the Caisse des depots group. He is a member of RICS (Royal Institution of Chartered Surveyors). Distinctions: Olivier Wigniolle was awarded three “Pierres d’Or”: in 2014 in the category “Investor of the year”, in 2009 in the category “Asset, Property, Facility managers” and in 2017 in the category “Professional of the year”.

Victoire Aubry

Ms. Victoire Aubry has served as Member of the Executive Committee in charge of Finance, Legal, IT, and Work Environment of Icade S.A. since September 1, 2015. Victoire Aubry holds a Master’s degree and a “DESS” postgraduate degree in Finance from Universite Paris Dauphine, an Executive MBA from Hautes etudes commerciales (HEC) and a Director Certificate from the Institute of Corporate Directors (IFA) and Sciences Po. After 10 years in the Investment Bank Ixis, in 2000 she joined the Finance and Strategy Department of the Caisse des depots group, in charge of the management of the Group’s financial and competitive activities. In September 2005, she became Head of the Performance Management Department for the CNP Assurances group. In 2012, she became a member of the Executive Committee in charge of Finance, Risk, IT, Procurement and Legal at Compagnie des Alpes. In October 2016, Victoire Aubry received the title of “Chevalier” in the National Order of Merit.

Emmanuelle Baboulin

Ms. Emmanuelle Baboulin has served as Member of the Executive Committee in charge of the Commercial Property Investment Division of Icade S.A. since September 2015. Emmanuelle Baboulin is a graduate of Ecole Superieure des Travaux Publics. She began her career in 1986 at Bateg, a company of the SGE group, as a commercial engineer. In 1990, she joined Sorif, a company of the Vinci group, as Property Development Manager, and later Property Development Director. In 2004, she became Head of the Commercial Real Estate Department and was appointed member of the Management Committee of Vinci Immobilier. She joined Icade in 2008 as Head of Commercial Property Development for the Paris region and became a member of the Management Committee of Icade’s Property Development Division. Emmanuelle Baboulin is a member of “Club de l’Immobilier” and the Development Committee of the ESTP foundation. Since September 1, 2015 she has served as a member of Icade’s Executive Committee in charge of the Commercial Property Investment Division.

Laurent Poinsard

Mr. Laurent Poinsard has served as Member of the Executive Committee in charge of Audit, Risk, Compliance and Internal Control of Icade S.A. since September 1, 2017. A Chartered Accountant who holds a Master’s degree in accounting, financial control and audit, Laurent Poinsard began his career in 1990 as a financial auditor at PwC. In 1994, he became financial controller for Groupama. After spending 10 years in the Finance Department of Silic, he joined Icade in 2013 as Organization and Performance Director before becoming Head of Audit, Risk and Internal Control in October 2015. He is also a member of RICS (Royal Institution of Chartered Surveyors).

Jerome Lucchini

Mr. Jerome Lucchini has been appointed as Member of the Executive Committee, General Secretary at Icade SA as of April 25, 2019. He holds two law degrees (Master of Advanced Studies & Master) and is a graduate from Sciences Po. He began working at SILIC in May 2005 as General Secretary and then Head of Human Resources. Since January 2014, he has been Deputy CEO of Icade Sante and since 2015 Secretary of Icade's Board of Directors.

Xavier Cheval

Mr. Xavier Cheval has been appointed as Member of the Executive Committee in charge of Icade Sante at Icade SA since April 25, 2019. He is a graduate from Ecole Centrale de Paris and Insead. He began working at Icade Sante in 2011 as manager in the Investment Department and then Chief Investment Officer. He subsequently became Deputy CEO of Icade Sante and held that position as of 2017.

Marianne de Battisti

Ms. Marianne de Battisti has served as Member of the Executive Committee in charge of Innovation, Institutional Relations and Communication of Icade S.A. since 2015. Prior to this, she was Head of Key Accounts, Institutional Relations and Communications, Member of the Executive Committee at the Company. She previously served as Director of Communications, Marketing and International Department of Icade SA from 2005. A graduate of the Institut d'Etude Politiques de Paris, Institut d'Etude Politiques de Grenoble and the Ecole Nationale des Ponts et Chaussees, Ms. de Battisti developed a working career with Icade where she successively held the position of Development Manager in Lyon, followed by Branch Manager in Grenoble and Rouen, and Institutional Director for northern France and the Paris Region. At the same time she had management responsibilities in several public/private property companies. In 2001, she took the position of Managing Director of Icade Cites. In 2004, she became a Member of the Executive Committee of Icade SA in charge of marketing and communication. In 2005, in addition to her previous positions, Ms. de Battisti was appointed International Director of Icade. In 2012, she became a director of Entreprises & Medias, certified ASC (IFA 2012) and was appointed director of the SCET. She is a member of the RICS (Royal Institution of Chartered Surveyors). In September 2012, Ms. de Battisti was honoured by being appointed a Knight in the National Order of Merit.

Antoine de Chabannes

Mr. Antoine de Chabannes has served as Member of the Executive Committee in charge of Portfolio Management at ICADE S.A. since November 7, 2016. Antoine de Chabannes is a graduate of ESCP Europe. He started his career in 2004 as an external auditor at Ernst & Young, where he became a senior consultant in 2007, within the Transactions Advisory Services team. In early 2011, he joined the Corporate Finance Department of Allianz France. In September 2012, he became Head of Portfolio Management and Corporate Management, and a member of the Executive Committee of Allianz Real Estate France. He supervises the valuation and performance of the portfolio, as well as studies and research.

Emmanuel Desmaizieres

Mr. Emmanuel Desmaizieres has been appointed as Member of the Executive Committee in charge of Icade Promotion at Icade SA as of June 24, 2019. A graduate of Ecole des Mines d'Ales (a technology and engineering university) and CHEC, he began his career in 1994 as Site Manager at Bouygues Batiment (Paris region branch). In 1998, he joined Bouygues Immobilier first as Construction Project Manager and then as Head of the Residential Property Division. In 2003, he became Head of the Bordeaux Office and then, from 2007 to 2010, he was Regional Director for the Aquitaine and Pays Basque regions. In 2010, he joined Bouygues Immobilier's Executive Committee and then became Head of Commercial Property France, before being appointed to head the Residential Property Division in western France. In 2015, he became a member of Bouygues Immobilier's Strategy Committee, and founded and became CEO of the UrbanEra® structure. Since 2017, he has also been Head of Property Development Subsidiaries (Subdivisions) and Head of International Business at Bouygues Immobilier.

Maurice Sissoko

Mr. Maurice Sissoko has served as Member of the Executive Committee in charge of the Property Development Division of Icade S.A. since July 4, 2016. Maurice Sissoko is a graduate of Ecole Nationale des Impots. He began his career in 1987 at the French Ministry of Economy and Finance, within the Directorate-General for Taxation, and then within the Inspectorate- General for Finance between 2001 and 2005. He then joined the Caisse des depots (CDC) group as head of loans and housing for the Savings Fund with a focus on stemming the decline in outstanding loans and reviving the lending policy and growth policy of the distribution network, within a regulated framework. From 2008 to 2010, he served as a member of Icade’s Executive Committee in charge of the Property Services Division. In 2010, he was appointed CEO of the Economic Interest Group (GIE) “Informatique CDC” and head of the digital subsidiaries of the CDC group. Until now, Maurice Sissoko had been a Director of Icade (Permanent Representative of Caisse des depots) since September 2013 and a Director of SCET (Societe de conseil et d’expertise des territoires), which he used to chair. Since July 2015, he had been an Adviser to the CEO of CDC, in charge of the preparatory mission for a public-sector property investment company dedicated to housing. Maurice Sissoko joined Icade on July 4, 2016 as member of the Executive Committee in charge of the Property Development Division. Maurice Sissoko is an Inspector-General of Finance, a Chevalier in the National Order of Merit and a Chevalier of the Legion of Honor.

Carole Abbey

Ms. Carole Abbey has been Director of Icade SA since March 15, 2018. Since June 2017, she has been Managing Director of Strategic Holdings for Caisse des depots in the Real Estate, Housing & Tourism sectors. She participates in the approval of strategic priorities and investment decisions for Icade, Compagnie des Alpes, CDC Habitat and SCET. She develops CDC’s views within the governance bodies of these companies. After being an associate at EY consulting firm, Carole Abbey joined the Agence des Participations de l’Etat (a division of the French Ministry of Economy and Finance) at the beginning of 2017. An expert in corporate finance, she joined EY in 1999. For over 15 years, she assisted investment funds and large French and international corporations with complex financial projects. Between 2003 and 2008, she worked at EY’s office in Sydney, Australia. Carole Abbey holds a “DESS” post-graduate degree in Corporate Finance and Financial Engineering from Paris Dauphine University, a degree in Chartered Accountancy and CPA (Certified Public Accountant) certification from the United States.

Jean-Marc Morin

Mr. Jean-Marc Morin has been Director of Icade SA since April 3, 2018. After obtaining a Master’s degree in law and studying at the French National School for the Judiciary (ENM), he started his career in 1980 as Deputy Public Prosecutor in Bethune and then became judge at the Tribunal de Grande Instance (regional court) of Paris. From 1990 to 2003, he held a number of legal positions at the Ministry of Budget and then at the Ministry of Economy and Finance. In 2003, he was appointed Head of Legal for AP-HP – the entity managing public hospitals in the Paris region – and member of the AP-HP Management Committee. He joined Caisse des depots in 2011 as Deputy Group Head of Legal and Tax, and then Deputy Group Secretary General. Since 2012, he has been Head of Legal and Tax, and a permanent member of the Executive Committee and the Group Management Committee. In 2018, he became Advisor to the CEO of Caisse des depots. He is a permanent guest of the Executive Committee.

Sophie Quatrehomme

Ms. Sophie Quatrehomme has been appointed Director of Icade SA since March 15, 2018. She holds a Master’s degree in Modern Literature, a Master of Advanced Studies in National and European Policies of EU Member States, a “DESS” postgraduate degree in European Geopolitics and a degree from the Centre national de la fonction publique territoriale (National Centre for Local Public Service). She began her career in 2002 as a Parliamentary Advisor. At the end of 2004, she became a Technical Advisor in charge of Relations with the National Assembly to the Deputy Minister for Parliamentary Relations. In 2007, she was appointed Parliamentary Advisor to the State Secretariat for European Affairs. From 2009 to 2010, she was Parliamentary Advisor to the Minister of Food, Agriculture and Fisheries. In March 2010, she joined the French Financial Markets Authority (AMF) as an Advisor on Parliamentary and Institutional Relations. Between 2012 and 2014, she was Head of the Office and Advisor to the CEO of Caisse des depots. In March 2014, she was appointed Director of the Office of the CEO of Caisse des depots and Member of the Management Committees of Caisse des depots and the Caisse des depots group. Since July 2016, she has served as Communication Director for the Caisse des depots group. In March 2018, after the governance structure was reorganised, she joined the newly created Executive Committee and remained a Member of the Management Committee of the Caisse des depots group until June 2018.

Jean-Paul Faugere

Mr. Jean-Paul Faugere has served as Non-Executive Director of Icade S.A. since June 2015. He is also a Member of the Company’s Strategy and Investments Committee. Within the Company, he served as Acting Chairman of the Board between February 17, 2015 and June 2015, and as Director between December 20, 2012 and February 17, 2015. A former student of Ecole Polytechnique and Ecole Nationale d'Administration, he served as Head of the Office of the Prime Minister from 2007 to 2012. Prior to this, he worked as Head of the Office of Francois Fillon (Minister of Social Affairs and then of National Education) from 2002 to 2005 and Prefect of the Alsace-Bas Rhin region from 2005 to 2007. He has been Chairman of the Board of Directors of CNP Assurances since June 29, 2012. Previously, he held the following positions and offices: Insurance Auditor (1980-1981), Auditor to the Council of State (1983), Deputy General Secretary of the Council of State (1986–1987), Technical Adviser to the Minister of Infrastructure, Housing, Spatial Planning and Transport (1987–1988), Government Commissioner to the Court of Disputes of the Council of State (1988–1990), Finance Director (1991–1994) of the French Atomic Energy Commission (CEA), Director of Civil Liberties and Legal Affairs for the Ministry of the Interior and Spatial Planning (1994–1997), Prefect of Loir-et-Cher (1997–2001), Prefect of Vendee (2001–2002), and member of the Council of State (1998).

Virginie Fernandes

Ms. Virginie Fernandes has served as Non-Executive Director, Representative of Caisse des depots of Icade S.A. since September 30, 2016. She is Member of the Strategy and Investment Committee of the Company as well as of Nominating and Remuneration Committee. Virginie Fernandes, Head of the Group Steering Department – Caisse des depots group, is a graduate of Rouen Business School and Societe Francaise des Analystes Financiers. She began her career in 1998 at EY as a financial auditor. From 2000, she served as financial analyst, first at Oddo Securities and later at Credit Agricole Cheuvreux. She joined the Caisse des depots group in 2010. She worked in the Finance Department of the Strategic Investment Fund where she was in charge of monitoring strategic holdings. In 2012, she joined the Finance, Strategy and Holdings Division where she served as Head of the Strategic Steering of Subsidiaries and, in 2013, she took over as Head of the Real Estate, Housing and Tourism Division. On January 24, 2017 she was appointed Head of the Group Steering Department within the Finance, Strategy and Holdings Division. She is, among others, in charge of further strengthening the Group’s shareholding strategy.

Olivier Mareuse

Mr. Olivier Mareuse has served as Non-Executive Director of Icade S.A. since May 31, 2011. He is also a Member of the Audit, Risk and Sustainable Development Committee of the Company. A graduate of Institut d'Etudes Politiques de Paris 1984, former student of Ecole Nationale d'Administration 1988, Olivier Mareuse began his career in 1988 at the Group Insurance Department of CNP Assurances, as Deputy Head of the Financial Institutions Department and then as Technical, Administrative and Accounting Director in 1989. In 1991, he was appointed project officer to the CEO, and then Head of Strategy, Financial Control and Investor Relations in 1993. Appointed Chief Investment Officer of CNP Assurances in 1999, Olivier Mareuse joined Caisse des depots in October 2010 as deputy CFO of the Caisse des depots group. From December 2010, he served as Chief Financial Officer of the Caisse des depots group. Since September 2016, Olivier Mareuse has been Director of Savings Funds of Caisse des depots. Since 2018 he has also been Director of Asset Management at Caisse des Depots.

Celine Senmartin

Ms. Celine Senmartin has served as Non-Executive Director of Icade S.A. since October 19, 2016. A graduate of Institut d'etudes politiques de Bordeaux, she joined Caisse des depots in 2001. After a first professional experience in HR management, she worked, starting in 2005, in the Strategy Department of the Retirement Division of Caisse des depots as head of the department in charge of institutional relations and governance, before being appointed General Secretary of the ERAFP (Public Service Additional Pension Scheme). She became Advisor (August 2007) to and later Deputy Head (2011) of the Office of the CEO of the Caisse des depots group. From August 2012 to February 2015 she served as Caisse des depots Picardie Regional Manager. On March 1, 2016, she became Deputy Head of the Network and Territory Management Department. Céline Senmartin was also “Auditeur Jeune” at the Institute of Advanced Studies in National Defence (IHEDN) in 1998 and she has been certified as a company director by the French Institute of Company Directors (2012).

Nathalie Tessier

Ms. Nathalie Tessier has served as Non-Executive Director of Icade S.A. since April 29, 2015. She is Chairwoman of the CSR and Innovation Committee. Nathalie Tessier is a graduate of Institut Superieur de Gestion (ISG) and holds a postgraduate degree in financial management from Conservatoire National des Arts et Metiers (CNAM) and real estate management from Universite Paris X Nanterre. She began her career in 1983 in a French urban planning semipublic company (SEM) located in the Paris region, and in 1992 she joined Credit Foncier de France as Head of the Semi-Public Sector Division. She was also in charge of loans in the Social Housing Department. She joined Caisse des depots in 1998, where she held the following positions within the Ile-de-France Regional Division: Head of the Semi-Public Sector Division, then Head of the Seine-et-Marne/Val-de-Marne area, and later Head of Investment and Deputy Regional Head. In 2007, she left to participate in the creation of Etablissement foncier d’Ile-de-France, as Deputy Managing Director in charge of development. In 2010, she came back to the Regional Division of Caisse des depots as Deputy Regional Head, in charge, among others, of the Greater Paris project. From 2013 until 2018, she was the General Secretary of the Supervisory Board of Caisse des depots.

Gonzague de Pirey

Marie-Christine Lambert

Ms. Marie-Christine Lambert has served as Non-Executive Independent Director of Icade S.A. since December 6, 2011. She is Member of the Audit, Risk and Sustainable Development Committee of the Company. Marie-Christine Lambert, a graduate of Ecole Superieure de Commerce de Dijon with a major in Finance, is now retired. She used to be Deputy CFO and Head of Financial Control for the Orange group. After joining France Telecom in 1992, she served successively as Finance Director of the IT subsidiaries, Chief Financial Officer of the French Mobile Telephony Division, Chief Financial Officer of the Orange Division (the Group’s mobile telephony arm), Group Head of Finance and Operations Management in France (fixed and mobile telephony) and then Group Head of Financial Control. Marie-Christine Lambert began her career in 1975 in a French subsidiary of ITT, and then worked in operational finance in the industrial, services and telecommunications sectors.

Florence Peronnau

Ms. Florence Peronnau has served as Non-Executive Independent Director of Icade S.A. since May 23, 2016. She is Chairman of the Appointments and Remuneration Committee, as well as Member of the Strategy and Investment Committee of the Company and of Innovation and CSR Committee. After studying economics (bachelor’s degree in economics from Universite Paris X - Nanterre, degree in finance-economics from Institut de Sciences Politiques de Paris or Sciences Po) she spent the first part of her career working for several major institutional investors: 1982-1990: AGP Compagnie du Midi – AXA, real estate investments; 1990-1993: CPII Promotion Immobilicre – development of property projects and sales to investors; 1993-1997: SECL-UAP – Banque Worms – asset valuation and management; 1997-2004: AGF (Allianz group) – strategy and transformations, construction project management. In 2006 she joined the Sanofi group to set up the Group Real Estate Department and as such switched to the “users” side. Once the Corporate organization was implemented at the national and international levels, she rolled out the “office space” and “green buildings” internal policies, in line with the group’s strategic guidelines. She completed several major real estate projects in France and abroad, including the Group’s global headquarters (2012) and new business campuses (Paris and Lyon in 2015) to address the changes in work and management practices. Since January 19, 2015 she sits on the French State Real Estate Board as a qualified person. In 2017 she opened Pollen RE, a real estate strategy consulting firm dedicated to “Users”.

Guillaume Poitrinal

Mr. Guillaume Poitrinal has been Non-Executive Independent Director of Icade SA since June 29, 2018. He is Member of the Strategy and Investment Committee and Member of the Innovation and CSR Committee. is the former Chairman of the Executive Board of Unibail-Rodamco. He co-founded Woodeum, a property development company specialising in the construction of low-carbon buildings. He created Icamap, a pan-European investment fund active in both listed and unlisted property. He has been a director at FSIF (French Federation of Real Estate Companies) and he chaired the European Public Real Estate Association (EPRA) from 2009 to 2011.

Georges Ralli

Mr. Georges Ralli has served as Non-Executive Independent Director of Icade S.A. since May 23, 2016. He is also Chairman of the Audit, Risk and Sustainable Development Committee, as well as Member of the Appointments and Remuneration Committee at the Company. He joined Credit Lyonnais in 1970 where he held various positions until 1981 (General Accounting Research Department, in charge of monitoring regulatory ratios and consolidation procedures for the Group – Alsace Regional Department, in charge of corporate clients – Financial Affairs Department responsible for the primary equity market business). In 1982 he became Secretary of the Savings Development and Protection Commission. From 1982 to 1985, he headed the Financial Negotiations department of Credit du Nord (primary equity and bond markets, mergers and acquisitions, proprietary investments). In 1986 he joined Lazard in Paris to develop its primary equity markets activity. In 1989 he moved to the mergers and acquisitions department. He became managing partner in 1993 and was appointed as Co-Head of Lazard LLC’s mergers and acquisitions in 1999. From 2000 to 2010, he was Managing Director and Deputy Chairman of the Lazard LLC Executive Committee (USA). He simultaneously headed the French branch until 2010. In 2010 he resigned his executive position but until 2012 he remained Chairman of the European mergers and acquisitions activities and Chairman of the European asset management and private banking activities. In 2013, he created IPF Partners, an investment fund dedicated to the healthcare sector which invests in biotech, medtech, diagnostics and vaccines companies through structured loans. He is currently Partner and Managing Director of IPF Partners. He holds a “DESS” postgraduate degree in Banking and Finance from Universite Paris V Rene Descartes, a Finance and Economics degree from Institut de Sciences Politiques de Paris or Sciences Po, and a degree from Institut Commercial de Nancy business school.

Anne-Sophie Lanaute

Ms. Anne-Sophie Lanaute has been appointed Head of Financial Communication and Investor Relations at Icade SA since December 13, 2018. Ms. Lanaute graduated from Neoma Business School (ESC Rouen) with a major in financial engineering. In 2017, she obtained "IR fundamentals" certification from Cliff -Paris Dauphine. She began her career in 2003 at Ernst & Young as a financial auditor. In 2009, she joined Carrefour as a Financial Controller (Consolidation). Since September 2016, she had been part of Carrefour's Investor Relations team responsible for analyst and investor relations in addition to monitoring financial markets, preparing financial reporting, organising financial events and keeping abreast of changes in financial regulations.
