Name Description

James Hallett

Mr. James P. Hallett is Chairman of the Board, Chief Executive Officer of the company. Mr. Hallett served as President and Chief Executive Officer of ADESA from April 2007 to September 2009. Mr. Hallett served as: Executive Vice President of ADESA, Inc. from May 2004 to May 2005; President of ADESA Corporation, LLC from March 2004 to May 2005; President of ADESA Corporation between August 1996 and October 2001 and again between January 2003 and March 2004; Chief Executive Officer of ADESA Corporation from August 1996 to July 2003; ADESA Corporation's Chairman from October 2001 to July 2003; Chairman, President and Chief Executive Officer of ALLETE Automotive Services, Inc. from January 2001 to January 2003 and Executive Vice President from August 1996 to May 2004. Mr. Hallett left ADESA in May 2005 and thereafter served as President of the Columbus Fair Auto Auction until April 2007.

Eric Loughmiller

Mr. Eric M. Loughmiller is Chief Financial Officer, Executive Vice President of the company. Previously, from 2001 to 2006, Mr. Loughmiller was the Vice President and Chief Financial Officer of ThoughtWorks, Inc., an information technology consulting firm. Prior to that, Mr. Loughmiller served as Executive Vice President and Chief Financial Officer of May & Speh, Inc. from 1996 to 1998 until May & Speh was acquired by Acxiom Corporation. Peter Kelly

Mr. Peter J. Kelly is President - Digital Services, Chief Technology Officer of the company. Mr. Kelly was the President and Chief Executive Officer of Openlane from February 2011 to June 2013. Previously, Mr. Kelly was President and Chief Financial Officer of Openlane from February 2010 to February 2011. Prior to that, Mr. Kelly was Chief Financial Officer of Openlane from May 2008 to February 2010. Mr. Kelly was a co-founder of Openlane in 1999 and served in a number of executive roles at Openlane from 1999 to 2008.

Lisa Scott

Ms. Lisa Scott serves as President - PAR North America of the Company. Prior to this role, Scott held a variety of positions at ADESA Canada, including senior vice president of sales, marketing and operations, general manager, and, most recently, chief client officer. She has also served on several industry boards, including chair of the Canadian committee of the National Auto Auction Association (NAAA) and co-chair of the Canadian chapter of the International Automotive Remarketers Alliance (IARA).

Stephane St. Hilaire

Mr. Stephane St. Hilaire is Chief Executive Officer, President of ADESA, Inc., the subsidiary of KAR Auction Services, Inc. Mr. St-Hilaire previously served in the following positions between March 1998 and January 2014: President and Chief Operating Officer of ADESA Auctions Canada Corporation from September 2009 to January 2014; Regional Vice President Eastern Canada and General Manager of ADESA Montreal from September 1999 to September 2009; and Chief Financial Officer of ADESA Canada from March 1998 to September 1999. Prior to joining ADESA, Mr. St-Hilaire served as controller at AIT Corporation.

David Vignes

Mr. David J. Vignes is President - KAR Remarketing Services of the Company. Previously, Mr. Vignes served as Senior Vice President of Operations and Strategic Improvement of ADESA from July 2007 to August 2009. Prior to joining ADESA, Mr. Vignes served as Senior Vice President at Steiner + Associates, a real estate development company, from April 2004 to June 2007. From 1991 to 2004, Mr. Vignes held several executive positions in finance and operations with Disney Corporation companies, such as Disneyland Paris, Walt Disney World Orlando and the Disney cruise line. Mr. Vignes also is a director of Drayer Physical Therapy Institute and an advisor to the board of directors of Wellfount Corporation.

Donald Gottwald

Mr. Donald S. Gottwald is Chief Operating Officer of the Company. Mr. Gottwald previously served as the Chief Executive Officer of AFC from January 2009 to March 2014. Mr. Gottwald also served as the President of AFC from January 2009 to May 2013. Previously, Mr. Gottwald served in the role of Executive Vice President of Dealer Business for HSBC Auto Finance from December 2005 to October 2008. Prior to working at HSBC Auto Finance, Mr. Gottwald served in several roles of increased responsibility with GMAC Financial Services from June 1993 to December 2005, including Managing Director of Saab Financial Services Corp. and Managing Director of American Suzuki Financial Services. Mr. Gottwald has been active in the American Financial Services Association and previously served on the association's board of directors. In addition, Mr. Gottwald serves on the Northwood University Automotive Marketing Curriculum Advisory Board.

Thomas Fisher

Mr. Thomas J. Fisher serves as Executive Vice President, Chief Information Officer of the Company. He brings two decades of customer-focused technology strategy, operations, sales and product development experience to KAR. Prior to joining KAR, Fisher served as senior vice president of cloud operations and general manager at Genesys a global leader in customer experience platform solutions. Fisher previously served as chief services officer for Interactive Intelligence, a publicly traded, Indianapolis-based software and cloud developer recently acquired by Genesys, where he led an international team of over 1,000 employees. Also at Interactive, Fisher served as vice president of global sales operations and engineering, and director, systems engineering. Fisher graduated from Ohio University with degrees in biology and communications systems management before beginning his career as an IT analyst with Andersen Consulting and applications consultant at Cisco Systems.

Rebecca Polak

Ms. Rebecca C. Polak is Executive Vice President, General Counsel and Secretary of the company. Ms. Polak previously served as the Assistant General Counsel and Assistant Secretary of ADESA from February 2005 to April 2007 and as Vice President of ADESA from December 2006 to April 2007. Prior to joining ADESA, Ms. Polak practiced corporate and securities law with Krieg DeVault in Indianapolis from 2000 to 2005 and with Haynes and Boone in Dallas from 1995 to 1999.

Lisa Price

Ms. Price previously served as the Vice President of Employment and Litigation Counsel of the Company from January 2008 to June 2013 and Senior Corporate Counsel from November 2005 to January 2008. Prior to joining ADESA, Ms. Price practiced employment law with Stewart & Irwin in Indianapolis from November 2000 to November 2005.

Warren Byrd

Mr. Warren W. Byrd is Executive Vice President - Corporate Development and Real Estate of the company. Mr. Byrd previously served as the Executive Vice President of Corporate Development of ADESA from April 2007 to June 2010. From April 2004 to April 2007, Mr. Byrd was the Chief Operating Officer of ServNet Auction Group, a trade co-operative of over 20 independent auto auctions in the U.S. Mr. Byrd previously served in the following positions between September 1994 and November 2003: President of ADESA Impact, a salvage auction subsidiary of ADESA, between February 2002 and November 2003; Senior Vice President and Chief Information Officer of ADESA between May 2001 and February 2002; Vice President of Corporate Development of ADESA between January 1999 and May 2001; General Counsel of ADESA between August 1996 and January 1999; and Legal Counsel of ADESA between September 1994 and August 1996. Prior to joining ADESA, Mr. Byrd practiced law with McHale, Cook and Welch in Indianapolis from May 1989 to September 1994.

Benjamin Skuy

Mr. Benjamin Skuy is Executive Vice President - International Markets and Strategic Initiatives of the company. Mr. Skuy previously served in the following positions between July 1999 and September 2009: Executive Vice President of International Markets and Managing Director of ADESA Canada from January 2008 to September 2009; Managing Director and Chief Operating Officer of ADESA Canada from July 2006 to January 2008; Chief Operating Officer of ADESA Canada from January 2002 to July 2006; and Chief Financial Officer of ADESA Canada from July 1999 to January 2002. Prior to joining ADESA, Mr. Skuy served as Assistant Vice President at Manulife Financial from June 1998 to July 1999. From August 1990 to May 1998 he served as Senior Manager at The Bank of Nova Scotia.

Thomas Caruso

Mr. Thomas J. Caruso is Chief Client Officer of the company. Mr. Caruso was the President and Chief Executive Officer of ADESA from September 2009 to January 2014. Mr. Caruso previously was the Chief Operating Officer of ADESA from May 2008 to September 2009. Mr. Caruso also served as Executive Vice President of ADESA from April 2007 to May 2008 and Regional Vice President of ADESA from January 2000 to April 2007. Richard Howse

Mr. Richard Howse is Chief Commercial Officer of the Company. Howse brings more than 30 years of automotive industry leadership to the role. Prior to joining KAR, Howse served as senior vice president of marketing and business development at Volkswagen Credit, where he was previously the director of remarketing. He has also served in senior finance roles at GMAC and GE Capital and leadership positions with JD Power, Audi of America, Honda and General Motors.

John Larson

Mr. John P. Larson is Lead Independent Director of the Company. Mr. Larson served as the Chief Executive Officer of Escort Inc., an automotive electronics manufacturer, from January 2008 to January 2014, and prior to that as President and Chief Operating Officer from June 2007 to January 2008. Prior to joining Escort Inc., Mr. Larson served in a number of capacities at General Motors Company from 1986 to 2007, most recently serving as General Manager overseeing operations for the Buick, Pontiac and GMC Divisions from January 2005 to May 2007 and as Chief Financial Officer for U.S. Sales, Service and Marketing Operations from 2001 to 2004. He is Graduated from Northern Illinois University and Purdue University (M.S., Management).

Todd Bourell

Mr. Todd F. Bourell is Independent Director of the Company. He is the Managing Partner of WLJ Capital, LLC, a public equities investment firm he founded in January 2015. He is Partner/Analyst at ValueAct Capital, LLC, a privately held hedge fund, from May 2001 to December 2014. He is Global Industry Analyst at Wellington Management Company, a worldwide private investment management company, from September 2000 to May 2001. He is a Partner/Analyst at Peak Investment L.P., a private investment firm, from July 1994 to July 1998. Donna Ecton

Ms. Donna R. Ecton is Independent Director of the Company. Ms. Ecton is the founder and has served as the Chairman and Chief Executive Officer of EEI, Inc., a management consulting firm, since 1998. She served as the Chief Operating Officer from 1996 to 1998, and as a director, from 1994 to 1998, of PETsMART, Inc., a pet supplies and services retailer. Previously, Ms. Ecton served as the Chairman, President and Chief Financial Officer of Business Mail Express, Inc., a print-mail business, from 1995 to 1996, President and Chief Executive Officer of Van Houten North America, Inc. and Andes Candies Inc., international confectionery companies from 1991 to 1994, and Senior Vice President — Franchise and International and Corporate Controller of Nutri/System, Inc., a provider of weight management meal plans, from 1989 to 1991. Prior to that, Ms. Ecton held various positions with Campbell Soup Company, Nordeman Grimm, Inc., Citibank N.A. and Chemical Bank. Ms. Ecton holds a Masters of Business Administration from Harvard University and a Bachelor of Arts in Economics from Wellesley College.

Mark Hill

Mr. Mark E. Hill is Independent Director of the company. He is Managing Partner of Collina Ventures, LLC, a private investment company that invests in software and technology companies, since 2006, Co-founder and Chairman of Bluelock, LLC, a privately held infrastructure as a services company, since 2006 and Co-Founder, President and Chief Executive Officer of Baker Hill Corporation, a banking industry software and services business, from 1985 to 2006. Baker Hill was acquired by Experian, a global information solutions company, in 2005. He is Graduate of the University of Notre Dame and Indiana University (MBA).

J. Mark Howell

Mr. J. Mark Howell is Independent Director of the Company. Mr. Howell has served as the Chief Operating Officer of Angie’s List, Inc. since March 2013. Prior to that, Mr. Howell served on the management team of Ingram Micro, Inc., a wholesale provider of technology products and supply chain services, as President of Ingram Micro North America Mobility, where he was responsible for managing the company’s mobility operations and activities in the United States and Canada. Prior to joining Ingram Micro in 2012 when Ingram acquired BrightPoint, Inc., a distributor of mobile devices for phone companies, Mr. Howell held various executive positions at BrightPoint since 1994, including President, BrightPoint Americas, President and Chief Operating Officer, and Executive Vice President and Chief Financial Officer. Before joining BrightPoint, Mr. Howell held the position of Corporate Controller for ADESA, Inc., and prior to that, he was an accountant with Ernst & Young LLP. He is Graduate of the University of Notre Dame (BBA in Accounting).

Lynn Jolliffe

Ms. Lynn Jolliffe is Independent Director of the company. She has served as Executive Vice President, Global Human Resources of Ingram Micro Inc., a technology distribution company, since June 2007, Vice President, Human Resources for the North America region from October 2006 to May 2007 and also Served as Regional Vice President, Human Resources and Services for Ingram Micro European Coordination Center from August 1999 to October 2006. She has Served in various capacities, including Vice President and Chief Financial Officer with responsibility for human resources, at two Canadian retailers, including Holt Renfrew, from 1985 to 1999. Michael Kestner

Mr. Michael T. Kestner is Independent Director of the Company. Mr. Kestner has served as the Chief Financial Officer of Building Materials Holding Corporation, a building products company, since August 2013. He previously was a partner in FocusCFO, a consulting firm providing part-time CFO services, from 2012 to 2013 and served as the Executive Vice President, Chief Financial Officer and a director of Hilite International Inc., an automotive supplier of powertrain parts, from 1998 to 2011, and Chief Financial Officer of Sinter Metals, Inc., a supplier of metal power precision components, from 1995 to 1998. Prior to that, he served in various capacities at Banc One Capital Partners and Wolfensohn Ventures LP and as a senior audit manager at KPMG LLP. Mr. Kestner holds a Bachelor of Science in Business Administration from Southeast Missouri State University.

Stephen Smith

Mr. Stephen E. Smith is Independent Director of the Company. Mr. Smith served in various capacities at American Honda Finance Corporation, a provider of automobile financing to purchasers, lessees and dealers, and most recently served as the Senior Vice President, Financial Services of American Honda Finance Corporation, a provider of automobile financing to purchasers, lessees and dealers, from 1985 to October 2012 (including various other positions). Previously, he served in various capacities in the central credit office and store operations at Bullock’s Department Stores, from 1975 to 1985. Mr. Smith holds a Masters of Business Administration and Bachelor of Arts from California State University.
