Name Description

Andre Kudelski

Mr. Andre Kudelski is Chairman of the Board of Directors, Chief Executive Officer at Kudelski S.A. since 1991. Prior to that, he served as Member of the Board of Directors of the Company from 1987 to 1991. He is Member of the Strategy Committee at the Company. Mr. Kudelski graduated from Eidgenossische Technische Hochschule Lausanne with a Masters degree in Physics in 1984 and began his career in 1984 as Research & Development Engineer at the Company. In 1986, after an assignment for a few months in Silicon Valley, he returned to work in the family business firstly as Pay TV Product Manager, then as Director of Nagravision SA, a company in charge of the Pay TV sector.

Claude Smadja

Mr. Claude Smadja is Non-Executive Deputy Chairman of the Board of Directors at Kudelski S.A. since April 1, 2002. Prior to that, he served as Member of the Board of Directors from 1999 to April 1, 2002. Mr. Smadja graduated from Universite de Lausanne with a Bachelor of Arts degree in Political Science. He served for 15 years at Television Suisse Romande (TSR) as Deputy Editor of the Information Department and, after that, joined the management of the World Economic Forum, where he served from 1987 to 1992. He then returned to TSR as Director of Information and has served at this position until 1996. In 1996, he was appointed Managing Director of the World Economic Forum. In June 2001, he founded Smadja & Associates, Strategic Advisory. He is also Member of the Board and Chairman of the Remuneration Committee of Edipresse SA, Independent Director and Chairman of the Nomination Committee of Infosys Technologies Ltd., and Member of the International Board of Overseers of the Illinois Institute of Technology.

Mauro Saladini

Mr. Mauro Saladini is Chief Financial Officer, Member of the Executive Board at Kudelski S.A. since February 1, 2003. He holds a degree in Electrical Engineering from the ETHZ Swiss Federal Institute of Technology Zurich (Eidgenoessische Technische Hochschule Zuerich) as well as a Master of Business Administration degree from INSEAD, Fontainebleau, France. He started his professional career in 1990 as a financial services consultant with Accenture. In 1995, he joined Thema Consulting, where he set up the Zurich subsidiary and took responsibility for cash-flow and risk management activities. In 1997, he joined McKinsey & Co, where he became a partner in 2001. He worked in particular on corporate finance and strategy projects relating to various industries, mainly media and telecommunications. In addition, Mauro Saladini was in charge of the Swiss Media Practice and joint-head of the European Media Practice.

Pierre Roy

Mr. Pierre Roy is Chief Operating Officer, Member of the Executive Board of Kudelski S.A. since January 17, 2003. After obtaining a degree in business management from HEC Lausanne in 1975, he began his professional career as Financial Analyst with Procter & Gamble. In 1977, he joined IBM as Commercial Engineer. In 1979, Mr. Roy began his international career with Digital Equipment Corporation, where he held various management positions both within the European center in Geneva as well as abroad in the finance & administration and marketing & business management departments. In 1992, he joined the Company as Managing Director Nagra Audio, Business Development Director Nagravision and Managing Director of Precel SA. Since 1999, Mr. Roy has managed his own business consultancy company and has worked in the telecommunications sector while continuing to work on strategic projects for Nagravision. He is Member of the Board of OpenTV Corp, NagraID SA, Nagravision SA, SmarDTV SA, and Nagra USA, Inc., among others.

Nicolas Goetschmann

Mr. Nicolas Goetschmann is Corporate Secretary and Director of Group Administration of Kudelski S.A. since January 15, 2004. He is a graduate in Economics from the University of Fribourg (Universite de Fribourg). Between 1986 and 1989, he held the position of Private Client Executive for Credit Suisse in Geneva, before becoming a Fund Manager for Kestrel SA in Neuchatel. In 1990 he joined the Kudelski Group as Director of Finance and Administration. He is Director of Nagravision SA and Chairman of Nagra France Holding SAS, among others.

Joseph Deiss

Prof. Dr. Joseph P. M. Deiss is Member of the Board of Directors at Kudelski S.A. since May 15, 2012. He obtained a doctorate degree in economy and social sciences from the University of Fribourg (Switzerland) in 1971. He was appointed associate professor (“professeur extraordinaire”) in 1983 and professor of political economy in 1984, a position he occupied until 1999. During this time, he was also a visiting professor at a number of Swiss Universities including ETH Zurich, University of Lausanne and University of Geneva. Between 1996 and 1998, he was the Dean of the Faculty of Economics and Social Sciences of the University of Fribourg. Parallel to his academic career, Joseph Deiss has pursued a political career. He was a member of the Grand Council of the canton of Fribourg from 1981 to 1991, when he was elected President of the Grand Council of Fribourg for one year. From 1991 to 1999, he was a member of the National Council. During this period, from 1993 to 1996, he was Switzerland's price regulator. In 1999 he was elected to the Federal Council, where he was responsible for the Federal Department of Foreign Affairs (1999-2002) and the Federal Department of Economic Affairs (2003-2006). He served as President of the Swiss Confederation in 2004. Since his retirement from the Federal Council in 2006, Joseph Deiss has been a business consultant and has served on the Boards of various companies.

Laurent Dassault

Mr. Laurent Dassault is Non-Executive Member of the Board of Directors at Kudelski S.A. since 1995. He graduated from Ecole Superieure Libre des Sciences Commerciales Appliquees in 1977 and from ESLSCA with a degree in Corporate Law. He served for 13 years in banking sector. Marguerite Kudelski

Dr. Marguerite Kudelski is Non-Executive Member of the Board of Directors at Kudelski S.A. since May 2, 2006. She graduated from Ecole Polytechnique Federale de Lausanne with a Doctorate in Micro technology and Engineering degree in Micro technology. She also graduated from IMD Business School, Lausanne, Switzerland with an Executive Masters of Business Administration in 2006. Her professional career began at the EPFL’s Laboratory of Electromechanics and Electrical Machines, where she worked from 1991 to 1999. During this period she also worked as a research and development engineer within the Nagra Audio division of the Kudelski Group. In 1999, she became the Head of R&D with Précel SA in Neuchâtel (then a Kudelski Group company) before being appointed as CEO and Board member of the same company in 2000, positions that she occupied until the end of 2002. After completing a number of marketing and financial analysis projects for NagraID in 2003, she took responsibility for certain key projects for the Group within the Finance Department from 2004 to 2006. From 2007 to 2011, Marguerite Kudelski worked as a consultant, offering services such as business development and management consulting. In December 2011, she took over the management of Nagra Audio, which was transferred by the Group to Audio Technology Switzerland SA (ATS) for which she serves as Chairman of the Board of Directors. Until the end of 2014, Marguerite Kudelski was in charge of the R&D department of ATS. Since the beginning of 2015, she has been a strategic advisor to ATS.

Pierre Lescure

Mr. Pierre Lescure is Non-Executive Member of the Board of Directors at Kudelski S.A. since May 26, 2004. He is Chairman of the Strategy Committee as well as Member of the Remuneration and Nomination Committee at the Company. He graduated from Centre de Formation des Journalistes with a degree Journalism and in Literature. From 1972 to 1974, he served as News Presenter for Antenne 2. He also spent 15 years with RTL, RMC and Europe 1 radio stations where he occupied a variety of positions, in particular Deputy Editor and Director of Programs. In 1981, Mr. Lescure became Editor in Chief of Antenne 2. From 1984, he worked on the launch project for CANAL+, where he was appointed Director and then Chief Executive Officer. From 1993 to 2002, he has served as Chairman and Chief Executive Officer of CANAL+ Group. From 2000 to 2002, he has served as Co-Chief Executive Officer of Vivendi-Universal. Since 2002, he has been Chairman and Chief Executive Officer of Anna Rose Production SAS. From 2008 to 2014, he directed the Théâtre Marigny in Paris. Since 1st July 2014, Pierre Lescure has served as President of the Cannes Festival. Since September 2014, Pierre Lescure has been a regular TV columnist for the daily show “C à vous” which is broadcast on “France 5,” the French TV channel. He is Member of the Supervisory Board of Lagardere SCA, among others.

Alec Ross

Mr. Alec Ross has been Non-Executive Member of the Board of Directors at Kudelski S.A. since 2014. He began his professional career in 1994 as a teacher within the Teach for America programme in the underprivileged neighbourhoods of Baltimore. He joined Enterprise Community Partners (formerly Enterprise Foundation) two years later, a non-profit organisation based in Columbia, Maryland, which develops affordable housing throughout the United States, where he held the position of Special Assistant to the Chairman. In 2000, Alec Ross co-founded the One Economy Corporation, a non-profit organisation which organizes programmes to help low-income people worldwide, for which he worked for eight years. In parallel, he joined the presidential campaign of President Barack Obama in 2007 as the Coordinator of the Technology, Media & Telecommunications Policy Committee and then as Project Manager and member of the Technology, Innovation and Government Reform Policy Group. From April 2009 to March 2013, Alec Ross was Senior Advisor for innovation to US Secretary of State Hillary Clinton. Since then, he has been Senior Fellow at the School of International and Public Affairs of the University of Columbia and is currently writing a book on the industries and companies of the future. He also advises investors, enterprises and government officials, helping them to understand the influence of factors located at the crossroads of geopolitics, markets and disruptive technologies. He holds degree in History from Northwestern University, USA.

Alexandre Zeller

Mr. Alexandre P. Zeller is Non-Executive Member of the Board of Directors at Kudelski S.A. since May 24, 2007. He graduated from Harvard University in 1999 and from Universite de Lausanne with a degree in Economics in 1982. He began his professional career in 1984 with Nestlé as a Management Auditor. Three years later, he joined Credit Suisse, where he carried out various duties in the field of loans and asset management at a Swiss and international level, while at the same time managing various branches. In 1999 he was appointed to the Executive Board and then as CEO of Credit Suisse Private Banking. In November 2002,Alexandre Zeller joined the Banque Cantonale Vaudoise as Chairman of the Executive Board. From July 2008 to February 2012, he was CEO of HSBC Private Bank (Switzerland) and, as from October 2010, Regional CEO Europe and Middle East. Since March 2012, Alexandre Zeller has served as an independent director and in May 2014, he was appointed Chairman of the Board of SIX Group SA.
