Pierre Danon

Mr. Pierre Danon has served as Chairman of the Board at SOLOCAL GROUP S.A. since September 5, 2017. Civil engineer from ‘Ponts et Chaussées’, graduated from law and from the ‘Institut supérieur des affaires’, Mr Pierre Danon has held positions of Chief Executive Officer and member of Boards of Directors, in particular as Chairman of Xerox Europe, Chief Executive Director of Bristish Telecom Retail and Chairman and Chief Executive Officer of Numericable-Completel. Since 2008, he as been appointing as Vice-Chairman then Chairman of TDC Copenhagen. He is also Vice Chairman of Agro generation in Paris.

Eric Boustouller

Mr. Eric Boustouller has been appointed Chief Executive Officer of SOLOCAL GROUP S.A. effective as of October 11, 2017. Graduated from the “Institut d’Etudes Politiques de Paris”, Mr. Eric Boustouller was in particular Sales General Manager of Compaq France. Deputy CEO (2002-2005), then Chairman and Chief Executive Director of Microsoft France and Deputy Chairman of Microsoft International (2005- 2012), he has been Corporate Vice President of Microsoft Corporation and Western Europe area Vice president of Microsoft since 2012.

David Amar

Mr. David Amar serves as Vice Chairman of the Board of the Company. He is Member of the Remuneration and Nominating Committees and Chairman of the Strategic Committee of the Company. He has joined the Family Office Amar in 2009 and has taken over its management in 2013. He is specialized in long term investment in listed companies, in wine properties and wine-trading companies, in hotel property management and property development. He is also a Director of the investment fund Matignon Investissement et Gestion (Private Equity). From 2006 to 2009, he was in charge of wealth management in various Swiss banking institutions. He received an MBA in Geneva in 2006.

Jean-Jacques Bancel

Mr. Jean-Jacques BANCEL has acted as Chief Financial Officer of SOLOCAL GROUP S.A. since February 13, 2018. Mr. Jean-Jacques Bancel, graduated from ESSEC, began his carrier in 1993 in consulting (Mars & Co) to join the banking world (HSBC) in 1998, before taking the post of Director of Financial Communication of Autoroutes du Sud de la France (South of France Highways) and to pilot its IPO. Being successfull in this operation, he was promoted to CFO in 2003, a position he would later occupy in various companies between 2007 and 2016, such as Consolis (European construction group) or in the pharmaceutical industry (LBO Ethypharm and SGD Pharma).

Arnaud Defrenne

Mr. Arnaud Defrenne has acted as Chief Technology Officer of SOLOCAL GROUP S.A. since April 25, 2018. Mr. Arnaud is a graduate of the ESA Business School. He began his career in 1997 by jointly developing the first French search engine (Nomade), and then becoming the Technical Director for all of the Liberty Serve Group’s Internet services between 1997 and 2001. In 2001, he joined the Netbooster network of independent agencies. In 2004, Arnaud founded a price-comparison and shopping search-engine, which used an innovative research technology, and was taken over by LeGuide.com in 2005. Then he joined Publicis and developed the Group’s technology offerings such as “Digitas Content and Commerce” and “Digitas Cloud”. In 2015, he joined the L’Oréal Group as Chief Digital Marketing Technology Officer (CDMTO), in order to drive the Group’s transition to digital technology, and expand its digital activities and income.

Christophe Parcot

Mr. Christophe Parcot has acted as Chief Revenue Officer of SOLOCAL GROUP S.A. since November 9, 2017. He graduated from MS ESSEC in 1990, Christophe Parcot starts his carrier in Largardère Active in the Canadian distribution branch before joining the international consumer magazine department of Bertelsman in Paris. He joined LVMH holding in 1996, taking financial and investment reponsabilities. He cofounded Liberty Surf in 1999, and led the IPO of the company in 2000. He appointed then as strategic and development Director for Tiscali France. In 2002, he launched the company Overture in France, Spain and Italy. This company invented the sponsored links. After Overture and Kelkoo take over by Yahoo!, he became South Europe Vice President of Yahoo! In 2006 and in 2012, is appointed as VP Head of EMEA of Yahoo!, reporting to Marissa Mayer. In 2014, he joined the start up Teads in 2014, as Chief Operation Officer to accelerate the international growth and transform the company into a market place for digital video advertising on mobile and programmatic. Teads was sold to Altice at the beginning of 2017

Pascale Furbeyre

Ms. Pascale Furbeyre has acted as Director of Marketing of SOLOCAL GROUP S.A. since May 9, 2018. Ms. Pascale holds an MBA from Columbia Business School, and began her career in digital marketing at About.com, a subsidiary of the IAC Group, in New York in 1999. She worked for About.com, Sprinks, Overture, Yahoo! France. Pascale joined the Crédit Agricole Group as Marketing and Communications Director in 2009, and launched BforBank, an online bank dedicated to savings. She conceived and supervised the BforBank website, defined the brand’s positioning, and oversaw its launch on television, in print media, and online. She joined the LesFurets.com price-comparison website, a subsidiary of the UK based BGL Group, as Marketing Director in 2013

Amaury Lelong

Mr. Amaury Lelong has acted as Chief Online Advertising, Data and New Products of SOLOCAL GROUP S.A. since May 2, 2018. Mr. Amaury Lelong graduated from HEC and the London Business School in 1999 and started his career by taking part in setting up the Nextedia e-marketing agency (formerly Come&Stay). He then worked as a consultant for the AT Kearney and Boston Consulting Group firms before joining Canal+ where he held several operational department positions with a strong marketing and digital input. Amaury Lelong joined SoLocal Group in 2012 as Director of Marketing for Large Accounts and Online Marketing. Two years later, he was promoted to the position of Deputy Managing Director of this unit, since renamed SoLocal Network, where he initiated the development of the Group's data and programmatic offering. When the product lines were set up in 2016, he was appointed Managing Director of DaPSSA, a product line taking in Programmatic Data, Search and Social Advertising offerings developed by SoLocal from the main advertising platforms on the market (Google, Bing, Facebook, programmatic).

Frederic Obala

Mr. Frederic Obala has served as Chief Media, Presence & Content Officer within SOLOCAL GROUP S.A. since 2015. He graduated from HEC in 1989. He began his career as Consultant in Strategy at Coopers & Lybrand Consulting, before joining Promodes starting in 1992, and becoming the head of a superstore in Madrid in 1998. Starting in 1999, he assumes responsibility for the coordination between Promodes and the Carrefour Group, before being entrusted with the management of the internet site, carrefourmultimédia.fr. In 2002, he joined the PPR Group (Kering) as Director of Strategy and member of the Executive Committee, then as Director of Marketing and the web of La Redoute. In 2008, he assumed the general management of Domeo, subsidiary of Veolia and Homeserve. In 2012, he was appointed Managing Director of the Marketing and Services Division of Darty. He joined SoLocal Group in 2014.

Richard Culf

Mr. Richard Culf has acted as Chief HR Officer of SOLOCAL GROUP S.A. since November 9, 2017. Mr. Richard Cuif started his carrier in Rank Xerox, Disney then Kraft Foods before joining PepsiCo group, where he was appointed as Chief Human Resources Officer in 1997. At this position, he went to the merge of Food and Beverage activities. Then he joined Schweppes France, took part of the merge of Orangina Schweppes, then is promoted as Human Resources Director of the Beverage branch of the group. From 2005 to 2008, he was Human Resources Director of Microsoft France, then joined Devanlay-Lacoste group where he is in charge of Human Resources, internal communication and corporate social responsibility. During 7 years, he participated to the international development of the activities, the human Resources responsibility and the group transformation.

Phillippe De Boissieu

Mr. Phillippe De boissieu has acted as Chief Transformation Officer of SOLOCAL GROUP S.A. since May 2, 2018. Mr. Philippe de Boissieu graduated from the Institut d’Administration des Entreprises in 1996 and started his career at La Générale des Eaux as Financial Controller before joining the PwC then Deloitte consultancy firms. He subsequently held financial management positions for industrial groups. Throughout his career, Philippe de Boissieu has gained invaluable experience in steering strategic transformation projects or recovery operations. In November 2017, Philippe de Boissieu was appointed Transitional Chief Administrative and Financial Officer and on 2 May 2018 he was put in charge of steering the transformation project set out in the “SoLocal 2020” plan and built around 6 strategic programmes: Customer journeys, Production of offers, Move to Cloud, Finance process, Skills and Training and ERP.

Pascal Garcia

Mr. Pascal Garcia has served as General Secretary at SOLOCAL GROUP S.A. since 2017. He has previously been Deputy Managing Director - Strategy, Partnerships and External Relations Division since 2011 and Deputy Managing Director - Advertising Branch since March 1, 2009. He previously held various senior management posts within SoLocal Group, first at Telelistas, a 50% subsidiary in Brazil, from 1997 to 2001, then at Wanadoo Edition in 2002, before serving as CEO of Spanish subsidiary QDQ Media from 2003 to 2008. Until January 1, 2014 he was Assistant CEO in charge of Strategy, Partnerships and External Relations. He began his career in 1982 in the Financial department of Comex, an oilfield services company, and then joined Coflexip in Brazil, where he held various management posts in France and internationally before being appointed CEO of Coflexip Stena Offshore Brazil. Mr. Garcia is a graduate of HEC business school and holds MBAs from Fundacao Getulio Vargas (Sao Paulo, Brazil) and ESADE (Barcelona, Spain).

Joeelle Obadia

Mrs. Joeelle Obadia has served as Director, Employee Representative of SOLOCAL GROUP S.A. since April 7, 2016. She is Member of the Nominating and Remuneration Committees of the Company. She spent 10 years with the Thomson group, with 5 of these years at Thomson Brandt Armements where she looked after external public relations (press, public, events relations in France and overseas); in November 1991, she joined the Sales Department PagesJaunes, being responsible for sales force incentives, then for boosting sales by combining with leading sales, commercial challenges, information from the various sales channels and client events. In 2007, Joeelle Obadia joined the Sales Department management committee, becoming Manager of Sales Growth, and taking on management and guidance of all sales training. Today, she is PR Director and MICE within Operational Excellence.

Jacques-Henri David

Mr. Jacques-Henri David has been Independent Director of SOLOCAL GROUP S.A. since October 19, 2016. He is Chairman of the Audit Committee. Mr. Jacques-Henri David is a graduate of the Ecole Polytechnique, the Paris Institute of Political Studies and ENSAE Paris. He has worked in various roles, as the Inspector of Finance for the French Ministry of Economy and Finance, as Deputy Director, then Director of the Cabinet of René Monory, Minister of Economy and Finance, Secretary General of the National Council of Credit for the Bank of France, Financial Director, then Director General of Saint-Gobain, Director General of the Compagnie Générale des Eaux (now Vivendi), President of the Board of Directors of the Crédit d’Equipement des PME, and the Banque du Développement des PME (now BPI France), President of the Deutsche Bank France group, and Vice Chairman of the "Global Banking" Division of Deutsche Bank AG. He is also a member of the Economic and Social Council, a lecturer at the Paris Institute of Political Studies, manager of the Saint-Gobain Corporation, manager of the UGC, manager of Edmond de Rothschild (Europe) and manager of Edmond de Rothschild (Monaco) - Monaco.

Philippe de Verdalle

Mr. Philippe de Verdalle has served as Independent Director at SOLOCAL GROUP S.A. since June 13, 2017. He is Chairman of the Appointment and Remuneration Committees of the Company. He has joined Weinberg Capital Partners in 2015 to launch Nobel, which is the third core business of WCP alongside Private Equity and Real Estate activities. The Nobel fund is intended to acquire minority and friendly stakes in listed companies. It is a long term investor alongside families and management teams in order to support the development of French firms. It brings together an investment pool of institutional investors and important families, it invests exclusively in equity with no debt leverage Within the scope of his duties as General Manager of Nobel, Mr. Philippe de Verdalle is Director of: A Mersen (listed on Euronext – Market capitalization of c.500 Million euro - Turnover 2016 of 764 Million euro - Headcount of 6,375 persons) - his term terminated on 10 April 2017; A Groupe Le Noble Age (listed on Euronext - Market capitalization of c.450 Million euro - Turnover 2016 of 394 Million euro - Headcount of 6,000 persons). Before, Mr. Philippe de Verdalle was a member of the executive committee of UBS France, responsible for the development and the key private clientele. He was a Managing Director of HSBC group in charge of own-account investment activities. In this context, he was, from 2000 to 2011, Chief Executive Officer of Nobel, a holding entity acquiring stakes for HSBC group. During this same period, he was also a Director of private equity funds and of acquired business. Furthermore, Mr. Philippe de Verdalle was lecturer in Corporate Finance at the Institute of Political Studies of Paris (Institut d’Etudes Politiques de Paris) between 1997 and 2011.

Delphine Grison

Dr. Delphine Grison has served as Independent Director at SOLOCAL GROUP S.A. since June 13, 2017. She is Member of the Strategic Committee of the Company. She has been Marketing and Business Intelligence officer at CBRE France since December 2015, President of DGTL Conseil since 2014, a company through which she has provided consultancy services, and a Director of Asmodee Holding since June 2014. She also serves until the end of 2017 within the Advisory Boards set by Bpifrance in connection with its ETI acceleration program. Until 2013, she held several positions within the Lagardere group, consistent with her operational duties (member of the Management Board of Lagardere Active, President of Lagardere Active Digital, Director of LeGuide.com…). Mrs. Delphine Grison graduated from the Ecole Normale Superieure (1987), has a Ph.D. in quantum physics (1992) and is graduated in engineering from the Ponts et Chaussees (1994).

Marie-Christine Levet

Ms. Marie-Christine Levet serves as Indepedent Director of SOLOCAL GROUP S.A. Graduated from HEC in 1988 and from INSEAD in 1994, Marie-Christine Levet managed several brands of the French Internet. In 1997, she founded Lycos. Then, from 2001 to 2007, she ran Club-Internet, a provider of Internet access, which she sold to Neuf Telecom / SFR. In 2008, she became General Manager of the Tests Group, a hi-tech information group, as well as Internet activities of the NextRadioTV group. With her entrepreneurial experience, Marie-Christine turned to venture capital in 2010 to bring her experience to young entrepreneurs. She participated in the creation of Jaina Capital, one of the first investment funds specializing in early stage financing in France, where she invested in companies like made.com, yes.car, devialet, La ruche qui dit oui. In October 2017, Marie-Christine Levet creates Educapital, the European private equity fund dedicated to the Education, Training and Digital Transition sectors. She is also board member of Iliad, Econocom, Maisons du Monde and AFP, and was formerly a Director of the Google Fund for Media Innovation (FINP) from 2013 to 2016.

Alexandre Loussert

Mr. Alexandre Loussert has served as Independent Director at SOLOCAL GROUP S.A. since October 19, 2016. He is Member of the Remuneration and Appointments Committee Committees of the Company. He held management duties in the RATP (2004-2013). He is the Ambassador for Peace to the Comite Europe Afrique under the aegis of UNESCO since 2007. Alexandre Loussert is Chairman of the Association RegroupementPPLocal the purpose of which is to assert the interests and rights of the shareholders of SoLocal Group in the short, medium and long term.

Arnaud Marion

Mr. Arnaud Marion has served as Independent Director at SOLOCAL GROUP S.A. since October 19, 2016. He is Member of the Audit Committee of the Company. He began his career in 1987 at Arthur Andersen before joining the Edmond de Rothschild Group in 1993. In 2001, the created Trans Consult International, then in 2014, Marion & Partners in London, companies specialized in crisis management, complex operations, strategic analysis and negotiations. He has worked with emblematic companies such as Pleyel, Le Lido, la Salle Pleyel, Heuliez and Doux. He also offers his services in bonis and in court situations and has worked with more than 250 businesses and 40 general management mandates in the banking and services sectors as well as industry. He has been a Lecturer at Sciences-Po in Paris from 1993 to 1998 and is the author of 4 books. Arnaud Marion was also a member from 2006 to 2012 of the National Commission charged with granting the label “EPV – Entreprises du Patrimoine Vivant [Living Heritage Company]” awarded by the Ministry of the Economy and Finance, and founded the Association Nationale des Entreprises du Patrimoine Vivant [National Association of Living Heritage Companies] of which he was Chairman from 2010 to 2012. He has received the Excellence Francaise pour Pleyel prize in 2012 as well as the Ulysse des lecteurs de Challenges prize and the ARE award for the best company turnaround in 2016. He is Deputy Chief Executive Officer, non-director of Neuhauser Financiere (France), Deputy Chief Executive Officer, non-director of Boulangerie Viennoiserie Francaise (France).

Lucile Ribot

Ms. Lucile Ribot serves as Independent Director of SOLOCAL GROUP S.A. She is Member of the Audit Committee. A graduate of HEC in 1989, Lucile Ribot began her career at Arthur Andersen where she led audit and financial advisory projects for international groups. In 1995, she joined the industrial engineering group, Fives, where she became CFO in 1998, member of the Management Board in 2002, and supported the growth and strategic development until 2017. She is a Director and a member of HSBC France's audit and risk committees.

Sophie Sursock

Mrs. Sophie Sursock has served as Independent Director at SOLOCAL GROUP S.A. since June 13, 2017. She is Member of the Audit Committee of the Company. She is Co-founder, Director and Equity Partner at Accelero Capital, an investment and management group focused on TMT (Telecommunications Media Technology). She manages the Paris office. She has executed various transactions in the tech and media sector. In particular, she has been involved in the restructuring of Seat Pagine Gialle S.p.A and serves on the Board of Directors of Italiaonline (ex Seat Pagine Gialle S.p.A and Italia Online), Dada S.p.A. and intY Limited. Before, she was a Corporate Finance Manager at Orascom Telecom Holding S.A.E/Weather Investments from 2007 to 2011.
