Name Description

Jochen Tilk

Mr. Jochen E. Tilk serves as Executive Chairman of the Board of Nutrien Ltd. Previously, he was President & Chief Executive Officer of PotashCorp. Prior to joining PotashCorp, he was President and CEO of Inmet Mining Corp. Mr. Tilk is a mining engineer and holds a Master's degree in engineering from the University of Aachen in Germany.

Charles Magro

Mr. Charles V. Magro serves as President, Chief Executive Officer, Director of the Company. He was previously President and Chief Executive Officer of Agrium, which he joined in 2009. Other key leadership roles he held at Agrium include Chief Operating Officer and Executive Vice President; Chief Risk Officer and Executive Vice President of Corporate Development; and Vice President, Manufacturing. He joined Agrium following a productive career with NOVA Chemicals. Chuck plays an active role on the boards of Canpotex Limited, the International Fertilizer Association and the International Plant Nutrition Institute. He also serves as chair of The Fertilizer Institute and the Nutrients for Life Foundation. Chuck holds a Bachelor of Applied Science (Chemical Engineering) from the University of Waterloo and a Master of Business Administration from the University of Windsor.

Wayne Brownlee

Mr. Wayne R. Brownlee serves as Chief Financial Officer, Executive Vice President of the Company. Prior to this he was Executive Vice President and Chief Financial Officer for PotashCorp, positions he had held since 2006. In 1989, Wayne coordinated the privatization of PotashCorp, which transformed it from a provincial Crown corporation to a publicly traded company. As head of expansion and development efforts in the 1990s, he was instrumental in the acquisition of the company’s nitrogen and phosphate assets. Wayne holds a Bachelor of Science and a Master of Business Administration, both from the University of Saskatchewan. He is a member of the Dean’s Advisory Council at the Edwards School of Business at the U of S and currently serves as a director of the Saskatoon Community Foundation and the Saskatoon Public Schools Foundation. He is also co-chair of the Wanuskewin Heritage Park fundraising campaign.

Michael Webb

Mr. Michael R. Webb serves as Chief Human Resource Officer, Executive Vice President of the Company. Mike Webb is Executive Vice President and Chief Human Resources Officer for Nutrien. He was previously Senior Vice President, Human Resources with Agrium. Mike moved to Canada in 2010 following a 20-year career in the Asia Pacific region, beginning in Hong Kong, where he worked for Merrill Lynch and Morgan Stanley. His role with Morgan Stanley included senior HR roles in New York, Hong Kong, Singapore, Japan and India. Later, he joined HSBC as Head of HR for their institutional Asia Pacific businesses. Mike eventually became Global Head of HR for HSBC Amanah and worked throughout the Middle East. In 2010, he became an International Executive for HSBC and was appointed Senior Vice President, HR for Canada before joining Agrium in 2014. Mike received his Bachelor of Science degree from William Jewell College in Missouri in 1990. He has served on several non-profit boards, the most recent being the Vancouver Symphony Orchestra Society.

Brent Poohkay

Mr. Brent Donald Poohkay serves as Executive Vice President, Chief Information Officer of Nutrien Ltd. He was formerly Senior Vice President, Information Technology (IT) with PotashCorp, responsible for IT services, including development and execution of IT strategy supporting operational excellence across the organization. Prior to joining PotashCorp, Brent held a range of senior management and executive roles in academia and the private sector. Most recently, he was with Enbridge Inc. for more than 10 years as Vice President and Chief Information Officer and Chief Privacy Officer, overseeing transformation of the company’s IT services to an integrated one-team model. Brent holds a Master’s Degree in Education as well as a Master’s Degree in Business Administration from the University of Alberta. He served as Chair of the Board of Directors for TELUS Spark, the new science centre in Calgary, Canada.

Henry Deans

Mr. Henry (Harry) Deans serves as Executive Vice President, President - Nitrogen of the Company. Harry Deans is Nutrien’s Executive Vice President, Nitrogen. Previously, he was Agrium’s Senior Vice President, and President, Wholesale Business Unit. Harry has more than two decades of experience in production, sales, marketing, and business management of a broad range of petrochemical and commodity products. Before he joined Agrium, he was the Chief Executive Officer of INEOS Nitriles, a global business based in Switzerland that is a wholly owned subsidiary of the INEOS Corporation, a leading global chemical manufacturing company. Harry holds a Doctorate in Chemistry from Strathclyde University in Scotland.

Steven Douglas

Mr. Steven James Douglas serves as Executive Vice President, Chief Integration Officer of the Company. He was formerly Chief Financial Officer with Agrium, which he joined in 2014. With Agrium, Steve was instrumental in several initiatives, including the repositioning of Corporate Reporting and issuing $1.5 billion of long-term debt. He also played an integral role in stakeholder relations. During the merger of equals with PotashCorp, he managed the integration team. Before joining Agrium, Steve was the Senior Managing Partner and Chief Financial Officer at Brookfield Asset Management's Commercial Property Group. He was responsible for all financial aspects of the group, which managed a portfolio of holdings around the world worth over $110-billion. He has also held the positions of Executive Vice President and CFO at Falconbridge Limited. Steve received his Bachelor of Commerce (Honors) from Laurentian University and is a Chartered Professional Accountant. He has also served as a director on numerous international boards.

Michael Frank

Mr. Michael J. Frank serves as Executive Vice President, President - Retail of the Company. Mike Frank joined Agrium in September 2017 as Executive Vice President and President, Retail Business Unit. Mike has more than 25 years of experience in the agricultural industry, with expertise in sales, marketing and general management. He also has experience in global supply chain and geographic distribution channels, digital commerce strategies, cultural and digital transformation and leadership of global teams. Prior to joining Agrium, Mike spent more than two decades working in senior roles at Monsanto Company, where he was most recently Senior Vice President and Chief Commercial Officer. He holds a degree in agricultural engineering from the University of Saskatchewan and a Master of Business Administration from Northwestern University.

Kevin Graham

Mr. Kevin James Graham serves as Executive Vice President, President - Sales of the Company. Kevin Graham is Executive Vice President, Sales at Nutrien. Previously, he was Senior Vice President, Strategy and Corporate Development for PotashCorp. He was responsible for strategy, corporate budgeting and forecasting, capital planning, treasury, continuous improvement and market research activities. Before joining PotashCorp, Kevin was Chief Strategy and Technical Officer with Vale Base Metals. In this position, his responsibilities included strategic and business planning, business development, brownfield exploration, operational excellence, and health, safety and sustainability. Kevin earned a Bachelor of Engineering (Metallurgical) from McGill University and holds a Doctorate (Materials Science and Engineering) from McMaster University. He also has a Master of Business Administration from the University of Lausanne (IMD).

Susan Jones

Ms. Susan C. Jones serves as Executive Vice President, President - Phosphate of the Company. She was previously Senior Vice President and Chief Legal Officer for Agrium. Susan joined Agrium in 2004 as Legal Counsel and served in that capacity until 2007 when she became Senior Director, Wholesale Business Development. In 2010, she was appointed Managing Director, Vice President, Agrium Europe. In 2012, she was appointed an Officer of Agrium Inc. and assumed the role of Vice President, Marketing and Distribution until her appointment as Chief Legal Officer in 2015. In 2017, Susan was named Deal Maker of the Year at the Canadian General Counsel Awards. Susan has a law degree as well as a Bachelor of Arts in Political Science and Hispanic Studies. She has been admitted to the bar in British Columbia and Alberta.

Lee Knafelc

Mr. Lee M. Knafelc serves as Executive Vice President, Chief Sustainability Officer of Nutrien Ltd. He was formerly Senior Vice President, Human Resources and Administration with PotashCorp, responsible for the company’s global human resources. Lee began his human resource management career at Federated Co-operatives Limited in Saskatoon in 1991. In 1995, he became Human Resources Manager, Western Canada for CSP Foods and in 1997, Director of Human Resources. He studied General Arts for one year at l’Université Canadienne en France at Villefranche-sur-Mer, France before obtaining a Bachelor of Education with Great Distinction at the University of Saskatchewan in 1991. Lee is a Chartered Professional in Human Resources and a member of the Chartered Professionals in Human Resources (CPHR) Saskatchewan, serving on its Board of Directors and as chair of its Education and Professional Standards Committee.

Leslie O'Donoghue

Ms. Leslie A. O'Donoghue serves as Executive Vice President, Chief Strategy & Corporate Development Officer of Nutrien. She was previously Agrium’s Executive Vice President, Corporate Development and Strategy, and Chief Risk Officer. Prior to that she served in a variety of posts covering a wide range of responsibilities including legal affairs and corporate governance; government relations; health, safety and security; sustainability and stakeholder relations; internal audit; operational excellence; and functional support for mergers and acquisitions. Before joining Agrium in 1999, Leslie was a partner in the national law firm of Blake, Cassels & Graydon LLP. In 2017, she received the Distinguished Business Leader Award, co-presented by the University of Calgary’s Haskayne School of Business and the Calgary Chamber of Commerce. In 2016, she was recognized with a Queen’s Alumni Award for excelling in a career outside the traditional practice of law. She has also received an Alberta Queen’s Counsel Appointment and was named one of the Top 25 Most Influential Lawyers in Canada by Canadian Lawyer magazine. Leslie is a member of the Board of Directors for Pembina Pipeline Corporation and United Way of Calgary and Area.

Joseph Podwika

Mr. Joseph A. Podwika serves as Executive Vice President, Chief Legal Officer of Nutrien Ltd. He was previously Senior Vice President, General Counsel and Secretary with PotashCorp. He was responsible for delivery of legal services and the corporate compliance program, in addition to corporate governance processes in his role as corporate secretary. Before joining PotashCorp, Joe worked in the legal department of International Paper Company in Memphis, Tennessee and was in private practice with Jaeckle, Fleischmann & Mugel in Buffalo, New York. He earned an English degree with highest honors at State University of New York at Buffalo and a Juris Doctorate from Northwestern University School of Law. He is a member of the American and Canadian bar associations, the Association of Corporate Counsel and the U.S. and Canadian societies of corporate secretaries and governance professionals.

Raef Sully

Mr. Raef M. Sully serves as Executive Vice President, President - Potash of the Company. He was previously President of PCS Nitrogen and PCS Phosphate at PotashCorp. Other positions held at the company include Vice President, Project Management and Capital, with responsibility for managing the capital program and large projects. He first joined the company in 2012 to oversee its potash expansion program. Raef began his career at Hyder Consulting PLC (formerly Acer Wargon Chapman) in Sydney, Australia. As an associate director, he was involved in engineering design and construction management of large infrastructure projects. From 2001 to 2012, he worked at Bain & Company, where he was a principal in its mining and resources practice. Raef has a Bachelor of Engineering (Honors) in Civil Engineering and holds a Doctorate in Structural Engineering, both from the University of Sydney.

Derek Pannell

Mr. Derek G. Pannell serves as Lead Independent Director of the Company. Previously, he served as Chairman of the Board of Agrium. Mr. Pannell is also Board Chair of Brookfield Infrastructure Partners Limited. He was President and Chief Executive Officer of Noranda Inc. and Falconbridge Limited.

Christopher Burley

Mr. Christopher M. Burley serves as Director of the Company. He is a Corporate Director and former Managing Director and Vice Chairman of Energy for Merrill Lynch Canada Inc. He is the Vice Chairman and a director of Westjet Airlines Ltd. and a former non-executive Chairman of the board of directors of Parallel Energy Inc. Mr. Burley is a graduate of the Institute of Corporate Directors’ Education Program and holds the ICD.D designation.

Maura Clark

Ms. Maura J. Clark serves as Director of the Company. Ms. Clark was the former President of Direct Energy Business, the commercial and industry energy business unit of Direct Energy L.P. Ms. Clark holds a Chartered Professional Accountant designation and currently serves on the Board of Directors of Fortis Inc. and is a former director of Elizabeth Arden, Inc.

John Estey

Mr. John W. Estey serves as Director of the Company. Mr. Estey served as Chairman of the Board of PotashCorp. He is also Chairman of S&C Electric Company, a global provider of equipment and services for electric power systems. He is a Director of Southwire Company and the American Writers Museum as well as a Member of the Board of Trustees of the Adler Planetarium & Astronomy Museum.

David Everitt

Mr. David C. Everitt serves as Director of the Company. Mr. Everitt is the Chair of the Board and former interim Chief Executive Officer of Harsco Corporation. He recently retired as President, Agricultural Division for North America, Australia, Asian and Global Tractor Sourcing, Turf Products and Technology for Deere & Company of Moline, Illinois. He is also a director of Brunswick Corporation and Allison Transmission Holdings Inc., and serves on the board of the National Business Aviation Association in Washington, DC.

Russell Girling

Mr. Russell K. Girling serves as Director of the Company. Mr. Girling is a Director and the President and Chief Executive Officer of TransCanada Corporation and TransCanada PipeLines Limited. He is the former Chair and Chief Executive Officer of TC Pipelines, GP Inc., former Chair of TransCanada Power, L.P., former director of Bruce Power Inc., and former director of the Alberta Children’s Hospital Fund. He is a member of the U.S. National Petroleum Council and a member of the Board of Directors of the American Petroleum Institute.

Gerald Grandey

Mr. Gerald W. Grandey serves as Director of the Company. Mr. Grandey was former Chief Executive Officer and board member of Cameco Corporation. He is Chair of Rare Element Resources Ltd., Chairman Emeritus of the World Nuclear Association and a member of the Canadian Mining Hall of Fame. He also serves on the Dean’s Advisory Council of the University of Saskatchewan’s Edwards School of Business, the Board of Governors of the Colorado School of Mines Foundation and the Advisory Board of Kreos Aviation.

Miranda Hubbs

Ms. Miranda C. Hubbs serves as Director of the Company. Ms. Hubbs was the former Executive Vice President and Managing Director of McLean Budden Limited and is a Chartered Financial Analyst (CFA), and a National Association of Corporate Directors (NACD) Governance Fellow. She serves on the Board of Directors of the Canadian Stem Cell Foundation, the Canadian Red Cross, the Public Sector Pension Investment Board, and is a former director of Spectra Energy Corp.

Alice Laberge

Ms. Alice D. Laberge serves as Director of the Company. Ms. Laberge is a Corporate Director and the former President and Chief Executive Officer of Fincentric Corporation. She was previously Senior Vice President and Chief Financial Officer of MacMillan Bloedel Ltd. She is a director of the Royal Bank of Canada, Russel Metals Inc. and the B.C. Cancer Foundation and has served as a director of Delta Hotels Ltd. and Catalyst Paper Corporation. Ms. Laberge is the past Chair of the Board of Governors of the University of British Columbia. She is a Fellow of the Institute of Corporate Directors.

Ms. Consuelo E. Madere serves as Director of the Company. Ms. Madere is the President and Founder of Proven Leader Advisory, LLC, and a former executive officer of Monsanto Company. Ms. Madere is a member of the Latin Corporate Directors Association as well as the Hispanic Association on Corporate Responsibility and serves on the Dean’s Advisory Council of the Louisiana State University Honors College.

Keith Martell

Mr. Keith G. Martell serves as Director of the Company. Mr. Martell is Chief Executive Officer and a Director of First Nations Bank of Canada. He is a director of River Cree Enterprises Ltd., serves on the Dean’s Advisory Council of the University of Saskatchewan’s Edwards School of Business and is a trustee of Primrose Lake Trust.
