Name Description

Allison Abraham

Ms. Allison H. Abraham is Independent Chairwoman of the Board of the Company. She is currently the President and Founder of The Newton School, a private, non-profit elementary and middle school located in Sterling, Virginia. She is a member of the Compensation Committee and Nominating and Corporate Governance Committee and is the Chair of the Audit Committee. Ms. Abraham managed her own consulting business from October 2001 to November 2008. Previously, Ms. Abraham served as President and as a director of LifeMinders, Inc. from May 2000 until October 2001. Prior to joining LifeMinders, Ms. Abraham served as Chief Operating Officer of iVillage Inc. from May 1998 to May 2000. From February 1997 to April 1998, Ms. Abraham was President, Chief Operating Officer and a Director of Shoppers Express. From 1992 to 1996, Ms. Abraham held several marketing and management positions at Ameritech Corporation. She was employed at American Express Travel Related Services in New York City from 1988 to 1992. Ms. Abraham holds a Bachelor of Arts Degree in Economics from Tufts University and a Master's Degree of Business Administration from the Darden School at the University of Virginia. The specific experience, qualifications, attributes or skills that led the Board to conclude that Ms. Abraham should serve as a director in light of our business and structure were Ms. Abraham's substantial marketing experience and experience running online marketing companies, including her marketing experience with American Express Travel Related Services, her marketing and management positions with Ameritech Corporation, her experience as Vice President of Sales and Marketing and subsequently as President, Chief Operating Officer and a director of Shoppers Express, her experience as Chief Operating Officer of iVillage Inc., and her experience as President and as a director of LifeMinders, Inc.

Patrick Byrne

Dr. Patrick M. Byrne is Chief Executive Officer, President, Retail, Director of Overstock.com Inc. Dr. Byrne has also served as the Chief Executive Officer of tZERO, a subsidiary of Overstock.com, since July 2015 and also has served as Co-chairman of the Board of Directors for tZERO since October 2017. Dr. Byrne founded Overstock in 1999. From 1994 to the present, Dr. Byrne has served as a Manager of the Haverford Group, an investment company and an affiliate of Overstock. Dr. Byrne holds a bachelor's degree in Chinese studies from Dartmouth College, a master's degree from Cambridge University as a Marshall Scholar, and a doctorate in philosophy from Stanford University.

Gregory Iverson

Mr. Gregory J. Iverson is appointed as Chief Financial Officer, Principal Financial Officer and Principal Accounting Officer of the company effective April 16, 2018. He was previously employed by Apollo Education Group, Inc., a private-sector education company, in a variety of finance roles from April 2007 through March 2018, most recently serving as Senior Vice President and Chief Financial Officer since October 2015.

Mr. Jonathan E. Johnson, III, is Director, President of Medici Ventures of Overstock.com, Inc. Mr. Johnson also served as our Chairman of the Board of Directors from 2014 through 2017. Mr. Johnson joined Overstock in 2002 and previously served as our President, Senior Vice President, and General Counsel. Mr. Johnson holds a bachelor's degree in Japanese from Brigham Young University and received his law degree from the J. Reuben Clark, Jr. Law School at Brigham Young University.

Sam Noursalehi

Mr. Sam Noursalehi is Chief Executive Officer of t0.com, Inc., Director of the Company. Mr. Noursalehi joined Overstock in 2005 and previously served as Chief Revenue Officer and Senior Vice President, Vice President of OLabs, Vice President of Product Development, and held roles in website, mobile and search engine optimization. Mr. Noursalehi holds a bachelor's degree in Computer Science from the University of Utah.

David Nielsen

Mr. David J. Nielsen is Chief Sourcing and Operations Officer of the Company. Dave Nielsen is Overstock's Chief Sourcing and Operations Officer, responsible for overseeing the sourcing, merchandising, partner care, and supply chain teams for the global online home goods leader. Nielsen previously spent six years with Overstock, rising to the position of co-president and leading the company's marketing, merchandising, and supply chain operations. He left Overstock to assume the role of CEO at Global Access, a leading global provider of logistics technology and cross border expertise for brands looking to provide a consistent and trusted shopping experience to both domestic and international customers. Nielsen also held several leadership positions with Payless ShoeSource, Inc., eventually rising to the role of vice president of merchandise allocation, where he was responsible for the assortment planning and allocation of merchandise across 4,500 stores in the US, Canada, and Puerto Rico. Additionally, Nielsen served as president and CEO of Old Town Imports, LLC, where he created a product development, sourcing and omni-channel supply chain organization that sourced product to clients such as Costco, Target, and regional restaurant and catering companies. Nielsen received his bachelor's Degree in Business Management with an emphasis in Marketing from Brigham Young University.

Amit Goyal

Mr. Amit Goyal is Senior Vice President, Software Engineering of the Company. Mr. Goyal joined Overstock in 2006 and previously served as Vice President of Product Development, Senior Director of Software Development, and Software Development Lead. Mr. Goyal holds a bachelor's degree in Engineering from Punjab Technical University.

John Knab

Mr. John Paul "J.P." Knab is Senior Vice President - Marketing of the Company. He has served as our Senior Vice President of Marketing since March 2016, having returned to Overstock after serving for one-year as the Senior Vice President of Marketing, Merchandising and Business Development for U.S. Water Filters in St. Paul, Minnesota. Mr. Knab originally joined Overstock in 2005 and previously served as our Vice President of Marketing and held other roles including Director of Merchandising and Director of Analytics. Mr. Knab holds an MBA with a Marketing emphasis and a bachelor's degree in Finance from Brigham Young University.

Carter Lee

Mr. Carter P. Lee is Senior Vice President - Technology People Care. Mr. Lee joined Overstock in Overstock in 2001 and previously served as Vice President of Technology Operations and held other roles including Director of Internal Systems. Prior to joining Overstock, Mr. Lee was a Systems Engineer for Hospice of the Valley and Vice President of Technology for Motherboard Discount Center in Phoenix, AZ.

Seth Moore

Mr. Seth A. Moore is Senior Vice President - Strategy and Chief of Staff to the CEO of the Company. He was appointed as our Senior Vice President of Analytics in February 2017 and later appointed as Senior Vice President of Strategy in December 2017, and as Chief of Staff to the CEO in October 2017. Mr. Moore joined Overstock in 2006 and previously served as Vice President of OLabs, Vice President of Analytics, and Vice President of Website Marketing. Mr. Moore holds a bachelor's degree in Political Science from Brigham Young University.

Mr. Brian L. Popelka is Senior Vice President - Customer and Partner Care of Overstock.com, Inc. Mr. Popelka joined Overstock in 2002 and previously served as Vice President of Customer Care, Director of Books, Media, Movies and Games Department, and Manager of the Business-to-Business Department. Mr. Popelka holds a bachelor's degree in Journalism, Broadcasting, Film and History from the University of Nebraska.

Vikram Raghavan

Mr. Vikram R. Raghavan is Senior Vice President - Product Development of the Company. Mr. Raghavan previously served as Vice President of Product Development, Vice President of Marketing since returning to Overstock in 2015. Mr. Raghavan originally joined Overstock in 2008 and held roles including Senior Director of Marketing. From 2011 through 2015 Mr. Raghavan served as the co-founder of Rental Roost, an online apartment listing service whose assets were recently acquired by Overstock. Mr. Raghavan holds an MBA with a Finance and Marketing emphasis from Temple University.

Catherine Borda

Ms. Catherine Borda is Chief Customer Officer of the Company. Prior to joining Overstock, Borda spent six years at AT&T leading various customer-focused leadership positions launching AT&T's loyalty program, leading millennial marketing, proactive retention, and culminating with her role as the Assistant Vice President of Audience Strategy and Planning. From 2008 to 2012, Borda held various roles at Georgia-Pacific LLC ultimately leading the company's flagship $1B+ brand where she led brand strategy, marketing, advertising, promotional development activities, innovation, consumer insights and public relations efforts. Borda began her marketing career at PepsiCo where she led cross-functional and agency teams in portfolio alignment. Borda received an undergraduate degree in Psychology from Rutgers University and a Master of Business Administration from the Olin Business School at Washington University in St. Louis. Borda is a Consortium for Graduate Study in Management Fellow.

Chris Donnelly

Mr. Chris Donnelly is Chief of Staff to the President of the Company. Chris Donnelly, Overstock's Chief of Staff to the President, has spent his career innovating at the intersection of product and strategy for both Fortune 500 companies and start-ups. He brings his over 25 years of experience to his position as Overstock's Chief of Staff to the President, where he works to reinforce Overstock's brand identity and customer journey. Prior to joining Overstock, Donnelly built a portfolio of companies that benefitted from both his investment and advisory capabilities. From 2006 to 2015, Donnelly was Chief Strategy Officer and Chief Product Officer for Oakley where he had P&L responsibility for the $1.9B optics, apparel, and accessories company. Donnelly additionally was Nike's director of mergers and acquisitions, where he was instrumental in the acquisition of brands such as Converse, Hurley, Cole Hahn and Bauer, which represent more than $5B of Nike's annual revenues. He also was a manager at Bain & Company where he led teams in the private equity, technology, and consumer goods sectors for eight years. Donnelly has also founded and sold three start-ups focusing on online consumer data management, innovation consulting, and technology. He received an undergraduate degree in Thermodynamics Engineering from Harvey Mudd College, and a Master of Business Administration from the Stanford Graduate School of Business.

Barclay Corbus

Mr. Barclay F. Corbus is Independent Director of Overstock.com Inc., since March 9, 2007. He is a member of the Audit Committee and has served on the Nominating and Corporate Governance Committee and Compensation Committee. Mr. Corbus also serves as a member of the Board of Directors of our wholly owned subsidiary Medici Ventures. Mr. Corbus has served as Senior Vice President of Clean Energy Fuels Corp., a provider of vehicular natural gas, with responsibility for strategic development, since September 2007. He served as Co-CEO of WR Hambrecht + Co., an investment banking firm, from July 2004 to September 2007, and prior to that date served in other executive positions with WR Hambrecht + Co. Prior to joining WR Hambrecht + Co. in March 1999, Mr. Corbus was in the investment banking group at Donaldson, Lufkin and Jenrette. Mr. Corbus graduated from Dartmouth College with a Bachelor of Arts Degree in Government and has a Master's Degree of Business Administration in Finance from Columbia Business School.

Kirthi Kalyanam

Dr. Kirthi Kalyanam, Ph.D., is Independent Director of The Overstock.com, Inc. He is currently the L.J. Skaggs Distinguished Professor and Director of the Retail Management Institute at the Leavey School of Business at Santa Clara University. He has also served as Faculty Director of the Executive MBA program, a visiting Professor at the Graduate School of Business at Stanford University, a guest faculty in the Stanford Executive MMP program, and Senior Vice President and Chief Marketing Officer of SpinCircuit Inc., a provider of supply chain integration services to the electronics industry. He received his Ph.D. in business administration from the Krannert School of Management, Purdue University. His research and expertise are in retailing, Internet and multi-channel marketing, quantitative marketing and the intersection of these areas. Dr. Kalyanam performs consulting services for several companies. Dr. Kalyanam performed consulting services for Overstock in 2015, but has not provided consulting services to us since 2015. The specific experience, qualifications, attributes or skills that led the Board to conclude that Dr. Kalyanam should serve as a director in light of our business and structure were his extensive expertise in in retailing, Internet and multi-channel marketing and quantitative marketing.

Joseph Tabacco

Mr. Joseph J. Tabacco, Jr., is Independent Director of Overstock.com, Inc. He is a member of the Audit Committee and the Compensation Committee and is the Chairman of the Nominating and Corporate Governance Committee. For more than the last five years Mr. Tabacco has served as the managing partner of the San Francisco office of Berman Tabacco (formerly Berman DeValerio). A 1974 honors graduate of George Washington University School of Law, Mr. Tabacco litigates antitrust, securities fraud, commercial high tech, and intellectual property matters. Since entering private practice in the early 1980s, Mr. Tabacco has served as trial or lead counsel in numerous antitrust and securities cases and has been involved in all aspects of state and federal litigation. Prior to 1981, Mr. Tabacco served as senior trial attorney for the U.S. Department of Justice, Antitrust Division, and in both the Central District of California and the Southern District of New York. Mr. Tabacco frequently lectures and authors articles on securities and antitrust law issues and is a member of the Advisory Board of the Institute for Consumer Antitrust Studies at Loyola University Chicago School of Law. Mr. Tabacco is also a former teaching fellow of the Attorney General's Advocacy Institute in Washington, D.C., and has served on the faculty of ALI-ABA on programs about U.S.-Canadian business litigation and trial of complex securities cases.
