Biographies

Name Description

Frankie Ng

Mr. Frankie Ng has been Chief Executive Officer of SGS Ltd since March 2015. Previously he served as Executive Vice President, Industrial Services of SGS SA since January 2012 till March 2015. Prior to that, he had acted as Executive Vice President, Consumer Testing Services of the Company since 2004. From 1997 till 2000, he served as Operations Manager, Consumer Testing Services, China. From 2000 till 2002, he acted as Director, Consumer Testing Services, China and Global Hardlines. He joined the Company, in 1994, as Management Trainee. Before joining the Company, he served briefly with Sodeco SA as Quality Assurance Engineer. He holds a diploma in Engineering from Engineering School of Geneva and a degree in Economics and Econometrics from University of Essex, the United Kingdom.

Carla De Geyseleer

Ms. Carla De Geyseleer is Chief Financial Officer at SGS Ltd since November 15, 2014. Ms. De Geyseleer is currently the CFO of Vodafone Libertel B.V.in the Netherlands. Prior to this she gained sound auditing experience at Ernst & Young in Belgium and subsequently worked for 15 years with DHL where she held growing responsibilities in various operational and corporate positions to ultimately assume the position of CFO of DHL Express Benelux. Belgian citizen, she held a Master in Economic and Financial Sciences from the Economische Hogeschool Sint Aloysius (EHSAL) in Brussels and a MBA from the IMD in Lausanne.

Fabrice Egloff

Mr. Fabrice Egloff is Chief Operating Officer, Africa of SGS Ltd since March 2017. He has done MBA in International Business Affairs. He joined SGS in 1995. From 2004 to 2008 he served as Managing Director of Hong Kong and between 2009 and 2017 served as Managing Director of France.

Olivier Coppey

Mr. Olivier Coppey is Executive Vice President, Agricultural, Food & Life of SGS Ltd since February 1, 2013. Prior to this he was Vice President for Global Seed & Crop Services of the Agriculture business line. He joined SGS in 1994 in Cameroon, and in 2000 he became Business Manager for Guaranteed Business Solutions, Liquids and Customer Service. In October 2006 he accepted the role of regional head for Agricultural Services in North America, a position he held until his promotion to lead the newly created market segment Seed & Crop Services in January 2009. He earned a Master in Economics from HEC Lausanne in Switzerland.

Derick Govender

Mr. Derick Govender is Executive Vice President, Minerals Services of SGS Ltd effective October, 2015. Prior to this, he was Minerals Manager for SGS Chile. After joining SGS as Chief Chemist in 2002, Derick also held positions as Regional Minerals Business and Operations Manager in South Africa, as well as Vice President for Minerals Services in Africa. Before joining SGS, he worked for Rand Mines (now Randgold). He spent five years at Mintek as Chief Chemist of their precious metals laboratory before joining SGS in 2002. Educated in South Africa, Derick has more than 20 years of experience in the minerals industry. He is a trained analytical chemist, receiving his qualification in Analytical Chemistry in 1992. He holds Post Graduation degree in Business Management.

Roger Kamgaing

Mr. Roger Kamgaing has been Executive Vice President, Governments & Institutions Services at SGS Ltd since April 2014. With a solid academic background, professional experience in the sphere of audit and certification for Ernst and Young, and commodity trading in Africa, Roger joined SGS in 1996 as Regional Sales Manager for East Africa. His expertise saw him promoted to Global Sales and Marketing Head for SGS. In 2012, Roger established and managed Kamgaing Associates, a network of consultants providing services to corporations and to governments, as well as launching an African business incubator. He rejoined SGS in 2014.

Thomas Klukas

Mr. Thomas Klukas has been Executive Vice President Transportation at SGS Ltd since 2016. He was Executive Vice President, Automotive Services at SGS Ltd effective January 2011. He has been Member of the Operations Council, having previously held the position of Global Development Vice President of Automotive Services. He joined SGS North America in 2005 as Senior Vice President of SGS Automotive Services Inc. and Regional Business Manager of Automotive Services. Prior to joining the Company, he worked for DEKRA AG in Marietta Georgia, as Chief Executive Officer. He graduated with a degree in Engineering Science in Germany completing both a Masters of Business Administration and a Doctorate in Philosophy.

Francois Marti

Mr. Francois Marti has been Executive Vice President Industrial Services at SGS Ltd since 2016. He was Executive Vice President Systems and Services Certification, Senior Vice President Strategic Transformation as well as he served as Senior Vice President Strategic Transformation at SGS SA. He joined the Company in 2003 and rejoined in 2011. He was also Vice President, Continuous Improvement at the Company between 2003 and 2005. From 2005 to 2011, Mr. Marti acted as Chief Executive Officer at Fiat Services. He also served as Senior Manager at PWC and IBM. He holds a degree in International Relations.

Jeffrey McDonald

Mr. Jeffrey McDonald is Executive Vice President Certification & Business Enhancement at SGS Ltd since 2016. He was Executive Vice President Systems & Services Certification of SGS SA since 2007. He was Chief Operating Officer, North America from 2007 to October 2015. From 1995 till 2003, he served in Systems & Services Certification, South East Asia & Pacific as Regional Manager in Bangkok. In 2003, he became Global Project Manager, Systems & Services Certification. From 2004 till 2007, he acted as Executive Vice President, Systems & Services Certification. He joined the Company, in 1995, as Training Manager and was appointed Division Manager of Certification Services in 1998. He also has a Postgraduate Certificate Education. He has a Bachelor of Arts degree in Economics from Griffith University, a Graduate Diploma in Education from University of Technology, Sydney in Australia, and an Engineering degree from Yeronga TAFE College.

Peter Possemiers

Mr. Peter Possemiers has been Executive Vice President, Environmental Health & Safety Services of SGS Ltd since February 1, 2013. Prior to this he was Global Business Manager for the OGC Downstream unit a position he held since 2007, based in Geneva. Before moving to Geneva, he held the role of Managing Director in South Korea having moved to Seoul in 2005 from Shanghai. He became OGC Business Development Manager for Asia Pacific in 2002. He started with the SGS Group in Australia as a Senior Inspector Chemist in 1983 before moving to Singapore in 1990 to manage its Chemical business. From 1990 to 2002 he held several OGC Management positions based in Singapore, Philippines, China and Australia where he also managed the Environmental unit. In 1983 he received a Degree in Chemistry and Microbiology from the University of South Australia.

Alim Saidov

Mr. Alim Saidov is Executive Vice President, Oil, Gas & Chemicals Services of SGS Ltd effective February 1, 2013. Prior to that, he served as Executive Vice President Oil, Gas & Chemicals & Environmental Services of the Company 2007. From 2001 till 2004, he served as Managing Director, Kazakhstan & Manager Caspian Region. In 2004, he was appointed as Chief Operating Officer, North America. From 2005 till 2007, he served as Chief Operating Officer, Eastern Europe & Middle East. Prior to assuming the position of Executive Vice President, Oil, Gas & Chemicals & Environmental Services, he served in Moscow for SGS Vostok, where he firstly held the position of Managing Director for Russia and then Chief Operating Officer for Eastern Europe and the Middle East from 2004. Before and then in the same year, he was given the Deputy of Chief Operating Officer of SGS North America. Previously, he worked for SGS Canada as Managing Director and Nafta Business Development Manager. In 1999, he went to Georgia where he took on the role of General Manager for the Georgian SGS office, before which he was Division Manager for Redwood Azerbaijan from 1995. He joined the Company, in 1993, as Senior Inspector for Redwood, Azerbaijan. In 1987, he received a degree in Engineering from Lomonosov Moscow State University, with a focus on Electro-Physics and, in March 1993, he received his Doctorate in Philosophy degree in Chemistry from Russian Academy of Sciences.

Richard Shentu

Mr. Richard Shentu is Executive Vice President, Consumer & Retail Services of SGS Ltd since September 2015. Before this appointment, Richard had been the Managing Director of SGS China since 2010. Richard joined SGS in China in 1990. With over 25 years at SGS, he has held a series of leadership positions in China, including Operations Manager, Branch Manager, Director of Consumer Testing Services, Executive Director and eventually the Managing Director of SGS China. He has also served in different global positions in both the Consumer Testing Services, and Industrial divisions. Between 2005 and 2011, Richard was the Vice President of Consumer Testing Services Global, in charge of various global development roles, including Automotive Parts, General Retailer, Hardline, and Toys and Juvenile Products. In 2012, Richard was appointed Vice President of Industrial Global. He was responsible for the global business development of the Transportation, Equipment and Machinery segments. Richard earned his first degree in Textile Engineering. He also has an MBA and PhD in Management Science.

Mr. Jose Maria Hernandez is Senior Vice President, Human Resources of SGS Ltd since July 2017. he obtained Bachelor in Law and Master in Business administration.

Frederic Herren

Mr. Frederic Herren is Senior Vice President, Digital and Innovation of SGS Ltd since April 2017. He was Chief Operating Officer, Africa at SGS Ltd since April 2014. From 2006 till April 2014, he was also Executive Vice President of Governments & Institutions Services of SGS SA. He initially joined the Company, in 1986 as Vice President of the Economic Affairs Division, and rejoined in 1999. From 1995 till 1998, he served as Chief Executive Officer at Unilabs International. From 1999 till 2003, he served as Head of Global Marketing, Trade Assurance Services (now known as Governments & Institutions Services) at the Company. From 2003 till 2006, he held the position of Executive Vice President, Automotive Services. Prior to this, he headed the Operation and Business Development in the Trade Assurances Division from 1998. In 1995, he served for Unilabs S.A. as General Manager of its international division based in London and then Geneva. From 1980 till 1987, he held several positions at the World Economic Forum. He also has been Member of the Bureau Permanent CITA, International Motor Vehicle Inspection Committee in Brussels, Belgium, since 2005. Since 2006, he has been also Member of the Honorary Committee of FISITA, International Federation of Automotive Engineering Societies in London, the United Kingdom. He holds a Masters degree in Economics.

Olivier Merkt

Mr. Olivier Merkt is Senior Vice President, Legal & Compliance of SGS Ltd since 2016. Previously he was Chief Compliance Officer, General Counsel and Company Secretary of SGS SA since August 2008 till 2015. He served as Vice President, Corporate Development at the Company from 2006 till 2008. He joined the Company as in-house Senior Counsel in 2001. Prior to joining the Company, he was active in private practices, ultimately with Ernst & Young Legal in Geneva, Switzerland, where he served from 1993 till 2001. He holds a Doctorate degree in Law from Universite of Neuchatel Switzerland and a Master of Legal Letters degree from Cambridge University.

Teymur Abasov

Mr. Teymur Abasov has been Chief Operating Officer, Eastern Europe & Middle East at SGS Ltd since 2007. He joined the Company in 1994 as Senior Inspector for the Azerbaijan office. From 2001 till 2003, he served as Operations Manager, Oil Gas & Chemicals Services, Azerbaijan. From 2003 till 2004, he served as Managing Director, Georgia. From 2004 till 2006, he acted as Managing Director, Azerbaijan and Georgia. Between 2006 and 2007, he served as Managing Director, Kazakhstan & Caspian Sub-Region. Before his position as Managing Director, Georgia, he served for two years in the OGC division as Redwood Manager. He has a degree in Electrical Engineering.

Helmut Chik

Mr. Helmut Chik is Chief Operating Officer, China & Hong Kong at SGS Ltd since 2004. Prior to this, he had held the position of Managing Director for the operation in Hong Kong for two years and the Vice President of Global Softlines, Consumer Testing Services in 2001. He joined the Company in 1991. In 1999, he became Director, Hong Kong, Consumer Testing Services. From 2000 till 2001, he has served as Director Greater China, SBU Softline, Consumer Testing Services. In 2002, he became Global Business Manager, Softline, Consumer Testing Services. In 2003, he became Managing Director, Hong Kong. He obtained an Executive Masters of Business Administration degree from City University of Hong Kong. He also acquired two postgraduate diplomas in Human Resources Management and Accounting after finishing his Sociology degree.

Pauline Earl

Ms. Pauline Earl has been Chief Operating Officer, Western Europe of SGS Ltd since 2010. Previously she held the post of SGS Managing Director United Kingdom for three years. Prior to this, she held various roles within the Company including SSC Operations Manager from 2004 to 2007, Business Manager for SSC Ireland and Certification Manager. She has been with SGS since 1995 having joined the company as Regional Manager in Belfast with previous experience in Quality Assurance, Product Development and Quality Control gained with Stewarts Supermarkets and Dale Farm Dairies. She holds a Bachelor of Science in Food Science which she completed in 1984.

Kimmo Fuller

Mr. Kimmo Fuller is Chief Operating Officer, North America of SGS Ltd since October 2015. Previously, he was Managing Director for the USA. Prior to joining SGS, Kimmo’s 23 years of experience included several leadership positions, with 16 years in the oil and gas and industrial products industries. He was a Regional Director at Rolls-Royce and at Elliott Group, an international supplier of turbomachinery. Before taking on these roles, he held executive positions at Wood Group, a multinational oil and gas service company, and management positions at General Electric. His experience includes six years in the United States Army, where he undertook advanced officer training. Kimmo received a Bachelor of Science degree in Civil Engineering and an MBA, both from Rensselaer Polytechnic Institute.

Alejandro Gomez de la Torre

Mr. Alejandro Gomez de la Torre has been Chief Operating Officer, South & Central America at SGS Ltd since 2016. He was Chief Operating Officer, South America at SGS SA effective 2002. He joined the Company in 1986. From 1996 till 2001, he served as National Chief Executive, Peru and, from 1998 till 2001, as Manager Central Sub-Region, Latin America. In that role, he was responsible for various South American countries and then went on to being made Latin American Region Manager for Argentina, Brazil, Bolivia, Colombia, Chile, Ecuador, Paraguay, Peru, Uruguay and Venezuela, as well as Managing Director for SGS Peru. He also served as Commercial Managing Director and Agricultural and Fishing Manager from 1992 till 1996. In addition, he acted as Operations Manager for SGS Peru office from 1988 till 1992. In 1986, he was International Management Trainee in Argentina and, prior to this, his first role at the Company was Administrative Director for Supervisiones Generales del Peru S.A from 1984 till 1986. He also served at a Customs agency and at a Trading company prior to joining the Company. He holds a degree in Business Administration and postgraduate specialization in International Commerce. He also received a Masters of Business Administration degree in 1983.

Dirk Hellemans

Mr. Dirk Hellemans is Chief Operating Officer, Northern, Central and Southern Europe at SGS Ltd since 2012. He was Chief Operating Officer, Central and North West Europe at SGS SA effective 2004 and before that Chief Operating Officer, North West Europe. He was Managing Director for the Belgium from 1997 till 2002. Prior to this, he served as Regional Sector Manager for SSC Europe from 1999 till 2002. He joined the Company, in 1988, as Director for SGS Qualitest in Belgium office. He also held various roles at SSC, Industrial, NDT and CTS. From 2002 till 2004, he served as Chief Operating Officer, North West Europe. In 1982, he was at Vlerick Management School (Gent University), where he was awarded a degree in Management. He also studied Chemical Engineering at Leuven University, where he received his degree in 1981.

Malcolm Reid

Mr. Malcolm Reid has been Chief Operating Officer, South Eastern Asia & Pacific of SGS Ltd since October 2015. Previously he served as Executive Vice President, Consumer Testing Services at SGS SA since January 2012 till 2015. Prior to that, he served as Executive Vice President, Systems & Services Certification at the Company from 2007. He joined the Company in 1987. From 2005 till 2007, he served as Managing Director, Australia. From 2000 till 2005, he was Managing Director, Thailand. From 1997 till 2000, he acted as Managing Director, Philippines. In 1994, he was appointed Operations Director in Hong Kong, then Regional Manager for Eastern China based in Shanghai. After an initial period in the Middle East, Switzerland and Japan, he took over the position of General Manager for Vietnam in 1992. He has been also Member of the Board of IIOC (Independent International Organization for Certification) since 2007. He holds a Bachelor of Science degree in Chemistry from University of Glasgow obtained in 1985.

Paul Desmarais

Mr. Paul Desmarais, Jr. is Member of the Board of Directors of SGS Ltd since July 2013. He joined Power Corporation of Canada in 1981 and assumed the position of Vice-President the following year. In 1984, he led the creation of Power Financial Corporation to consolidate Power’s major financial holdings, as well as Pargesa Holding SA, under a single corporate entity. Mr. Desmarais served as Vice-President from 1984 to 1986, as President and Chief Operating Officer of Power Financial from 1986 to 1989, as Executive Vice Chairman from 1989 to 1990, as Executive Chairman from 1990 to 2005, as Chairman of the Executive Committee from 2006 to 2008 and as Executive Co Chairman from 2008 until today. He was named Chairman and Co-CEO with Power Corporation in 1996. After Power Financial and the Frère Group of Belgium took control of Pargesa in 1990, Mr. Desmarais moved to Europe from 1990 to 1994, to develop the partnership with the Frère Group and to restructure the Pargesa group. From 1982 to 1990, he was a member of the Management Committee of Pargesa, in 1991, Executive Vice Chairman and then Executive Chairman of the Committee, in 2003, he was appointed Co-Chief Executive Officer and in 2013 named Chairman of the Board. He is a Director of many Power Group companies in North America. He has received honorary doctorates from various Canadian universities.

Shelby du Pasquier

Mr. Shelby R. du Pasquier is Member of the Board of Directors of SGS Ltd since March 2006. He became Partner of Lenz & Staehelin in 1994. He is Member of the Professional Conduct Committee at the Company. He has also acted as Member of the Board at Stonehage Trust Holdings (Jersey) Limited since 2012. He holds degrees in Law from Universite de Geneve (Geneva University) as well as from Columbia University School of Law, where he obtained a Master of Legal Letters degree. He was admitted to the Geneva Bar in 1984 and to the New York Bar in 1989. He also serves as member of the board at Swiss National Bank, Stonehage Trust Holdings (Jersey) Limited since 2012 and chairman of the supervisory board at Pictet & Cie Group SCA since 2013.

Ian Gallienne

Mr. Ian Gallienne has been Member of the Board of Directors of SGS Ltd since July 2013. He is Member of the Nomination and Remuneration Committee at the Company. In 1992, he began his career in Spain as Co-Founder of a sales company. From 1995 to 1997, he was a member of management for a consulting firm, specializing in turning around struggling businesses in France. From 1998 to 2005, he was Manager of the private equity funds Rhone Capital LLC in New York and London. From 2005 to 2012, he has been Founder and Managing Director of the private equity funds Ergon Capital Partners in Brussels. He is a Director of Groupe Bruxelles Lambert since 2009 and Managing Director since 2012. He serves also at Imerys, Lafarge, Pernod Ricard SA, among others. Mr. Gallienne has a degree in Management and Administration, with a specialization in Finance, from Ecole Superieure des Dirigeants d'Entreprises (ESDE) in Paris and an MBA from Institut Europeen d'Administration des Affaires (INSEAD) in Fontainebleau.

Cornelius Grupp

Dr. Cornelius Grupp has been Member of the Board of Directors at SGS Ltd since March 2011. Dr. Cornelius Grupp is owner and General Manager of Tubex Holding GmbH in Stuttgart, Germany, and of CAG Holding GmbH in Lilienfeld, Austria. Currently, Dr. Grupp serves on the Board of Schoellerbank AG since 1999, as well as Stoelzle Oberglas since 1989. He is Honorary Consul of Austria to the Land of Baden-Wuerttemberg. He holds a Doctorate degree in Law and a Master in Business Administration.

Peter Kalantzis

Dr. Peter Kalantzis is Member of the Board of Directors at SGS Ltd since March 2009. He is Member of the Audit Committee at the Company. Prior to 2000, he was responsible for Alusuisse-Lonza Group's corporate development and was involved in the de-merger and stock market launch of Lonza Group AG, as well as the merger process of Alusuisse and Alcan. He has served as Head of Chemicals Division of Alusuisse-Lonza Group from 1991 till 1996. In 1991, he was appointed as Executive Vice-President and Member of the Executive Committee of the Allusuisse-Lonza Group. He has been working as Independent Consultant since 2000. Since 2001, he has been Chairman of the Board of Moevenpick Holding AG. Since 2004, he has been Chairman of the Board of Clair AG. Since 2006, he has been Member of the Board of CNH Global NV. Since 2010, he has been Chairman of the Board of Lamda Development Ltd. Since 2002, he has been Member of the Board of Paneuropean Oil and Industrial Holdings SA. Since 2010, he has been Chairman of the Board of Von Roll Holding AG. Since 2008, he has been Member of the Supervisory Board of Transbalkan Pipeline BV. Since 2009, he has been Member of the Board of Hardstone Services SA. He holds a Doctorate in Philosophy in Economics and Political Sciences from Universitaet Basel and was engaged in research as Member of the Institute for Applied Economics Research at the University of Basel from 1969 till 1971.

Christopher Kirk

Mr. Christopher MacDonald Kirk is Member of the Board of Directors of SGS Ltd since March 13, 2015. Previously he served as Chief Executive Officer & Executive Vice President Life Sciences (ad interim) of SGS SA since 2011 till March, 2015. He is also responsible for the Information Technology (IT) in the Company. Furthermore, he held ad interim position of Executive Vice President Industrial Services between 2009 and 2011. Prior to this position, he served as Chief Executive Officer from November 29, 2006. Previously, he served as Vice President for Minerals and Environmental Services, Environmental Services & Oil, Gas & Chemicals Services from 2003 till November 29, 2006. He was also Chief Operating Officer of the South East Asia/Pacific region from 2002 till 2003. From 2000 till 2003, he served as Managing Director and Sub-regional Manager, Singapore. From 1998 till 1999, he served as Managing Director, Thailand. From 1987 till 1999, he held a number of senior positions in Thailand, Ghana, Singapore and Australia. From 1981 till 1987, he took on different roles in the Company, including Operations Manager, Business Development Manager and General Manager for SGS New Zealand. He joined the Company, in 1981, as Agri Inspector in New Zealand having worked as Life Insurance Representative for Canada Life from 1979 till 1980. He received a Post Graduate Certificate in Education and, in 1978 he was awarded a Bachelor of Science degree in Zoology.

Gerard Lamarche

Mr. Gerard Lamarche is Member of the Board of Directors of SGS Ltd since July 2013. He is Member of the Audit Committee at the Company. He began his professional career in 1983 with Deloitte Haskins & Sells in Belgium, and became M&A Consultant in the Netherlands in 1987. In 1988, he joined the Venture Capital Department of Societe Generale de Belgique as Investment Manager. He was promoted to Controller in 1989, and in 1992 was appointed Advisor to the Director of Strategic Planning. He became Secretary of the Suez Executive Committee (1995-1997); he was later appointed Senior Vice President in charge of Planning, Control and Accounting. In July 2000, Mr. Lamarche joined NALCO (US subsidiary of the Suez Group) as Director, Senior Executive Vice President and Chief Financial Officer. He was appointed Chief Financial Officer of the Suez Group in March 2004. He is a Director of Group Bruxelles Lambert since 2011 and Managing Director since 2012. He also serves at Lafarge, Legrand, and Total SA. Mr. Lamarche graduated from the University of Louvain-la-Neuve with a Bachelor’s degree in Economic Science and a specialization in Business Administration and Management. He also completed the Advanced Management Program for Suez Group Executives at the INSEAD Business School and took part in the 1998-99 Wharton International Forum, Global Leadership Series.

Mr. August von Finck has been Member of the Board of Directors of SGS Ltd since October 1998. He is Member of the Nomination and Remuneration Committee at the Company. He is an Industrialist. Based in Munich, the member of the third generation of the von Finck family holds interests in a number of German, Swiss and Austrian companies as well as in groups from other countries. In Switzerland, August von Finck's participations include Mövenpick Holding A.G. and Von Roll Holding A.G. He belongs to several Boards of Directors and holds interests in a number of German, Swiss and Austrian companies as well as in groups from other countries.

Mr. August Francois von Finck has been Member of the Board of Directors of SGS Ltd since May 2002. He is Member of the Audit Committee at the Company. He has a banking background. Since 1999, he has been Member of the Board of Custodia Holding. Since 2001, he is Member of the Board of Carlton Holding. Since May 2001, he has been Member of the Board of Staatl. Mineralbrunnen AG. Since 2010, he has been Vice-President of the Board of Bank von Roll. He holds a Masters of Business Administration degree from Georgetown University.
