|Mr. Henry S. Staunton serves as the Non-Executive Chairman of the Board of WH Smith PLC. He joined the Board of WH Smith in September 2010 and became Chairman on 1 September 2013. He is also Chair of the Nominations Committee. He has extensive finance, media and retail expertise and is Chairman of Capital and Counties Properties plc and Phoenix Group Holdings. He was previously the Finance Director of Granada and ITV, Chairman of Ashtead Group, BrightHouse Group PLC and Vice Chairman of Legal and General PLC.|
|Mr. Stephen Clarke was Group Chief Executive, Executive Director of WH Smith PLC. He is Group Chief Executive and joined the Board of WH Smith in June 2012, becoming Group Chief Executive on 1 July 2013. He joined WH Smith in August 2004 as Marketing Director for WH Smith High Street. In 2006 he was appointed Commercial and Marketing Director and in 2008 became Managing Director of WH Smith High Street. |Mr. Carl Cowling is appointed as Chief Executive Officer, Director of the Company., effective 1 November 2019. Carl Cowling is currently Managing Director of the WH Smith High Street business, having joined the Company in 2014 as Managing Director, WH Smith Travel. Prior to joining WH Smith, Carl spent much of his career in the electrical retail industry, including over a decade at Dixons where he held the roles of Ecommerce director, Commercial director and Managing Director of the airport retailing business, Dixons Travel. Prior to joining WH Smith Travel in 2014, Carl was Managing Director of Global Partnerships at Carphone Warehouse. Carl has spent much of his career in the electrical retail industry including over a decade at Dixons where he held the roles of Ecommerce director, Commercial director and Managing Director of the airport retailing business Dixons Travel. Prior to joining WH Smith, he held the role of Managing Director Global partnerships at Carphone Warehouse. Carl has been at WH Smith for over 4 years and spent the first 3 years as Managing Director of WH Smith Travel across all UK and International operations. At the end of 2017, Carl became Managing Director of WH Smith High Street.|
|Mr. Simon Emeny is Non-Executive Director of the Company. Simon Emeny is Group Chief Executive of Fuller, Smith & Turner PLC, a role he has held since 2013. Simon joins the WH Smith Board with a wealth of consumer facing experience, including transport hub sites. Simon has also previously held the position of Senior Independent Director on the Board of Dunelm Group PLC for a number of years. Simon joined Fuller, Smith & Turner PLC in 1996 from Bass plc where he held a variety of senior operational and strategic planning roles. Appointed to the Board as Retail Director in May 1998, Managing Director, Fuller's Inns in July 2006, Group Managing Director in November 2010 and Chief Executive in July 2013. Non-Executive Director of The National Gallery Company Limited. Previously Senior Independent Director and chair of the Remuneration Committee of Dunelm Group plc. An economics graduate and alumnus of Harvard Business School.|
|Mr. Maurice Thompson is Non-Executive Director of the Company. He joins the Board of WH Smith with substantial Board and financial expertise. Maurice is currently Chairman of Greensill Capital. With over thirty years of experience in the international banking industry, Maurice previously held the position of Chief Executive of Citibank in the UK. Maurice is Chairman of Greensill. Prior to joining Greensill, Maurice held a number of senior positions at some of the world's largest financial institutions over his 33 years in banking. Maurice was Global Head of Equity Capital Markets at SG Warburg, Global Head of Investment Banking and on the Group Executive Committee at Deutsche Bank. Most recently, Maurice worked at Citi where his roles included Vice Chairman of Banking, Head of Continental Europe for the Corporate and Investment Bank, and Country Officer and CEO of Germany and the UK.|
|Ms. Suzanne C. Baxter serves as an Independent Non-Executive Director of WH Smith PLC. She joined the Board of WH Smith in February 2013. She is a Chartered Accountant having trained at Price Waterhouse, and is Chair of the Audit Committee. She is a Commissioner on the Board of the Equality and Human Rights Commission and is a member of its Audit and Risk Assurance Committee and Treaty Monitoring Commissioner Working Group. She was formerly the Group Finance Director of Mitie Group Plc. She has also been the Chair of the Business in the Community South West Strategic Advisory Board, Deputy Chair of Opportunity Now and Chair of the Business Services Association.|
|Ms. Annemarie Verna Florence Durbin serves as an Independent Non-Executive Director of WH Smith PLC. She joined the Board of WH Smith in December 2012. She is a non-executive director and Chair of the Remuneration Committee of Santander UK plc. Previously, she was a non-executive director of Ladbrokes Coral Group plc and was Chair of the Listing Authority Advisory Panel. She has 25 years’ international banking experience, particularly across Asia, Africa and the Middle East, operating at Board and Executive Committee level. In addition to her directorships, Annemarie is an executive coach, a conflict mediator and provides Board governance consultancy services.|
|Mr. Drummond Hall serves as Senior Non-Executive Independent Director of WH Smith PLC. He joined the Board of WH Smith in September 2008. He is the Senior Independent Director and Chair of the Remuneration Committee. He is a non-executive director and Chair of the Remuneration Committee of The Sage Group plc and is the Senior Independent Director of First Group plc. He spent the early part of his career with Procter & Gamble, Mars and PepsiCo Inc, and from 2002 to 2006 was Chief Executive of Dairy Crest PLC. He was previously Chairman of Mitchell’s and Butlers and a non-executive director of TNS.|
