Biographies

Name Description

Iain Ferguson

Mr. Iain G. T. Ferguson, CBE, is Non-Executive Chairman of the Board of the Board of the Company. He is also Chairman of Wilton Park and Hallmarq Ltd and a Non-Executive Director of Balfour Beatty plc and of Personal Assets Trust plc. He is also a Council Member of Cranfield University and Governor Emeritus of the British Nutrition Foundation. Iain was CEO of Tate & Lyle from 2003 until 2009 and had previously been with Unilever for 26 years following graduation from St Andrews University. He has previously served on the Boards of Sygen plc, Gregg’s plc, Berendsen plc, Companies House and Defra. He was awarded a CBE for services to the food industry in 2003.

Warwick Brady

Mr. Warwick Brady is Chief Executive Officer, Executive Director of the Company. As Chief Operating Officer at easyJet, Warwick was instrumental in developing a highly efficient, low-cost, customer-focused operation and delivering significant value for shareholders. Warwick has extensive Aviation and broad business experience at senior level and has managed high growth, low cost airlines and start-up businesses. He was CEO at Mandala Airlines in Asia and spent two years as Chief Operating Officer of Air Deccan/Kingfisher in India. Prior to that, Warwick was Deputy Operations Director at Ryanair from 2002 to 2005, where he held various senior executive roles including Deputy CEO of Buzz, following its acquisition from KLM. Warwick is also a non-executive Director of FirstGroup plc, a £5bn train and bus business which operates in the UK and USA.

Michael Williamson

Mr. Michael Williamson has been appointed as Interim Chief Financial Officer of the Company., effective 10th September 2018. Michael Williamson has held leadership positions in listed and privately-owned businesses over the past 25 years. Since late 2017 he has been Interim CFO for Gama Aviation Plc, a leading global business aviation company. He was an equity partner and the CFO for BuroHappold, an international design engineering partnership from 2011 to 2016. He brings listed company CFO experience from a number of international businesses from 1999 to 2010. Prior to that he held senior finance roles in the global biopharmaceutical groups, GSK and Sanofi, and is a qualified Chartered Accountant. He has worked with private equity firms including Oaktree Capital on corporate transactions and has extensive experience working across international markets in sectors such as financial and professional services, real estate, transport, technology, retail, consumer goods and healthcare.

Richard Butcher

Mr. Richard Butcher is Chief Executive Officer - Stobart Infrastructure of the Company. Richard joined the Eddie Stobart business in 1997 after 14 years with HSBC Corporate Finance. Mr. Butcher has been closely involved in a wide range of Stobart business activities, holding a number of key positions within the business including Managing Director of Eddie Stobart. Richard was appointed as CEO Stobart Energy and Stobart Infrastructure in 2014 and joined the Board as an Executive Director on 1 July 2014 when he stepped down as Company Secretary. Richard focuses on driving the Biomass Supply and Transport business as well as being responsible for the Group’s investments within the renewable energy sector. He continues to work on maximising returns from the Group’s extensive property portfolio.

Ben Whawell

Mr. Ben Whawell is a Chief Executive Officer - Stobart's Energy Division of Stobart Group Ltd. After nine years as a Chartered Accountant with Grant Thornton, Ben joined Stobart in 2004 after advising on the acquisition of the Group by W.A. Developments International Limited and became Chief Financial Officer in 2007 after leading the Group’s merger with the Westbury Property Fund. In his role, Ben has been instrumental in planning and executing the organic and acquisitive growth of the Group and developed key external relationships to secure funding to deliver the strategic plan and objectives. In 2014, Ben led the partial divestment of the Eddie Stobart transport business and remains a Non-Executive Director on that Board. More latterly, in addition to his role as CFO, Ben assumed interim responsibility for the Investments and Aviation divisions, in particular spending 12 months as the interim CEO of London Southend Airport developing and facilitating a platform for future growth. Whawell has achieved external recognition in the business community and has received the North West Financial Director of the Year Award in 2009, 2012 and 2013.

Nicholas Dilworth

Mr. Nicholas (Nick) Dilworth has been appointed as Chief Operating Officer, Executive Director of the Company., effective 1st September 2018. Nick Dilworth joined Stobart Group as Group Commercial Director in November 2017. Nick qualified as a Chartered Accountant with BDO before joining Grant Thornton as a Corporate Financier. Nick has occupied a number of leadership roles at Practice Plan Limited, Medenta Finance and BES Utilities, and has a strong commercial background.

Richard Laycock

Mr. Richard Laycock is Executive Director of the Company. He was the Chief Financial Officer Company. Richard joined Stobart Group in 2008 after 15 years in private practice with Arthur Andersen, PKF International Limited and BDO LLP. He has previously held the positions of Financial Controller, Company Secretary and Finance Director within the Group. Richard is a fellow of the Institute of Chartered Accountants in England and Wales.

Louise Brace

Ms. Louise Brace is Company Secretary of the Company. Background/experience Louise joined Stobart Group as Company Secretary in October 2017. She is a qualified solicitor and spent the previous five years as Group Legal Manager and Company Secretary of a UK manufacturing company listed on the London Stock Exchange. Prior to moving into industry, Louise was in private practice for 14 years with leading law firms in London and Manchester.

Virginia Pulbrook

Ms. Virginia (Ginny) Pulbrook has been appointed as Non-Executive Director of the Company., effective 1st October 2018. Ginny Pulbrook is a Partner at Capital Market Communications ("Camarco") and has a very strong background in listed businesses, with more than 30 years' experience as a board level adviser to quoted companies in the infrastructure, industrial and support services sectors. With a background in investment banking, Ginny spent 26 years as a co-founder of one of the UK's leading public relations agencies, Citigate Dewe Rogerson prior to joining Camarco. Her specific areas of expertise include high profile capital markets transactions and change management. A former Development Council Member of the Natural History Museum, she is currently a Trustee for Carers (UK) the UK's leading charity for unpaid carers.

John Coombs

Mr. John Coombs is Non-Executive Independent Director of the Company. He John joined the Stobart Group Board on 1 July 2014. He has been the Managing Director of Unilever Ventures Ltd for the past 16 years, during which time he has chaired the Investment Committee and made investments in 50 early-stage businesses, in the UK, US and Europe. He has sat on the boards of 20 companies, five as Chairman. Currently he is Non-Executive Chairman of The Co-op’s Federal Retail and Trading Services Limited which coordinates purchasing for Co-operative retailers in the UK, Innovate UK’s Emerging Technologies & Industries Advisory Board and The Big Innovation Centre Governing Board.

Andrew Wood

Mr. Andrew R. Wood is Senior Non-Executive Independent Director of Stobart Group Ltd. Andrew was previously on the boards of Berendsen plc, Lavendon plc and Air Partner plc as a Non-Executive Director. In 2001 he was appointed Group Finance Director of BBA Aviation plc, a position he held until 2011 when he retired from the role. Throughout his career Andrew has held numerous Finance Director and Financial Controller positions across the electronics and aviation sectors and he has been a member of the Chartered Institute of Management Accountants since 1975.

Ian Silvera
