Name Description

Roberto Mengucci

Mr. Roberto Mengucci has served as Chairman of the Supervisory Board of Stalexport Autostrady S.A. since July 24, 2009. He is Chairman of the Company's Compensation Committee. Since July 2008, he has served as Director for International Issues of Autostrade per l'Italia SpA in Rome, Italy. From 2004 to 2008 he was Vice Chairman of Finmeccanica, responsible for mergers and acquisitions. Prior to this he was working in Group Telecom Italia, first from 1996 to 1999 as Manager of Mergers and Acquisitions, then from 1999 to 2004 as Portfolio Manager. From 1989 to 1996 he was Project Manager in Enel SpA in Italy. He graduated in 1987 from La Sapienza University (Universita degli Studi di Roma La Sapienza).

Emil Wasacz

Mr. Emil Wasacz has served as Chairman of the Management Board and Chief Executive Officer of Stalexport Autostrady S.A. since October 2000. He began his professional career in 1969 with Apator – Torun as Design Engineer and subsequently Team Leader. From 1971 to 1976 he was the head of the team in the Research-Development Centre: Osrodek Badawczo - Rozwojowy Urzadzen Sterowania Napedow in Torun. From 1976 he was employed in Katowice Steelworks (Polish: Huta Katowice) where between 1991 and 1994 he served as the Chairman of the Management Board. From 1994 to 1995 as an Advisor to the Chairman of the Management Board served at Bank Slaski, Bank Pekao SA and STALEXPORT SA. From 1995 to 1997 he was the Chairman of the Management Board of Szczecin Steelworks. Subsequently he was appointed Chairman of the Management Board at NFI Progress. From 1997 until August 2000 he served as Minister of State Treasury. Mr. Wasacz obtained Masters degree in Electrical Engineering from Politechnika Lodzka. He also completed postgraduate studies at Politechnika Warszawska and Szkola Glowna Handlowa.

Aleksander Galos

Mr. Aleksander Galos is Independent Vice Chairman of the Supervisory Board of Stalexport Autostrady S.A. He is Member of the Compensation Committee and Chairman of the Audit Committee at the Company. Since January 2008, he has been Managing Partner at Hogan & Hartson - a law firm he first joined in March 1992. He has also been Member of the Supervisory Board of Bank ING Bank Slaski S.A. Between 2000 and 2001, he was Member of the Supervisory Board of PKO BP SA and from 2002 to 2011 of Bank Zachodni WBK S.A. In July 1992, he was appointed Head of Minister's Office. Mr. Galos graduated in Law from Uniwersytet Jagiellonski w Krakowie.

Mariusz Serwa

Mr. Mariusz Serwa has been Vice Chairman of the Management Board and Finance Director of Stalexport Autostrady S.A. since January 1, 2013. He serves also as Vice Chairman of the Management Board and Financial Director at Stalexport Autostrada Malopolska SA. He joined Stalexport SA in 1995. He graduated from Uniwersytet Ekonomiczny w Krakowie (formerly Akademia Ekonomiczna w Krakowie) in International Trade in 1995. In addition, in 1999 he completed Executive Master of Business Administration (MBA) organized by KPMG (Brussels), Ecole Nationale des Ponts et Chaussees (ENPC, Paris) and University of Bristol, the United Kingdom.

Stefano Rossi

Mr. Stefano Rossi has served as Secretary of the Supervisory Board of Stalexport Autostrady S.A. since April 14, 2016. He served at EFIM, Telecom Italia and STET S.p.A. From 2002 to 2006 he was Member of the Management Board of TIM Hellas Telecommunications S.A. and Corporacion Digitel C.A. Moreover, he was Member and Secretary of the Management Board of BLU S.p.A. He was Vice Chairman of TIM S.p.A. and Telecom Italia Sparkle S.p.A., among others. He also served at Autostrade per l’Italia S.p.A. He serves as Member of the Management Board of Autostrade dell’Atlantico S.p.A. and Autostrade Holding do Sur. He graduated in Law from Universita degli Studi di Roma La Sapienza.

Tomasz Dobrowolski

Mr. Tomasz Dobrowolski has been Independent Member of the Supervisory Board of Stalexport Autostrady S.A. since January 26, 2018. He is Member of the Audit Committee and the Compensation Committee at the Company. He graduated from the Faculty of Law of Uniwersytet Warszawski and completed postgraduate studies at Uniwersytet im. Adama Mickiewicza w Poznaniu. He served at Polski Instytut Spraw Miedzynarodowych and was Legal Counsel at Elektrim S.A. He was Member of the Management Board of Nabarro Nathanson Polska, Partner at Allen and Overy and Partner at Hogan and Hartson.

Flavio Ferrari

Mr. Flavio Ferrari has served as Member of the Supervisory Board of Stalexport Autostrady S.A. since January 26, 2018. He graduated in Mechanical Engineering from Universita degli Studi di Bologna and holds an MBA degree from SDA BOCCONI University. He served at Alstom Power and Falck Renewables. In 2008 he joined BWK Group in Milan. Since 2017 he has served at Atlantia S.p.A. as Region Director for Foreign Investments.

Marco Pace

Mr. Marco Pace has served as Member of the Supervisory Board of Stalexport Autostrady S.A. since April 14, 2016. He is Member of the Audit Committee at the Company. He served at Autostrade per l’Italia S.p.A. from 2005 to 2008. Prior to that, he held managerial positions at EDS, Siemens, Omnitel/Vodafone. Until January 2015 he was Director of Strategic Planning and Controlling at OTB Gropu. Since February 2015 he has been Director of Controlling at Atlantia S.p.A. He graduated in Management from Universita degli Studi di Roma La Sapienza.

Massimo Sonego

Mr. Massimo Sonego has served as Member of the Supervisory Board of Stalexport Autostrady S.A. since April 14, 2016. He has been Head of Finance and Investor Relations at Atlantia S.p.A. Prior to joining Atlantia S.p.A. in 2002, he served at Morgan Stanley, Citigroup and Edizione Holding. He graduated from Universita Commerciale Luigi Bocconi in Business Economics and from McGill University, Montreal in International Management.
