Joshua Schechter

Mr. Joshua Schechter is Chairman of the Board of the Company. Mr. Schechter is a private investor who has broad experience serving on public company's board of directors.

Charles Cargile

Mr. Charles F. Cargile is Chief Executive Officer of the Company. Since July, 2016 Mr. Cargile has served an Executive Advisor to MKS Industries which acquired Newport Corporation (“Newport”) in April 2016. Prior to that, since 2000, Mr. Cargile served in various capacities at Newport including Chief Financial Officer, Vice President and Senior Vice President. In addition, Mr. Cargile served as Treasurer of Newport from April 2013 until Newport’s acquisition and previously from February 2005 until April 2010. Prior to joining Newport, Mr. Cargile served in various capacities at York International Corporation (now a division of Johnson Controls, Inc.) since 1998 including Vice President, Finance and Corporate Development and Corporate Controller and Chief Accounting Officer. From February 1995 to November 1998 Mr. Cargile served as Corporate Controller and Chief Accounting Officer of Flowserve Corporation (“Flowserve”) and was employed by Flowserve in various other capacities prior to February 1995. Mr. Cargile currently serves on the board of directors of Netlist, Inc. (“Netlist”) and is also the Lead Independent Director and Chairman of the audit committee of Netlist.

Philip Radmilovic

Mr. Philip Radmilovic is Chief Financial Officer of the Company. Mr. Radmilovic had been the Corporate Controller since June of 2017.

Emil Beitpolous

Emil Beitpolous is President of Solar United Network, Inc., a division of Solar3D, Inc. since February 2011. From October 2009 until joining SUNworks, Mr. Beitpolous worked for Emard Electric, Inc. as its general superintendent where he was responsible for all solar field crews of up to 25 employees, project management of all commercial projects, recruitment of all field employees of the company’s solar division, project budgeting and forecasting, and strategy for all field operations. From 2007 to September 2009, he was the solar superintendent of Rayco Electric, Inc. where he was responsible for all aspects of photovoltaic installation and performing quality inspections on system drawing and installed systems. He received his WECA IEC Journeyman Training Certification in 2009 and a California State License Board General B License in 2004.

Mikhail Podnebesnyy

Mikhail Podnebesnyy is Vice-President of Solar United Network, Inc. a division of Solar3D, Inc. since February 2011. From 2001 until joining SUNworks, Mr. Podnebesnyy worked for Emard Electric, Inc. in various capacities, including photovoltaic design from 2009 to 2011, pre-fabrication manager from 2007 to 2009, job foreman from 2002 to 2007, and journeyman electrician from 2001 to 2002. He is a certified journeyman electrician and has received WECA certified photovoltaic training, and various module manufacturer, inverter, and racking training.

Abraham Emard

Mr. Abraham Richard Emard is Chief Operating Officer of the Company. Abe Emard is the CEO & RMO of SUNworks, a division of Solar3D, and is actively engaged in the design, installation and management of solar energy solutions for commercial, agricultural and residential customers. Mr. Emard is a co-founder of SUNworks and has served as CEO since the company's inception in February 2011. From 2000 until co-founding SUNworks, he worked for Emard Electric, Inc. as its Project Manager, Vice President and Business Development Officer. Mr. Emard is pursuing a construction management degree from the University of California at Davis extension program and holds the company’s electrical C-10 License. He is a certified installer for Canadian Solar, Sharp, AE Solaron, SunPower and PV Powered.

Paul McDonnel

Mr. Paul C. McDonnel is Treasurer of the Company., effective September 6, 2016. Since 2010 Mr. McDonnel has served as the President of Vulcan Prevision Linings. From 2009 until 2010 Mr. McDonnel served as the Chief Operating Officer of Franklin Convey Products, LLC, and from 2006 until 2009 he served as the Chief Financial Officer of Arrowhead Research Corp. From 2003 until 2005 Mr. McDonnel served as the Chief Executive Officer of Quality Imaging Products, and from 1999 until 2003 he served as the Chief Financial Officer and Senior Manager- Operations of Recall Secure Destruction Services. From 1990 to 1994 Mr. McDonnel served as the Chief Financial Officer of Reid Plastics, Inc. (“Reid”), and from 1994 until 1998 he served as Reid’s Vice President of Operations. From 1987 to 1990 he served as the Vice President of Finance and Administration of Trojan Enterprises, and from 1982 until 1987 he served as Senior-Accountant- Small Business Division for Arthur Andersen & Co. Mr. McDonnel received his Master of Arts- Management Accounting and Bachelor of Science – Accounting from Brigham Young University. Mr. McDonnel is a Certified Public Accountant in the State of California.

Daniel Gross

Mr. Daniel A. Gross is Independent Director of the Company, effective April 2, 2018. Since 2015, Mr. Gross has served as an Adjunct Professor at Columbia University and since 2016 as a Lecturer at Yale University. Mr. Gross previously served as a Managing Director of Pegasus Capital Advisors from 2015 through 2016 and a Managing Director of Oaktree Capital Management from 2013 through 2015. Mr. Gross was one of the founding Partners of Hudson Clean Energy, a private equity firm with over $1 billion in assets under management. Prior to Hudson, Mr. Gross worked in the U.S. alternative energy investment group at Goldman Sachs as well as GE Capital's Energy Financial Services unit, where he founded the renewable energy investment business. Mr. Gross is a Fulbright Scholar and holds a Master’s Degree in Environmental Management, Master’s in Business Administration and Bachelor of Arts Degree (Phi Beta Kappa) from Yale University.

Rhone Resch

Mr. Rhone A. Resch has been appointed as a Independent Director of the Company., effective on November 1, 2016. Mr. Resch has served as President and CEO of the Solar Energy Industries Association (SEIA), the national trade association for the solar energy industry representing over 1,000 companies that manufacture, develop and install solar systems of all sizes and technologies. In this role, he was responsible for leading the growth of the industry by expanding markets, removing market barriers, increasing the availability of low cost financing and educating the public. Under Rhone's leadership, SEIA's recent legislative successes include the long-term extension and expansion of the investment tax credits for solar enacted at the end of 2015, creation of the Treasury grant program and the section 48C manufacturing tax credit, and expansion of the loan guarantee program for renewable energy. At the state level, SEIA has been the lead in expanding net metering, establishing strong renewable portfolio standards and creating markets for residential, commercial and utility scale solar energy. And in the regulatory arena, Rhone recently led the industry through an adverse customs ruling, guiding the industry through a complex legal, framework that saved U.S. companies several hundred million dollars. He has over 18 years of experience in the public and private sector working in clean energy development and climate change issues. In addition to serving as the Vice President for the Natural Gas Supply Association, Rhone has also served as Program Manager at the EPA's Climate Protection Division during the Clinton administration. Mr. Resch holds an MPA in Management from Syracuse University's Maxwell School, a Master of Environmental Engineering from SUNY Syracuse, and a B.A. from the University of Michigan.

Stanley Speer

Mr. Stanley E. Speer is Independent Director of the Company. Mr. Speer is the principal of Speer and Associates, LLC since 2012, a consulting firm he founded to provide practical operational, financial and strategic solutions to public and private businesses. Previously, Mr. Speer was a Managing Director with Alvarez & Marsal (A&M), in Los Angeles specializing in advising and assisting boards of directors, investment groups, management groups and lenders in a wide range of turnaround, restructuring and reorganization situations. Prior to joining A&M, Mr. Speer spent 10 years as CFO for Cadiz Inc., a publicly held real estate and water resource management company and its subsidiary, Sun World International, a fully-integrated agricultural company. Prior to Cadiz, Mr. Speer was a partner with Coopers & Lybrand (now PricewaterhouseCoopers), where he spent 14 years in the Los Angeles office specializing in business reorganizations and mergers and acquisitions.
