Catia Bastioli

Ms. Catia Bastioli serves as Chairwoman of the Board at Terna - Rete Elettrica Nazionale Societa per Azioni since May 2014. She co-founded the research center Fertec renewable raw materials, which became Novamont SpA, a company in which she holds the position of Chief Executive Officer and where it has operated since 1999 covering various positions, most notably those of the first Technical Director and Director General. She is President of Mater-Biopolymer Srl, Member of the Board and the Steering Committee of Federchimica, the Executive Committee of PlasticsEurope and Italy President of Kyoto Club. Since May 2013, Director of Fondazione Cariplo. She is a member of Advisory Board important at European level, such as the High Level Group on Key Enabling Technologies and Bioeconomy Panel, the strategic platform designed to support the implementation of the Bioeconomy strategy in Europe. She is Chairman of SPRING - Sustainable Processes and Resources for Innovation and National Growth, Cluster technology National Green Chemistry. 2014 is also a member of the Board of Advisors of the Foundation for Symbola Italian Quality and the Presidential Committee of the Foundation for Sustainable Development, the Presidential Committee Civita association and of the Evaluation Committee of the foundation Raul Gardini. Since December 2014 Full Member the international NGO The Club of Rome. She has developed and tested the model of Biorefineries third generation. Luigi Ferraris

Mr. Luigi Ferraris serves as Chief Executive Officer, General Manager of TERNA - RETE ELETTRICA NAZIONALE SOCIETA PER AZIONI since May 1, 2017. He started his career in the auditing sector of PriceWaterhouse back in 1988 and from 1990 onwards held various managerial positions followed by senior management positions in major Italian and multinational industrial companies, starting out with businesses like Agusta, Piaggio VE, Sasib Beverage and Elsag Bailey Process Automation, at the time a member of the Finmeccanica Group and listed on the NYSE. From 1998 to 1999, he was Chief Financial Officer (CFO) for Elsacom, a company of the Finmeccanica Group operating in the field of satellite telephony. In 1999, he then joined the Enel Group where, until 2001, he was CFO of Eurogen, Elettrogen and Interpower, generation companies intended to be sold off as part of the liberalisation of the Italian electricity market. He then went on to hold numerous offices of increasing importance in the administration of important subsidiaries, as CFO. More specifically: from 2002 to early 2004, he was Head of Planning, Control, Administration and Services of the “Infrastructures and Networks” and “Markets” Divisions; from December 2004, Sole Director of ENEL Servizi, a company of which he was then made Chairman with delegations from 2007 to March 2014; from 2004 to 2005, Head of Planning and Control of the Enel group and from June 2005 Manager of the Administration, Planning and Control Function; from June 2009 to November 2014, he was then made CFO of the Enel Group, at this time guiding both the listing of Enel Green Power S.p.A., a company he chaired from 2009 to 2014 and all the Group’s important capital market activities, as well as the rationalisation of the Latin American subsidiaries, strategic planning and M&A operations. From November 2014 to January 2015, he was Head of the Latin America Area and CFO of the Chilean Enersis S.A.

Cesare Calari

Prof. Cesare Calari serves as Independent Director at Terna - Rete Elettrica Nazionale Societa per Azioni since May 2014. He is a member of the Bretton Woods Committee and has taught as an Adjunct Professor of International Finance at Johns Hopkins / SAIS in Washington. He is Director and Chairman of the Audit Committee and Risks and Corporate Governance Terna S.p.A. from May 2014. Having developed extensive experience in private equity, financial services, banking and insurance in emerging countries, since 2006, Managing Director of Wolfensohn Fund Management LP, which specializes in the management of Private equity investments in emerging markets. He is currently also a director of Global Ports Holdings (Global Liman Isletmeleri AS - Istanbul). In the past, after a short period in the Bank of Italy, in 1981 he began a long career at the World Bank and he has held positions of increasing responsibility at the IFC - International Financial Corporation (Agency Group World Bank), and then assume, in 2001, a top position in Washington, at the same World Bank as Vice Chairman of the Financial Sector. He has held various directorships in various Italian companies and foreign companies: Director and member of Audit Committees and Related Parties Insurance Generali S.p.A. Ms. Gabriella Porcelli serves as Non-Executive Independent Director at Terna - Rete Elettrica Nazionale Societa per Azioni since May 27, 2014. She is a Lawyer and Industrial Business Manager. Since 2009 she is General Counsel (Senior Counsel Italy) Philip Morris Italy Srl (Philip Morris group International). Counselor of the Italian Corporate Law - AIGI and member of the Committee of Competition International Chamber of Commerce - Italian Section. She is also a member of Nedcommunity (Association Italian Non-Executive and Independent) and ACC - Europe (Association of Corporate Counsel). Master Teacher in Business Law at LUISS. She is Director, member of the Remuneration Committee and the Related Party Transactions Committee of Terna SpA since May 27, 2014. Among her experiences in the company include the role of Deputy General Counsel of Pfizer Italy Srl (1998-2008), Senior Legal Advisor ENI-Agip S.p.A. and, subsequently, of Agip Petroli S.p.A. (1994-1998). In the professional field, her experience is gained in consulting and legal assistance in international trade and commerce - Corporate, as well as in competition law and corporate governance, and has worked as a lawyer before courts and Italian law firms and the United Kingdom (1991-1994). As part of these activities she has edited publications and participated as speaker at conferences. She was also Officer of Confcommercio (1989-1991) area Public Affairs and relations with the EU Structural Funds Regulations for the tourism sector (tertiary). She graduated with honors in Law from the Universita degli Studi di Roma La Sapienza with Master in Law Saxon (Program "European Young Lawyers Scheme" promoted by the British Council).

Mr. Stefano Saglia serves as Non-Executive Independent Director at Terna - Rete Elettrica Nazionale Societa per Azioni since May 2014. He is Strategic consultant in the industrial and financial sectors, operates at the company "Palace Novecento" from March 2013. He is a professional journalist writing to the Order of Journalists of Lombardy and accountant. Currently he is also a member of the Senior Council Strategic Advice, Expert Group Committee Ideas for Sustainable Development ENEA and the Scientific Committee of the Magna Carta Foundation. Board Member and Chairman of the Committee Related Party Transactions Terna S.p.A. from May 2014. He began his career as a professional journalist (from 1993) in various newspapers and, from 1995 to 2000 he served as Director the Office of the Presidency of the Regional Council of Lombardy. He has held numerous important positions and institutional, including: ember of the Chamber of Deputies from 2001-2013; Undersecretary at the Ministry of Economic Development with responsibility for Energy, roadworthy, cooperatives, the protection of competition and the Presidency of the National Consumer Council from 2009 to 2011; President of the Commission "Public and Private Sector" at the Chamber of Deputies; Vice President of Commission of Inquiry into the waste cycle as part of the Productive Activities Commission of the Chamber of Deputies. He carried out tasks of administration in some Italian companies like Immobiliare Fiera SpA Brescia 2000-2002 and Consortium INN.TEC srl to which the Vice President.
