Name Description

Richard Templeton

Mr. Richard K. Templeton is Chairman of the Board, President, Chief Executive Officer of the Company. He is currently serves as Chairman of the Board, President, Chief Executive Officer of the Company. He is a 38-year veteran of the industry and has served the last 23 years at a senior level at the company, including as chairman since 2008, CEO (2004-June 1, 2018 and July 17, 2018-present), president (2004-June 1, 2018 and July 17, 2018-present) and director since 2003. He has developed a deep knowledge of all aspects of the company and of the semiconductor industry.

Rafael Lizardi

Mr. Rafael R. Lizardi is Chief Financial Officer, Senior Vice President, Chief Accounting Officer of the Company. He joined TI in 2001 and was named vice president in 2010 followed by corporate controller in 2012. He holds a bachelor's degree in electrical engineering from The U.S. Military Academy at West Point and a master's in business administration from Stanford University. Prior to joining TI, Lizardi was a captain in the U.S. Army Corps of Engineers. Additionally, Lizardi holds the designation of Certified Management Accountant.

Ahmad S. Bahai

Mr. Ahmad S. Bahai, Ph.D, is a senior vice president and chief technology officer (CTO) of Texas Instruments responsible for guiding breakthrough innovation, corporate research and Kilby Labs. Prior to this role, Bahai served as vice president and chief technologist, leading Kilby Labs, TI’s innovation centers focused on breakthrough technology, and innovation. Throughout his career, Bahai has held a number of leadership roles including director of research labs and chief technology officer of National Semiconductor, technical manager of a research group at Bell Laboratories and founder of Algorex, a communication and acoustic IC and system company, which was acquired by National Semiconductor. Bahai joined TI in 2012 as part of the company’s acquisition of National Semiconductor. He holds a Master of Science in Electrical Engineering from Imperial College, University of London and a doctorate degree in Electrical Engineering from the University of California, Berkeley. In addition to his role at TI, Bahai is an adjunct professor at Stanford University and an Institute of Electrical and Electronics Engineers (IEEE) Fellow.

Ms. Ellen L. Barker is Senior Vice President and Chief Information Officer of Texas Instruments Inc., since 2017.

Cynthia Trochu

Ms. Cynthia Hoff Trochu is Senior Vice President, General Counsel, Secretary of the Company. In her new position, Cynthia will play an integral role in developing company policies, counseling on business strategies and ensuring TI's global compliance. In addition to serving as general counsel, Cynthia will join TI's management committee and act as secretary to the board and chief compliance officer. Cynthia joined TI in 1993, most recently serving as vice president and assistant general counsel since 2003. Prior to this role, she managed legal support for TI's operations in Asia and Europe , various business entities, manufacturing and procurement and was integral in leading the company's corporate compliance program. Before joining TI, she was a commercial litigator at the Jones Day law firm in Dallas . Originally from Michigan , Cynthia moved to Dallas to attend SMU Law School. She is civically active, having served on the Campaign Cabinet of the United Way of Metropolitan Dallas from 2009-2014 and co-chaired the United Way leadership giving program at TI in 2014 and 2015. She also served on the Board of Trustees of her undergraduate alma mater, Manchester University, from 2000-2009, chairing the Student Development Committee and serving on the Executive Committee. Cynthia recently served as a member of the Audit Committee of the University of Texas at Dallas .

Niels Anderskouv

Mr. Niels Anderskouv serves as Senior Vice President of the Company. Mr. Anderskouv was previously an executive officer of the company from 2012 to 2014.

R. Gregory Delagi

Mr. R. Gregory Delagi is Senior Vice President of Texas Instruments Inc. Prior to taking over the business in January 2007, Delagi, a 22-year TI veteran, was vice president and manager of the worldwide DSP Systems business unit. During his tenure with TI’s DSP Systems, he led the development and commercialization of digital signal processors (DSPs), one of the company’s core semiconductor technologies and a critical component in the company’s wireless product line. Having joined TI’s DSP operations in 1996, he is also credited with creating TI’s catalog DSP business strategy and organization. TI increased its DSP market share in 2006 for the fifth year in a row to 61 percent of the total DSP market. Since the late 1990s, he also led TI’s effort in semiconductors for wireless basestations, working with customers and operators as his team built the industry’s top position in this market. Delagi started his career at TI in 1984 with the Materials & Controls business, based in Attleboro, Massachusetts. He later joined TI’s Semiconductor Group working in sales and marketing in Austin, Texas, and Phoenix and then spent six years in Silicon Valley managing TI’s sales operations in the U.S. western region. Mr. Delagi is a graduate of Nichols College in Dudley, Massachusetts, where he earned a BSBA in 1984.

Kyle Flessner

Mr. Kyle M. Flessner is a Senior Vice President, Technology and Manufacturing Group of Texas Instruments. He is responsible for our Technology & Manufacturing Group, which includes silicon, packaging and test technology development, as well as our global internal and external manufacturing operations and semiconductor quality. Prior to this role, he led TI’s worldwide manufacturing operations, semiconductor quality and packaging. Throughout his career, Flessner has held a variety of leadership and engineering positions within TI’s Technology & Manufacturing Group and Analog business. Flessner began his career at TI in 1993 as a statistical intern. He earned a bachelor’s degree in mathematics from Texas State University and a master’s degree in statistics from Texas A&M University.

Mr. Haviv Ilan is Senior Vice President of the company since 2017. Mr. Ilan is responsible for signal chain product line within our analog business.

Hagop Kozanian

Mr. Hagop H. Kozanian is a senior vice president of Texas Instruments responsible for the High Volume Analog and Logic, DLP® Products, and Education Technology businesses. Prior to this role, Kozanian led TI’s Power Switches, Interface and Lighting business unit in TI’s Analog Power Products organization. Throughout his career, he has held a number of leadership roles, including serving as vice president of TI’s broad market power business, analog systems engineering and marketing, and regional sales manager and area director for the Americas. Kozanian joined TI in 2004 as part of the technical sales program where he started his career as an account manager and regional sales manager roles in California’s Bay Area. Kozanian earned a Bachelor of Science in electrical engineering from Santa Clara University. He serves as a member of the board for the TI Foundation and TI’s Political Action Committee.

Ms. Julie M. Van Haren is Senior Vice President of the company since 2017.

Darla Whitaker

Ms. Darla H. Whitaker is Senior Vice President of the Company. Prior to her current assignment, Ms. Whitaker was vice president and manager of compensation, and human resource systems and services for the company. She has held various positions in human resources for TI including director of human resources for the application specific products business unit, human resources manager for the ASIC organization, and compensation manager in Taipei and Singapore for the Asia region. Ms. Whitaker joined TI in 1984, where she served in a variety of manufacturing and engineering assignments prior to her experience in human resources. In addition to her TI assignment, Ms. Whitaker has served on the Executive Committee for the Conference Board’s Council on Compensation. Ms. Whitaker earned a bachelor of science degree in electrical engineering from Southern Methodist University in 1989, and a master’s degree in business administration from the University of Dallas in 1997.

Mark Blinn

Mr. Mark A. Blinn is Lead Independent Director of the Company. ?Mr. Blinn was CEO and a director of Flowserve Corporation (2009-2017), where he gained first-hand experience managing a large, multinational corporation operating in global industrial markets, with ultimate management responsibility for the organization’s financial performance and significant capital and R&D investments. Mr. Blinn has developed a keen appreciation for audit- and financial control-related matters as Audit Committee chair at the company (April 21, 2017-present), chief financial officer of Flowserve Corporation (2004-2009), chief financial officer of FedEx Kinko’s Office and Print Services Inc. (2003-2004) and vice president and controller of Centex Corporation (2000-2002). Additionally, as an attorney, he formerly represented large financial institutions, foreign corporations and insurance companies. Mr. Blinn is also a director of Kraton Corporation (2017-present) and Westinghouse Electric Company LLC since 2018.

Janet Clark

Ms. Clark has helped oversee the strategy and operations of other large, multinational corporations, including one with a focus on technology, as a director of Goldman Sachs Private Middle Market Credit LLC (2016-2018), Goldman Sachs BDC, Inc. (2015-2018), EOG Resources, Inc. (2014-present), Exterran Holdings, Inc. and its predecessor company Universal Compression Holdings, Inc. (2003-2011) and Dell Inc. (2011-2013).

Carrie Cox

Ms. Carrie S. Cox is Independent Director of Texas Instruments Incorporated. Ms. Cox has gained first-hand experience managing large, multinational organizations focused on medical-related markets, with responsibility for those organizations’ financial performance and significant capital and R&D investments, as chairman (2013-present), CEO (2010-2018) and a director (2010-present) of Humacyte, Inc., executive vice president and president of Global Pharmaceuticals at Schering-Plough Corporation (2003-2009) and executive vice president and president of Global Prescription Business at Pharmacia Corporation (1997-2003). Martin Craighead

Mr. Martin S. Craighead is an Independent Director of the company since July 1, 2018. He has been elected to TI's board of directors, effective July 1. Mr. Craighead served as chairman, president and CEO of Baker Hughes Incorporated until July 2017, when he became vice chairman of the board of Baker Hughes, a GE company, a leading global oil field technology provider. He held multiple executive positions during his 30-plus year career with Baker Hughes, where he ultimately became president in 2010, chief executive officer in 2012 and chairman of the board in 2013, prior to the company’s combination with the oil and gas business of GE in July 2017. Ms. Hobby has helped oversee the strategy and operations of other multinational corporations as a director of Hewlett Packard Enterprise Company (2019-present), Integer Holdings Corporation and its predecessor company Greatbatch, Inc. (2015-present), and CA, Inc. (February 1, 2018-November 5, 2018).

Ronald Kirk

Amb. Ronald Kirk is an Independent Director of Texas Instruments Incorporated. Mr. Kirk was U.S. Trade Representative (2009-2013), where he gained first-hand experience in managing a complex organization that operates on an international scale and developed insight into issues bearing on global economic activity, international trade policies and strategies and the workings of foreign governments. Mr. Kirk has gained first-hand experience as an advisor to numerous multinational companies as Senior Of Counsel of Gibson, Dunn & Crutcher LLP (2013-present), and as a partner of Vinson & Elkins, LLP (2005-2009). Mr. Kirk has helped oversee the strategy and operations of other large corporations as a director of Brinker International, Inc. Pamela Patsley

Ms. Pamela H. Patsley is an Independent Director of Texas Instruments Incorporated. Ms. Patsley was executive chairman (2016-2018) and chairman and CEO (2009-2015) of MoneyGram International, Inc., senior executive vice president of First Data Corporation (2000-2007) and president and CEO of Paymentech, Inc. (1991-2000), where she gained first-hand experience managing large, multinational organizations, including the application of technology in the financial services sector, with ultimate management responsibility for financial performance and significant capital investments. Ms. Patsley has developed a keen appreciation for audit- and financial control-related matters as Audit Committee chair at the company (2006-2013), a member of the audit committee at Dr Pepper Snapple Group, Inc., chief financial officer of First USA, Inc. (1987-1994) and an auditor at KPMG Peat Marwick for almost six years before joining First USA. Ms. Patsley has helped oversee the strategy and operations of other major multinational corporations as a director of ACI Worldwide, Inc. (2018-present), Keurig Dr Pepper, Inc. (2018-present), Dr Pepper Snapple Group, Inc. (2008- 2018), Hilton Grand Vacations, Inc. (January 2017-present) and Molson Coors Brewing Company (2005-2009).

Robert Sanchez

Mr. Robert E. Sanchez is an Independent Director of Texas Instruments Incorporated. Mr. Sanchez has gained first-hand experience in managing a large multinational, transportation-related organization, with responsibility for the organization’s financial performance and significant capital investments, as chairman and CEO (2013-present), president (2012-2014) and chief operating officer (2012) of Ryder System, Inc. and as president of its Global Fleet Management Solutions business segment (2010-2012). Mr. Sanchez has developed a keen appreciation for audit- and financial control-related issues and gained first-hand experience with all technology-related functions of a large, multinational corporation focused on transportation and logistics as executive vice president and chief financial officer (2007-2010) and as senior vice president and chief information officer (2003-2005) of Ryder System, Inc.
