Biographies

Name Description

John Sweet

Mr. John W. Sweet, Jr., is a Chairman of the Board of the Company. Mr. Sweet will also serve on Wheeler's Board of Directors' Finance and Investment Committees. Mr. Sweet has over 40 years of financial and organizational management experience in executive management positions within the real estate, banking, and finance industries. As of Mr. Sweet's appointment, Wheeler's Board has nine members with seven of those members being independent. Mr. Sweet is the co-founder and Chief Investment Officer at Physicians Realty Trust (NYSE:DOC), a self-managed healthcare real estate investment trust. In this position, Mr. Sweet is responsible for managing and monitoring investment activity, working with external analysts and developing strategic asset-allocation plans. Prior to joining Physicians Realty Trust, Mr. Sweet was a Managing Director for the privately owned, full-service, specialty investment firm, Ziegler. While at Ziegler, Mr. Sweet assisted in the financing and then management of a medical office building investment fund which became the initial core portfolio for Physicians Realty Trust. In 2002, Mr. Sweet also cofounded Windrose Medical Properties Trust, a publicly traded medical office REIT that was sold to Healthcare REIT in 2006. Mr. Sweet received a Bachelor of Business Administration from St. John Fisher College and a Master of Business Administration from Rochester Institute of Technology.

David Kelly

Mr. David Kelly is an President, Chief Executive Officer, Director of the Company. Mr. Kelly has over 28 years of experience in the real estate industry. Mr. Kelly joined the Company in 2013 and served as Senior Vice President, Director of Acquisitions for the Company, and most recently as the Chief Investment Officer. Prior to joining the Company, Mr. Kelly served as a Principal with Kelly Development, LLC, a real estate development firm he founded in March 2011, which specializes in the acquisition and management of retail properties in the Mid-Atlantic region. From 1998 to 2011, Mr. Kelly served as the Director of Real Estate for Supervalu, Inc., a Fortune 100 supermarket retailer. Mr. Kelly has served as a director of the Company since 2011.

Matthew Reddy

Mr. Matthew Thomas Reddy is re designated as Chief Financial Officer, Acting Chief Accounting Officer of the Company effective March 4, 2018. Prior to joining the Company, Mr. Reddy worked at Liberty Tax, Inc. (“Liberty”), serving as Assistant Vice President of Online Products from 2014 to 2015, where his responsibilities included coordination and leadership of Liberty’s online tax business. While employed at Liberty, Mr. Reddy was also employed as Director of Finance from 2011 to 2014, and Manager of Financial Reporting from 2008 to 2011. His primary responsibilities in these positions included overseeing corporate forecasting, assisting in the planning and analysis of business and financial strategies, and managing Liberty’s accounting team. Prior to joining Liberty, Mr. Reddy worked at KPMG LLP as a Senior Auditor. Mr. Reddy is a Certified Public Accountant and holds a degree in accounting from James Madison University.

Sean Armstrong

Mr. Sean F. Armstrong is Director of the Company. He serves as Principal & Portfolio Manager of Westport Capital Partners LLC. Mr. Armstrong has over 24 years of real estate investment experience across the spectrum of property types, including retail shopping centers. He has had direct experience in the asset management for both transitional and stabilized properties, including new development. Prior to joining Westport in 2006, Mr. Armstrong was a Managing Director at Oaktree Capital Management and one of the real estate group's senior professionals. Mr. Armstrong was formerly a director of Lodgian, Inc., a Delaware corporation listed on the American Stock Exchange. Mr. Armstrong graduated with a B.S. in Biomedical Engineering magna cum laude from the University of Southern California, where he was elected to Phi Beta Kappa. He went on to earn an M.B.A. in Finance magna cum laude, also from the University of Southern California. He is a Chartered Financial Analyst.

Andrew Jones

Mr. Andrew R. Jones is Director of the Company. He is Founder and Chief Executive Officer of North Star Partners, LP. Since its founding in January 1996, North Star has been an alternative investment program that is dedicated to value investing and focuses on the small-cap sector of the U.S. equity markets. Prior to the formation of the Partnership, Mr. Jones was a Managing Director at Tweedy, Browne Company, LP. Mr. Jones is a former director of Certus Bank, NA, Cornell Companies, Inc. and Chem Rx Corporation. He is a Chartered Financial Analyst and is a member of the New York Society of Securities Analysts. Mr. Jones received a BS in Finance from Ithaca College and an MBA in Finance from the University of Chicago.

Stewart Brown

Mr. Stewart J. Brown is Independent Director of the Company. He is currently a Director of Community and Southern Bank, where he chairs the Credit/Risk Committee. He was the Chairman of the Bank Audit Committee and is now a member of the Joint Audit Committee. He is also a Director of the Army Distaff Foundation, which serves the United States Army with a variety of services, including the operation of Knollwood, which is a United States Army retirement home for officers. Mr. Brown has over 45 years of experience in financial and organizational management in banking, finance, commercial real estate, strategic planning and the United States Army. Mr. Brown has also served as the past Chairman of the Board of Lodgian, Inc. of Atlanta and Opportunity Bank of Dallas. Mr. Brown is currently a Principal with Dunkirk Partners, where he performs management consulting and executive coaching services.

Warren Harris

Mr. Warren D. Harris is an Independent Director of Wheeler Real Estate Investment Trust, Inc. Presently, Mr. Harris is the Director of Economic Development for the City of Virginia Beach where he is involved in improving and enhancing the standard of living and economic health of the Hampton Roads area. Under Mr. Harris’ leadership, the department has received accreditation and recognition from several national and international associations. During his tenure, Mr. Harris has also successfully completed the restructuring of the economic department for the City of Virginia Beach. This effort resulted in an international office being established in Germany for the department, as well as in the opening of a trade office in Olongapo, Philippines. Mr. Harris was appointed this position in 2007 by the City Manager after serving as the Director of Economic Development for the City of Chesapeake, VA. Mr. Harris has been recognized by the American Society of Public Administrators and has been awarded the G. Robert House, Jr. Award for excellence in public service. Mr. Harris received his Bachelor’s degree in Political Science from Hampton University and has a Master’s in Public Administration from Old Dominion University. Mr. Harris currently serves on a number of boards and community service organizations in the Coastal Virginia area.

John McAuliffe

Mr. John McAuliffe is Independent Director of the Company. He was Director of Wheeler Real Estate Investment Trust, Inc. Mr. McAuliffe has served as the managing director of investment banking of Newbridge Securities Corp. Mr. McAuliffe was a senior banker at Financial West Securities from September 2010 through December 2011. From 2005 to 2010, Mr. McAuliffe served as a Managing Director of the Investment Banking Department of Newbridge Securities Corp. During this time, he was the lead banker and finder for Nexcera Medical, and the banker and finder of Chemrx Corp. Mr. McAuliffe was also the lead banker for Able Labs, M-Systems, U.S.Teleconstructors, MRV Communications and Videospection. From 1990 to 2000, Mr. McAuliffe was a head of Institutional Sales and branch manager of H.J. Meyers. From 1990 until 1998 H.J. Meyers did over $1 billion in financing primarily for technology and biotechnology companies whose road shows were led by Mr. McAuliffe. Since 1990, Mr. McAuliffe has been an investment banker, and has participated and led in excess of 200 financing transactions in his career. Mr. McAuliffe earned his Bachelor of Science degree from the State University of New York at Brockport.

Carl McGowan

Dr. Carl B. McGowan, Jr., Ph.D., CFA, is an Independent Director of Wheeler Real Estate Investment Trust, Inc., Dr. McGowan is presently the Faculty Distinguished Professor of Finance at Norfolk State University. Dr. McGowan has a BA in International Relations (Syracuse), an MBA in Finance (Eastern Michigan), and a PhD in Business Administration (Michigan State). Dr. McGowan has conducted research is in the areas of corporate finance and international finance, with specific studies relating to real estate operations. In addition to over 150 conference presentations, Dr. McGowan has published 68 articles in numerous peer-reviewed journals including: The Journal of Real Estate Research, The American Journal of Business Education, Applied Financial Economics, Decision Science, Financial Practice and Education, The Financial Review, International Business and Economics Research Journal, The International Review of Financial Analysis, The Journal of Applied Business Research, The Journal of Business Case Studies, The Journal of Diversity Management, Managerial Finance, Managing Global Transitions, The Southwestern Economic Review, and Urban Studies.

Jeffrey Zwerdling

Mr. Jeffrey M. Zwerdling, Esquire, is an Independent Director of Wheeler Real Estate Investment Trust, Inc. He is founder and managing partner of the law firm of Zwerdling, Oppleman & Adams which was formed in 1972 in Richmond, Virginia. Mr. Zwerdling’s areas of concentration include corporate law, commercial and residential real estate, personal estate planning, and general litigation. From 1999-2012, he served as President and Director of The Corporate Centre, a 225,000 square foot office park complex located in Richmond, Virginia. In May of 2013, Mr. Zwerdling was appointed to the Board of Directors of Capitol Securities Management Inc. CSM is a FINRA registered broker dealer whose assets exceed $4 billion. Mr. Zwerdling was commissioned as a Second Lieutenant in the United States Army in 1967, served in the Army Reserve and Virginia National Guard, and received his honorable discharge after obtaining the rank of Captain in 1981. Mr. Zwerdling holds a Bachelor of Science Degree from Virginia Commonwealth University and received a Juris Doctor Degree from the College of William and Mary School of Law. He was an organizational investor in Southern Community Bank & Trust, now Village Bank. In 1998, Mr. Zwerdling was elected to the Board of Directors of Supertel Hospitality, Inc., a public company which trades on the NASDAQ Stock Exchange. Supertel is a real estate investment trust (REIT) which is a focused-service segment of the lodging industry. During his tenure at Supertel, Mr. Zwerdling served on various committees, including the Acquisitions and Dispositions Committee, and was a member and former chairman of the Audit Committee. In November 2012, Mr. Zwerdling was asked to serve as a Board Observer of Wheeler Real Estate Investment Trust, Inc., a public company which trades on the NASDAQ Stock Exchange. Wheeler specializes in acquiring and re-invigorating well-located, potentially dominant retail properties that generate attractive risk-adjusted returns.
