Name Description

Jon Wheeler

Mr. Jon S. Wheeler is Chairman of the Board, Chief Executive Officer of Wheeler Real Estate Investment Trust, Inc. Mr. Wheeler has served as our Chairman since our formation in June of 2011. In addition, Mr. Wheeler served as our President from our formation until January 2013 when his title was changed from President to Chief Executive Officer. Mr. Wheeler has also served as the President and CEO of Wheeler Interests since its inception in 1999. Mr. Wheeler has over thirty years of real estate experience with an extensive background in strategic financial and market analyses. Mr. Wheeler has substantial experience in assessing new or existing properties to maximize returns, which are then positioned for acquisition, growth and disposition. Since founding Wheeler Interests in 1999, Mr. Wheeler has helped Wheeler Interests to acquire over sixty shopping centers in New York, Maryland, Virginia, West Virginia, North Carolina, South Carolina, Tennessee, Georgia, Florida, Oklahoma and Texas, representing over four million square feet of improved real estate property. Mr. Wheeler holds a Bachelor of Arts degree in political science from Southern Methodist University.

Wilkes Graham

Mr. Wilkes J. Graham is Chief Financial Officer of the Company., effective 19 January 2016. Mr. Graham has over 16 years of experience in the real estate and financial services industries. Since 2010 Mr. Graham has worked with Compass Point Research & Trading, LLC ("Compass Point"), an independent, full-service investment firm focused exclusively on the financial services sector, where he served as Director of Research and as a Senior Sell-Side Equity Research Analyst. As the firm's Real Estate Analyst, Mr. Graham's primary responsibilities included performing proprietary financial analysis in which he forecasted earnings and predicted the stock performance of over 30 publicly traded REITs, real estate operating companies and homebuilders. As Director of Research, Mr. Graham managed and oversaw the strategic direction of the firm's research department. Prior to joining Compass Point, Mr. Graham worked as a Vice President and a Senior Sell-Side Analyst focused on the real estate sector at FBR Capital Markets & Co. ("FBR") (NASDAQ:FBRC), a full-service investment bank that offers equity and fixed income research services to institutional investors. Previously, he worked as a Research Associate covering REITs for Raymond James & Associates, a leading diversified financial services company. Mr. Graham received his Bachelors of Science in Business Administration and his Master of Business Administration from the University of North Carolina's Kenan-Flagler Business School. During his career, Mr. Graham has conducted due diligence on over 35 real estate related capital market transactions and is National Association of Securities Dealers Series 7, 24, 63, 86, and 87 certified.

Matthew Reddy

Mr. Matthew T. Reddy is Chief Accounting Officer of the Company. Prior to joining the Company, Mr. Reddy worked at Liberty Tax, Inc. ("Liberty"), where he served as Assistant Vice President of Online Products from 2014 to 2015, where his responsibilities included coordination and leadership of Liberty's online tax business. While employed at Liberty, Mr. Reddy was also employed as Director of Finance from 2011 to 2014, and Manager of Financial Reporting from 2008 to 2011. His primary responsibilities in these positions included overseeing corporate forecasting, assisting in the planning and analysis of business and financial strategies, and managing Liberty's accounting team. Prior to joining Liberty, Mr. Reddy worked at KPMG LLP as a Senior Auditor. Mr. Reddy is a Certified Public Accountant and has a bachelor of business administration in accounting from James Madison University.

Robin Hanisch

Ms. Robin Hanisch is Corporate Secretary of Wheeler Real Estate Investment Trust, Inc She has served as the Secretary of the company's Board of Directors since August 2011. Ms. Hanisch has served as an Associate at Wheeler Interests since 2000, where she oversees Human Resources and Investor Relations. Ms. Hanisch has been the main point of contact for investors in Wheeler Interests and will serve as the main point of contact for the company's investors. Prior to joining Wheeler Interests, Ms. Hanisch worked in fund development and marketing for a national non-profit organization. She graduated from the University of Hawaii with a degree in merchandising.

John Sweet

Mr. John W. Sweet, Jr., is a Director of the Company., effective October 5, 2016. Mr. Sweet will also serve on Wheeler's Board of Directors' Finance and Investment Committees. Mr. Sweet has over 40 years of financial and organizational management experience in executive management positions within the real estate, banking, and finance industries. As of Mr. Sweet's appointment, Wheeler's Board has nine members with seven of those members being independent. Mr. Sweet is the co-founder and Chief Investment Officer at Physicians Realty Trust (NYSE:DOC), a self-managed healthcare real estate investment trust. In this position, Mr. Sweet is responsible for managing and monitoring investment activity, working with external analysts and developing strategic asset-allocation plans. Prior to joining Physicians Realty Trust, Mr. Sweet was a Managing Director for the privately owned, full-service, specialty investment firm, Ziegler. While at Ziegler, Mr. Sweet assisted in the financing and then management of a medical office building investment fund which became the initial core portfolio for Physicians Realty Trust. In 2002, Mr. Sweet also cofounded Windrose Medical Properties Trust, a publicly traded medical office REIT that was sold to Healthcare REIT in 2006. Mr. Sweet received a Bachelor of Business Administration from St. John Fisher College and a Master of Business Administration from Rochester Institute of Technology.

Stewart Brown

Mr. Stewart J. Brown is Independent Director of the Company. He is currently a Director of Community and Southern Bank, where he chairs the Credit/Risk Committee. He was the Chairman of the Bank Audit Committee and is now a member of the Joint Audit Committee. He is also a Director of the Army Distaff Foundation, which serves the United States Army with a variety of services, including the operation of Knollwood, which is a United States Army retirement home for officers. Mr. Brown has over 45 years of experience in financial and organizational management in banking, finance, commercial real estate, strategic planning and the United States Army. Mr. Brown has also served as the past Chairman of the Board of Lodgian, Inc. of Atlanta and Opportunity Bank of Dallas. Mr. Brown is currently a Principal with Dunkirk Partners, where he performs management consulting and executive coaching services.

Warren Harris

Mr. Warren D. Harris is an Independent Director of Wheeler Real Estate Investment Trust, Inc. Presently, Mr. Harris is the Director of Economic Development for the City of Virginia Beach where he is involved in improving and enhancing the standard of living and economic health of the Hampton Roads area. Under Mr. Harris’ leadership, the department has received accreditation and recognition from several national and international associations. During his tenure, Mr. Harris has also successfully completed the restructuring of the economic department for the City of Virginia Beach. This effort resulted in an international office being established in Germany for the department, as well as in the opening of a trade office in Olongapo, Philippines. Mr. Harris was appointed this position in 2007 by the City Manager after serving as the Director of Economic Development for the City of Chesapeake, VA. Mr. Harris has been recognized by the American Society of Public Administrators and has been awarded the G. Robert House, Jr. Award for excellence in public service. Mr. Harris received his Bachelor’s degree in Political Science from Hampton University and has a Master’s in Public Administration from Old Dominion University. Mr. Harris currently serves on a number of boards and community service organizations in the Coastal Virginia area.

David Kelly

Mr. David Kelly is an Independent Director of Wheeler Real Estate Investment Trust, Inc. Mr. Kelly has over twenty five years of experience in the real estate industry. Mr. Kelly currently serves as a Principal with Kelly Development, LLC, a real estate development firm he founded in March 2011, which specializes in the acquisition and management of retail properties in the Mid-Atlantic region. Prior to founding Kelly Development, Mr. Kelly served as the Director of Real Estate for Supervalu, Inc., a Fortune 100 supermarket retailer, from 1998 through 2011. Prior to his time with Supervalu, Mr. Kelly served as an Asset Manager from 1993 through 1998. Mr. Kelly currently serves on the Board of Directors of the Norfolk, Virginia SPCA. He earned a Bachelor of Science in Finance degree from Bentley College (now Bentley University). Mr. Kelly was selected as a director because of his years of experience in the real estate industry as well as his real estate management experience within a publicly traded company

William King

Mr. William W. King is an Independent Director of Wheeler Real Estate Investment Trust, Inc. Mr. King currently serves, on a volunteer basis, as Executive Director of the Virginia Maritime Heritage Foundation, a 501(c)(3) corporation that owns and operates the schooner Virginia. He was appointed to that position in September of 2009. From 1988 through 2008 Mr. King served as the headmaster of Norfolk Collegiate School, an independent, co-educational, K-12 college preparatory day school. He also remained employed by the Norfolk Collegiate School until June 2009 as a special assistant to the headmaster and served on its board of trustees from 1984-2009. Prior to his service at Norfolk Collegiate School, Mr. King was Executive Vice President of SRMS, a management consulting corporation that primarily contracted for services with the U.S. Navy and the U.S. Air Force. Mr. King served in the United States Navy from 1962 until 1984, when he retired in the grade of Captain. During his time in the United States Navy, he served in seven combatant ships, two of which he commanded, did several combat tours in Vietnam, served two tours in the Pentagon, including two years as aide to the Chief of Naval Operations, and was a Deputy Chief of Staff to the Commander of the United States Atlantic Command and the Commander-in-Chief of the United States Atlantic Fleet. Mr. King graduated from the University of Virginia in 1963 with a Bachelor of Science Degree in Finance, the Navy Postgraduate School in 1977 with a Master of Science in Financial Management, and from Old Dominion University in 1995 with a Certificate of Advanced Studies in Education Leadership and Administration.

John McAuliffe

Mr. John McAuliffe is Independent Director of the Company. He was Director of Wheeler Real Estate Investment Trust, Inc. Mr. McAuliffe has served as the managing director of investment banking of Newbridge Securities Corp. Mr. McAuliffe was a senior banker at Financial West Securities from September 2010 through December 2011. From 2005 to 2010, Mr. McAuliffe served as a Managing Director of the Investment Banking Department of Newbridge Securities Corp. During this time, he was the lead banker and finder for Nexcera Medical, and the banker and finder of Chemrx Corp. Mr. McAuliffe was also the lead banker for Able Labs, M-Systems, U.S.Teleconstructors, MRV Communications and Videospection. From 1990 to 2000, Mr. McAuliffe was a head of Institutional Sales and branch manager of H.J. Meyers. From 1990 until 1998 H.J. Meyers did over $1 billion in financing primarily for technology and biotechnology companies whose road shows were led by Mr. McAuliffe. Since 1990, Mr. McAuliffe has been an investment banker, and has participated and led in excess of 200 financing transactions in his career. Mr. McAuliffe earned his Bachelor of Science degree from the State University of New York at Brockport.

Carl McGowan

Dr. Carl B. McGowan, Jr., Ph.D., CFA, is an Independent Director of Wheeler Real Estate Investment Trust, Inc., Dr. McGowan is presently the Faculty Distinguished Professor of Finance at Norfolk State University. Dr. McGowan has a BA in International Relations (Syracuse), an MBA in Finance (Eastern Michigan), and a PhD in Business Administration (Michigan State). Dr. McGowan has conducted research is in the areas of corporate finance and international finance, with specific studies relating to real estate operations. In addition to over 150 conference presentations, Dr. McGowan has published 68 articles in numerous peer-reviewed journals including: The Journal of Real Estate Research, The American Journal of Business Education, Applied Financial Economics, Decision Science, Financial Practice and Education, The Financial Review, International Business and Economics Research Journal, The International Review of Financial Analysis, The Journal of Applied Business Research, The Journal of Business Case Studies, The Journal of Diversity Management, Managerial Finance, Managing Global Transitions, The Southwestern Economic Review, and Urban Studies.

Jeffrey Zwerdling

Mr. Jeffrey M. Zwerdling, Esquire, is an Independent Director of Wheeler Real Estate Investment Trust, Inc. He is founder and managing partner of the law firm of Zwerdling, Oppleman & Adams which was formed in 1972 in Richmond, Virginia. Mr. Zwerdling’s areas of concentration include corporate law, commercial and residential real estate, personal estate planning, and general litigation. From 1999-2012, he served as President and Director of The Corporate Centre, a 225,000 square foot office park complex located in Richmond, Virginia. In May of 2013, Mr. Zwerdling was appointed to the Board of Directors of Capitol Securities Management Inc. CSM is a FINRA registered broker dealer whose assets exceed $4 billion. Mr. Zwerdling was commissioned as a Second Lieutenant in the United States Army in 1967, served in the Army Reserve and Virginia National Guard, and received his honorable discharge after obtaining the rank of Captain in 1981. Mr. Zwerdling holds a Bachelor of Science Degree from Virginia Commonwealth University and received a Juris Doctor Degree from the College of William and Mary School of Law. He was an organizational investor in Southern Community Bank & Trust, now Village Bank. In 1998, Mr. Zwerdling was elected to the Board of Directors of Supertel Hospitality, Inc., a public company which trades on the NASDAQ Stock Exchange. Supertel is a real estate investment trust (REIT) which is a focused-service segment of the lodging industry. During his tenure at Supertel, Mr. Zwerdling served on various committees, including the Acquisitions and Dispositions Committee, and was a member and former chairman of the Audit Committee. In November 2012, Mr. Zwerdling was asked to serve as a Board Observer of Wheeler Real Estate Investment Trust, Inc., a public company which trades on the NASDAQ Stock Exchange. Wheeler specializes in acquiring and re-invigorating well-located, potentially dominant retail properties that generate attractive risk-adjusted returns.
