Frans Cremers

Dr. Frans J. G .M. Cremers has held the position of Independent Chairman of the Supervisory Board of Wolters Kluwer NV. since 2017. He is Chairman of the Company's Selection and Remuneration Committee. part from his current duties in the Company he acts as Member of the Board of Directors of Stichting Preferente Aandelen Philips, Stichting Preferente Aandelen Heijmans and Stichting Preferente Aandelen B KPN, as well as •Investigator appointed by the Enterprise Section of the Amsterdam Court of Appeal in relation to the policy and course of events in the matter of SNS Reaal N.V. and SNS Bank N.V. Mr. Cremers is a former CFO and Member of the Executive Board of VNU (Verenigde Nederlandse Uitgeverijen).

Nancy McKinstry

Ms. Nancy McKinstry has served as Chief Executive Officer and Chairman of the Executive Board of Wolters Kluwer N.V. since September 1, 2003. Before assuming her present position in 2003, Ms. McKinstry gained more than a decade of experience at Wolters Kluwer and its operating companies in North America. She previously served as CEO of Wolters Kluwer’s operations in North America. She also was President and CEO of Legal Information Services, currently part of Wolters Kluwer’s Governance, Risk & Compliance division. Earlier, Ms. McKinstry held product management positions with CCH INCORPORATED, part of Wolters Kluwer’s Tax & Accounting division since 1995. Early in her career, she held management positions with Booz & Company (formerly Booz Allen Hamilton), an international management-consulting firm, where she focused on assignments in the media and technology industries. Ms. McKinstry earned her MBA in Finance and Marketing from Columbia University, New York, where she graduated Beta Gamma Sigma and a Bachelor of Arts degree in Economics from the University of Rhode Island, Kingston, where she graduated Phi Beta Kappa. In May 2005, she was awarded the honorary degree of Doctor of Laws by the University of Rhode Island in recognition of her contributions to business. As CEO and Chairman of the Executive Board, Ms. McKinstry is responsible for division performance, Global Strategy, Business Development, Technology, Global Business Services, Communications, Human Resources, Corporate Governance, and Sustainability.

Kevin Entricken

Mr. Kevin B. Entricken has been Chief Financial Officer and Member of the Executive Board of Wolters Kluwer N.V. since April 24, 2013. In his current role, he is responsible for the corporate areas of Accounting, Business Analysis & Control, Internal Audit and Internal Controls, Investor Relations, Mergers & Acquisitions, Legal, Real Estate, Risk Management, Taxation, and Treasury. Karen Abramson

Ms. Karen Abramson has served as Chief Executive Officer - Tax and Accounting of Wolters Kluwer N.V. since August 2012. As CEO of the global division, Abramson leads Wolters Kluwer tax and accounting operations worldwide, with activities across North America, Brazil, Europe and Asia Pacific. Abramson joined Wolters Kluwer Tax & Accounting in 2012 as President & CEO of CCH, a part of Wolters Kluwer and a leading provider of tax, accounting and audit information, software and solutions. At CCH, she led the North America businesses in delivering innovative solutions for professionals with the launch of the numerous mobile and cloud-based solutions including the awardwinning CCH™ Axcess. Abramson has extensive experience in the professional information and software industry, and a strong track record of growing businesses in Wolters Kluwer through customer-focused innovation. She previously served as President & CEO of Wolters Kluwer Health’s Medical Research business unit. Abramson transformed the Medical Research business and strengthened and restored key partnerships. She introduced both new revenue models and innovative product offerings. Previously at Wolters Kluwer, Abramson served as Vice President and General Manager of CT Corsearch. Under her leadership, CT Corsearch revolutionized the trademark review process with electronic workflow solutions, consistently delivered double-digit organic growth, significantly increased market share and achieved the highest quality and customer satisfaction rates in the history of the business. Prior to joining Wolters Kluwer, Abramson held executive roles at MemberWorks and Thomson Tax and Accounting Abramson is a past Executive Board Member of the American Association of Publishers; she has served as a member of the European Executive Council for Outsell; a Publishing Member of CrossRef; and a Member of the International DOI Foundation Board. She has been named to the most powerful women in accounting list for both 2013 and 2014.

Stacey Caywood

Ms. Stacey Caywood has been Chief Executive Officer - Legal & Regulatory of Wolters Kluwer N.V. since September 2010. During her tenure as CEO, Ms. Caywood has led the transformation of legal and regulatory business to meet changing customer needs, with a focus on serving professionals with innovative solutions that help them be more productive, strengthen client relationships and deliver higher value client services. Ms. Caywood was previously President and CEO of Wolters Kluwer Law & Business, where she led the creation of a customer-focused business organization and strategy, and drove the unit's transition from a traditional publisher to leading provider of specialized electronic information and solutions. Prior to that, she was Vice President of the Wolters Kluwer Law & Business Legal Professional Group, where she helped drive strong growth through the introduction of new electronic products and integrated online libraries. Formerly, Ms. Caywood served as Publisher of CCH's Business and Finance group, and as Director of sales and marketing, with management responsibility for sales, marketing and the launch of the unit's Internet products. Mr. Flynn has a long track record of delivering exceptional results and driving breakthrough innovations in information services businesses. He has a deep passion for developing talent and discovering the next big growth opportunity. Previously, Mr. Flynn was Group President and CEO - Corporate Legal Services (CLS), which he helped transform into a leading driver of growth and profitability for Wolters Kluwer. Under his leadership, CLS expanded into new product categories and international markets, resulting in an overall 50% increase in revenue growth during Mr. Flynn’s tenure. In leading GRC, Mr. Flynn leverages his experience building a first-class information services business in the legal and financial services industries to apply proven best practices of data analytics, customer segmentation and product innovation to reinvent the way legal, finance, risk and compliance professionals leverage software and services to serve their customers and manage their businesses. Prior to joining Wolters Kluwer, Mr. Flynn held a variety of executive positions during his 20-year career in financial services. Diana Nole

Ms. Diana Nole has served as Chief Executive Officer - Health at Wolters Kluwer N.V. since September 2015. Before joining Wolters Kluwer, Ms. Nole served as President for the Digital Medical Solutions Division of Carestream Health. She led the successful integration of acquisitions which boosted the breadth and depth of the portfolio. The product development activities under her direction, delivered break through products with substantial customer workflow improvements, resulting in significant revenue growth and #1 customer satisfaction ratings. She joined Carestream Health in 2007. Previously Diana Nole held multiple leadership roles at Eastman Kodak in its Healthcare Information Technology Solutions group. She started at Kodak in 1987 as Worldwide Logistics Supervisor/Systems Analyst. Ms. Nole holds an MBA from the Simon School of Business, University of Rochester and received her BA, Magna cum Laude, in Math and Computer Science from the State University of New York.

Ms. Corinne Saunders is Chief Executive Officer - Emerging & Developing Markets of Wolters Kluwer N.V. since 2013. In this role, she is responsible for establishing a long-term presence in key emerging markets, particularly in India, China, Latin America, Middle East, and Africa. Before joining the Company she was President of Europe and the Worldwide Network partners at Dun & Bradstreet and since 2002 held different roles at D&B, gaining extensive knowledge of emerging markets, overseeing the expansion of the franchise network across Asia Pacific, EMEA, and Latin America. She has a strong track record of expanding businesses across multiple territories, spotting new opportunities and developing these into viable, scalable businesses. Robert Ingato

Mr. Robert J. Ingato is Executive Vice President and General Counsel of Wolters Kluwer NV. In that capacity he is responsible for leading the company’s legal department. Before joining Wolters Kluwer, Robert served as General Counsel and Secretary of CIT Group Inc., a publicly-owned bank holding company, where he was responsible for the legal, insurance, real estate, communications, government relations and marketing organizations. Prior to that, Robert held executive positions with Newcourt Credit and AT&T, including as General Counsel of AT&T Capital Corporation. He began his career in private practice with the Gibbons law firm. Robert is a member of the Corporate Advisory Board of the Boys and Girls Clubs of New Jersey. He is also a member of the American Bar Association and Association of Corporate Counsel. In 2015, Robert was recognized as New Jersey’s General Counsel of the Year. Robert earned his BSBA in Business Management from Bucknell University, Pennsylvania, where he was graduated Magna Cum Laude, and his JD from Cornell Law School, New York, where he graduated Cum Laude.

Dennis Cahill

Mr. Dennis M. Cahill is Executive Vice President - Global Platform Organization of Wolters Kluwer N.V. since October 2010. In this position, Mr. Cahill leads the Online Services Organization within GPO to support Wolters Kluwer’s business units with the design and implementation of online services that are delivered through the company’s content delivery and publishing platform Global Atlas, Portal Technologies (Vesta), and Mobile Platforms (iOS, Android, RIM). Prior to joining Wolters Kluwer, Mr. Cahill was Senior Vice President of Technology and Chief Product Officer Enterprise Media Group at Dow Jones & Company, a global provider of news and business information and a developer of technology to deliver content to consumers and organizations across multiple platforms, where he led the launch and commercialization of Factiva as a joint venture between Dow Jones and Reuters. He released Factiva versions across Europe, Asia Pacific, and North America. Mr. Cahill is a business and technology visionary with an outstanding track record of increasing market share and bottom line profits. He has strong accomplishments in customer-centric product development, agile product and technology development, P&L leadership, and change management. Mr. Cahill holds a Bachelor of Science in Electrical and Computer Engineering from State University of New York in the United States.

George Dessing

Mr. George Dessing is Senior Vice President - Treasury & Risk of Wolters Kluwer NV. In this position, Mr. Dessing is responsible for global treasury, risk management and business continuity at Wolters Kluwer in support of the company’s business strategy. Mr. Dessing has been with Wolters Kluwer since 1997. Prior to joining Wolters Kluwer in 1997, he held various positions in Nethold Finance, part of the FilmNet Group, in the Netherlands and Belgium. Mr. Dessing has a Bachelor’s degree from the HES HEAO in The Hague, and holds a Master's of Science in Business Economics from the University of Tilburg.

Ms. Elizabeth Satin is Senior Vice President - Corporate Development and Mergers & Acquisitions, North America of Wolters Kluwer NV. Satin is a veteran media and information industry senior investment banker who has spent over 20 years in investment banking. As a Managing Director at Lehman Brothers, Ms. Satin was the lead banker on many industry-defining transactions in the media and information industry. Satin holds an MBA with honors in Finance from the NYU Stern School of Business, and a Bachelor’s degree in International Relations and Semiotics from Brown University.

Mr. Maarten Thompson has served as Senior Vice President, General Counsel/Company Secretary of Wolters Kluwer N.V. since 2012. In that capacity Mr. Thompson holds responsibility for Legal Affairs and acts as Corporate Secretary for both the Executive Board and Supervisory Board. In this position Mr. Dubey leads the strategy development processes, evaluate new markets, and identify potential growth opportunities of the company. Atul comes from S&P Global, where he was most recently the Head of Transformation for Standard and Poor’s Rating Division. Prior to that, Mr. Dubey spent nine years at Citigroup in strategy and operating roles in their institutional businesses. Additionally, Atul worked at Booz and Company for ten years, where he held roles of increasing scope departing as a Principal in their Financial Services practice. Ms. Meg Geldens has served as Vice President - Investor Relations of Wolters Kluwer N.V. since June 14, 2012. She joined Wolters Kluwer in 2012 as Vice President Investor Relations. Ms. Maryjo T. Charbonnier is Chief Human Resources Officer of Wolters Kluwer N.V. Prior to her appointment at Wolters Kluwer, Ms. Charbonnier worked at Broadridge, most recently as its Chief Human Resources Officer since 2009. Broadridge, a US-based public company, is the leading provider of investor communications and technology-driven solutions for broker-dealers, banks, mutual funds and corporate issuers globally. The company employs 6,500 employees worldwide and had revenues amounting to $2.6 billion. Prior to that, she held various senior Human Resources roles for over thirteen years at PepsiCo Inc. in the US, Mexico and Canada. Maryjo has extensive global HR experience, and has managed all areas of the HR function. While at Broadridge, she designed and delivered an HR strategy and processes that have resulted in increasing associate engagement and being a recognized employer of choice in key talent markets, including New York State’s Best Employer list for seven years in a row; recognized by Gallup as one of 25 most engaged organizations in the world; six years on Canada’s Great Place to Work list and one year on India’s Great Place to Work List. Maryjo Charbonnier earned her BA in Washington DC at Catholic University, and her MBA at the Cox School of Business of Southern Methodist University, Dallas, TX.
